| PRESS RELEASE UniCredit: disposal of 32.8% stake in Bank Pekao finalised Following the press release issued on the 8th December 2016, UniCredit ("UCG") has completed the disposal of the 32.8% shareholding held in Bank Pekao S.A. to Powszechny Zakład Ubezpieczeń S.A. ("PZU") e Polski Fundusz Rozwoju S.A. ("PFR") for the agreed price consideration equal to PLN 123 per share, and therefore equal to PLN 10.6 billion for the shareholding sold. Terms and conditions of the transaction, as announced on 8th December 2016, remain unchanged. The closing of the transaction will allow a capital benefit for UniCredit Group CET1 ratio Fully Loaded of ca. 70bps. Morgan Stanley, UBS Investment Bank and UniCredit Corporate & Investment Banking were joint financial advisors and Weil, Gotshal & Manges provided legal advice.
