| Zarząd Starhedge S.A. działając zgodnie z art. 70 ust. 1 ustawy z dnia 29 lipca 2005 r. o ofercie publicznej i warunkach wprowadzania instrumentów finansowych do zorganizowanego systemu obrotu oraz o spółkach publicznych informuje o otrzymaniu w dniu wczorajszym od podmiotu "Maverick Capital Ltd." dalej zwanym "MAVERICK" zawiadomienia w trybie Art. 69 ust.1 pkt.2 oraz Art. 69 ust.4 i 4b - Ustawy z dnia 29 lipca 2005 roku o ofercie publicznej i warunkach wprowadzania instrumentów finansowych do zorganizowanego systemu obrotu oraz o spółkach publicznych, dotyczącego zmniejszenia przez MAVERICK udziału w kapitale i w głosach na Walnym Zgromadzeniu Akcjonariuszy spółki Starhedge S.A. MAVERICK przekazał następującą treść zawiadomienia: “Notification on sale of significant amount of shares in Public Company - article 69 of the Act on Public offering Maverick Capital Ltd. (referred to as “The Fund"), pursuant to article 69 point 2 and point 4/4B of the Act of 29th July 2005 on Public Offering, Conditions Governing the Introduction of Financial Instruments to the Organized Trading, and Public Companies, herby notifies that due to sale on 29th of September 2014 on the polish regulated market - Warsaw Stock Exchange 345.757 shares, representing 1.03% in the share capital of a public company Starhedge S.A. seated in Warsaw (referred to as “The Company"), the shareholding in the total votes at the General Meeting of Shareholders of the Company has decreased. Before the abovementioned acquisition The Fund held 1.910.000 shares in the Company, entitling to 5,69% votes at the General Meeting of Shareholders of the Company. After the abovementioned acquisition, The Fund holds 1.564.243 shares, representing 4.66% in the share capital of the Company and same percentage of votes at the General Meeting of Shareholders. Maverick Capital Ltd. also declares that further decrease of capital engagement in the Company is possible and may be executed according to the applicable regulations. Furthermore Maverick Capital Ltd. confirms there are no persons referred to in art. 87 point 1.3.c of the Act on Public Offering, Conditions Governing the Introduction of Financial Instruments to the Organized Trading, and Public Companies – or subsidiaries holding shares of the Company nor third persons with whom The Fund concluded agreements on transferring voting rights. “ Podstawa prawna: Art. 70 pkt. 1 Ustawy o Ofercie – nabycie lub zbycie znacznego pakietu akcji | ||||||||||||
