| Zarząd spółki ENERGA SA ("Spółka") przekazuje informacje dotyczące Członków Zarządu Spółki powołanych z dniem 21 marca 2016 roku przez Radę Nadzorczą Spółki na V kadencję. Przemysław Piesiewicz – Wiceprezes Zarządu ds. Strategii Rozwoju Absolwent Wydziału Zarządzania i Ekonomiki Usług Uniwersytetu Szczecińskiego, Wydziału Politologii i Stosunków Międzynarodowych Wyższej Szkoły Nauk Humanistycznych i Dziennikarstwa w Poznaniu oraz studiów podyplomowych z zakresu finansów Unii Europejskiej w Wyższej Szkole Administracji i Biznesu w Gdyni. Od 2006 roku ściśle związany z branżą energetyczną. W 2006 roku objął funkcję Wiceprezesa Zarządu Elektrownie Wodne Słupsk, a w 2008 roku Wiceprezesa Zarządu oraz Dyrektora Departamentu PR i Marketingu w spółce Elnord SA. W latach 2008-2010 był Dyrektorem Marketingu i Rozwoju w Eurowind Holding SA. W 2010 roku został Prezesem Zarządu 3 Wings Sp. z o. o., a w 2013 roku Dyrektorem Zarządzającym firmą Edon Sp. z o.o.W przeszłości członek Rad Nadzorczych: STK SSA Czarni Słupsk, Międzynarodowego Centrum Szkolenia Energetyki Sp. z o.o. oraz Elnord SA. Ekspert ds. energetyki przy Narodowej Radzie Rozwoju, Członek Rady Zarządzającej Towarzystwa Obrotu Energią. Mariola Anna Zmudzińska – Wiceprezes Zarządu ds. Relacji Inwestorskich Absolwentka Wydziału Prawa i Administracji Uniwersytetu im. Mikołaja Kopernika w Toruniu. Ukończyła Podyplomowe Studia Menadżerskie MBA prowadzone przez Gdańską Fundację Kształcenia Menedżerów, Uniwersytet Gdański i Institut d’Administration des Entreprises – Universite Paul Cezanne – Aix – Marseille III. W 1993 roku rozpoczęła pracę zawodową w Agencji Rozwoju Regionalnego we Włocławku. Następnie przez dziesięć lat zarządzała przedsiębiorstwem prywatnym, współpracując z największymi firmami w kraju. Od lipca 2006 roku do sierpnia 2007 roku była Prezesem Zarządu w firmie Kongres Sp. z o.o. Od lipca 2006 roku do sierpnia 2008 była Prezesem Zarządu w Międzynarodowym Centrum Szkolenia Energetyki Sp. z o.o. Przygotowywała konsolidację spółek szkoleniowych w Grupie Kapitałowej Energa. Od 2009 roku pracowała na stanowisku Dyrektora Ośrodka Konferencyjno – Szkoleniowego na Uniwersytecie Gdańskim. Współpracuje z Towarzystwem Naukowym Organizacji i Kierownictwa. Prowadziła tam wykłady/szkolenia z zakresu budowania wizerunku firmy, komunikacji, przedsiębiorczości i ryzyka w przedsiębiorstwie. Koordynowała i kierowała projektami wspófinansowanymi z Europejskiego Funduszu Społecznego POKL, EQUAL, Leonardo da Vinci, w tym projektem: "Szkolenie zawodowe sektora energetycznego w okresie transformacji". Autorka artykułów z zakresu prawa i przedsiębiorczości. Współpracuje ze Studia Humanistica Gedanensia i organizacjami pracodawców na Pomorzu. Żaden z w/w Członków Zarządu Spółki nie wykonuje działalności konkurencyjnej wobec działalności ENERGA SA, nie uczestniczy w spółce konkurencyjnej wobec ENERGA SA jako wspólnik spółki cywilnej, spółki osobowej lub jako członek organu spółki kapitałowej oraz nie uczestniczy w innej konkurencyjnej osobie prawnej jako członek jej organów, jak również nie figuruje w Rejestrze Dłużników Niewypłacalnych prowadzonym na podstawie ustawy o KRS. | ||||||||||||

| Current report no. 12/2016 Date: 23 March 2016 Subject: Information about the appointed Company’s Management Board Members - addition to the current report No. 11/2016 Legal basis: Art. 56 section 1 item 2 of the Offering Act – Current and Periodic Information The Management Board of ENERGA SA (“Company”) hereby publishes information about the Company’s Management Board Members appointed on the date of 21 March 2016 by the Company’s Supervisory Board for the fifth term of office. Przemysław Piesiewicz - Vice-President of the Management Board for Strategy DevelopmentGraduate of the Faculty of Management and Economics of Services at the University of Szczecin, Faculty of Political Science and International Relations at the University of the Humanities and Journalism in Poznań and post-graduate studies on European Union finance at the University of Business and Administration in Gdynia. Since 2006 he has been closely affiliated with the power sector. In 2006 he assumed the function of Vice-President of the Management Board at the Słupsk Hydro Power Plant and in 2008 he became the Vice-President of the Management Board and Director of the PR and Marketing Department at Elnord SA. From 2008 to 2010 he was the Director of Marketing and Development at Eurowind Holding SA. In 2010 he became the President of the Management Board of 3 Wings Sp. z o. o. and in 2013 he became the Managing Director of Edon Sp. z o.o. Previously, he served as a Supervisory Board member in the following companies: STK SSA Czarni Słupsk, Międzynarodowe Centrum Szkolenia Energetyki Sp. z o.o. and Elnord SA. Power sector expert in the National Development Council, Member of the Executive Board of the Association of Energy Trading. Mariola Anna Zmudzińska - Vice-President of the Management Board for Investor Relations Graduate of the Faculty of Law and Administration at the Nicolaus Copernicus University in Toruń. Completed the MBA Post-Graduate Management Studies offered by the Gdańsk Foundation for Management Education, the University of Gdańsk and Institut d’Administration des Entreprises – Universite Paul Cezanne – Aix – Marseille III. In 1993 she started her career in the Regional Development Agency in Włocławek. After that, she managed a private business for ten years cooperating with the largest companies in Poland. From July 2006 to August 2007 she was the President of the Management Board of Kongres Sp. z o.o. From July 2006 until August 2008 she was President of the Management Board of Międzynarodowe Centrum Szkolenia Energetyki Sp. z o.o. She prepared the consolidation of training companies in the Energa Group. Since 2009 she has worked as Director of the Conference and Training Center at the University of Gdańsk. She cooperates with the Scientific Society of Organization and Management. She lectured/delivered training there on corporate image building, communication, entrepreneurship and business risk. She coordinated and ran projects co-funded by the European Social Fund, Human Capital Operation Program, EQUAL, Leonardo da Vinci, including a project entitled “Occupational training for the power sector during transformation”.Author of articles on law and entrepreneurship. She cooperates with Studia Humanistica Gedanensia and employer organizations domiciled in Pomerania. None of the Company’s Management Board Members mentioned above is engaged in any business competitive to that of ENERGA SA, participates in a competitive entity as a partner in a civil law company or partnership or as a member of a corporate authority of a joint stock or limited liability company and does not participate in any other competitive legal person as a member of its corporate authority, or is listed in the Register of Insolvent Debtors kept pursuant to the National Court Register Act. | |||
