| Rada Dyrektorów ASBISc Enterprises PLC ("Spółka", "Emitent"), informuje, iż w dniu 9 grudnia 2011 roku Spółka otrzymała od Quercus Towarzystwo Funduszy Inwestycyjnych S.A. działającego w imieniu zarządzanego funduszu inwestycyjnego Quercus Parasolowy SFIO (dalej “Fundusz:"), zawiadomienie o zwiększeniu przez Fundusz samodzielnie udziału w ogólnej liczbie głosów w Spółce oraz przekroczeniu w górę progu 5% w ogólnej liczbie głosów na WZA Spółki. Przekroczenie progu nastąpiło w wyniku transakcji na rynku regulowanym w dniu 5 grudnia 2011 roku. Przed zmianą Fundusz posiadał 2 765 045 akcji Spółki, co stanowiło 4,98% kapitału zakładowego Spółki. Posiadane akcje dawały 2 765 045 głosów na Walnym Zgromadzeniu Spółki co stanowiło 4,98% ogólnej liczby głosów na Walnym Zgromadzeniu. Na dzień 8 grudnia 2011 r. Fundusz posiadał 2 775 045 akcji Spółki, co stanowiło 5% kapitału zakładowego Spółki. Posiaane akcje dawały 2 775 045 głosów na Walnym Zgromadzeniu Spółki, co stanowiło 5% ogólnej liczby głosów na Walnym Zgromadzeniu. Jednocześnie Towarzystwo poinformowało, że Fundusz wraz z Quercus Absolutnego Zwrotu FIZ (dalej “Fundusze") zwiększyły udział i przekroczyły próg 5% ogólnej liczby głosów Spółki. Przekroczenie łącznie przez Fundusze progu 5% ogólnej liczby głosów nastąpiło w wyniku transakcji na rynku regulowanym w dniu 20 kwietnia 2011 roku. Przed zmianą udziału Fundusze łącznie posiadały 2 613 725 akcji, co stanowiło 4,71% kapitału zakładowego Spółki. Posiadane akcje dawały 2 613 725 głosów na Walnym Zgromadzeniu Spółki, co stanowiło 4,71% ogólnej liczby głosów na Walnym Zgromadzeniu. Na dzień 8 grudnia 2011 r. Fundusze posiadały łącznie 3 274 931 akcje Spółki, co stanowiło 5,90% kapitału zakładowego Spółki. Posiadane akcje dawały 3 274 931 głosów na Walnym Zgromadzeniu Spółki, co stanowiło 5,90% ogólnej liczby głosów na Walnym Zgromadzeniu. | ||||||||||||

| Notification about exceeding of the threshold of 5% in total number of votes at the Company’s General Meeting of Shareholders Message: The Board of Directors of ASBISc Enterprises Plc („the Company“, „the Issuer“) hereby informs that on December 9th, 2011 the Company has received from Quercus Towarzystwo Funduszy Inwestycyjnych S.A. acting on behalf of governed investment fund Quercus Parasolowy SFIO („the Fund“) the notification about increase by Fund itself the share in total number of votes in the Company and about exceeding of the threshold of 5% in total number of votes at the Company’s General Meeting of Shareholders. This exceeding occured in result of transaction on the regulated market conducted on December 5th, 2011. Before the change the Fund held 2 765 045 shares of the Company, that correspond to 4.98% of the Company’s share capital. These shares entitled to 2 765 045 votes at the Company’s General Meeting of Shareholders, that corresponded to 4.98% of the total number of shares at the General Meeting of Shareholders. As of December 8th, 2011 the Fund held 2 775 045 shares of the Company, that correspond to 5% of the Company’s share capital. These shares entitled to 2 775 045 votes at the Company’s General Meeting of Shareholders, that corresponded to 5% of the total number of shares at the General Meeting of Shareholders. In the same time Quercus Towarzystwo Funduszy Inwestycyjnych S.A.informed that the Fund together with Quercus Absolutnego Zwrotu FIZ (“the Funds”) increased share and exceeded the threshold of 5% in total number of votes at the Company’s General Meeting of Shareholders. The exceeding of the threshold of 5% of the total number of votes together by the Funds occurred due to transaction on the regulated market on April 20th 2011. Before change in share the Funds together held 2 613 725 shares, corresponding to 4.71% of the Company’s share. These shares entitled to 2 613 725 votes at the Company’s General Meeting of Shareholders, which corresponded to 4.71% of the total number of votes at the Company’s General Meeting of Shareholders. As of December 8th, 2011 the Funds together held 3 274 931 shares of the Company, corresponding to 5.90% of the Company’s share capital. These shares entitled to 3 274 931 votes at the Company’s General Meeting of Shareholders, which corresponded to 5.90% of the total number of votes at the Company’s General Meeting of Shareholders. | |||
