W związku z uchwałą nr 44/1062/2004 Rady Giełdy oraz uchwałą nr 445/2004 Zarządu Giełdy z dnia 15 grudnia 2004 r. w sprawie przyjęcia zasad ładu korporacyjnego dla spółek akcyjnych będących emitentami akcji, obligacji zamiennych lub obligacji z prawem pierwszeństwa, które są dopuszczone do obrotu giełdowego na rynku urzędowym, Zarząd Banku Polska Kasa Opieki S.A. składa oświadczenie o stosowaniu Dobrych Praktyk w spółkach publicznych 2005 w następującym brzmieniu: I Cel spółki Podstawowym celem działania władz spółki jest realizacja interesu spółki, rozumianego jako powiększanie wartości powierzonego jej przez akcjonariuszy majątku, z uwzględnieniem praw i interesów innych niż akcjonariusze podmiotów, zaangażowanych w funkcjonowanie spółki, w szczególności wierzycieli spółki oraz jej pracowników. TAK Zasada jest stosowana przez Bank. Jej przejawem jest misja Banku, zawarta w obowiązującym w Banku Kodeksie Etyki Zawodowej. Misją Banku jest zapewnienie akcjonariuszom stałego i atrakcyjnego wzrostu wartości Banku poprzez umacnianie jego pozycji lidera na rynku krajowym oraz systematyczny rozwój na rynkach Europy Środkowej jako uniwersalnej instytucji finansowej będącej rzetelnym partnerem dla klientów i najlepszym miejscem pracy dla najlepszych ludzi. II Rządy większości i ochrona mniejszości Spółka akcyjna jest przedsięwzięciem kapitałowym. Dlatego w spółce musi być uznawana zasada rządów większości kapitałowej i w związku z tym prymatu większości nad mniejszością. Akcjonariusz, który wniósł większy kapitał, ponosi też większe ryzyko gospodarcze. Jest więc uzasadnione, aby jego interesy były uwzględniane proporcjonalnie do wniesionego kapitału. Mniejszość musi mieć zapewnioną należytą ochronę jej praw, w granicach określonych przez prawo i dobre obyczaje. Wykonując swoje uprawnienia akcjonariusz większościowy powinien uwzględniać interesy mniejszości. TAK Organy Banku w toku wykonywania powierzonych im zadań dbają o to, aby realizacja interesów akcjonariusza większościowego nie prowadziła do pokrzywdzenia akcjonariuszy mniejszościowych. Zasada ta realizowana jest między innymi poprzez odpowiedni skład Rady Nadzorczej, w której znajdują się przedstawiciele akcjonariuszy większościowych i mniejszościowych, co prowadzi do uwzględnienia w funkcji nadzoru interesów wszystkich grup akcjonariuszy Banku. Wyrazem zasady rządów większości jest § 10 ust.2 Statutu Banku, zgodnie z którym Walne Zgromadzenie jest uprawnione do podejmowania uchwał, o ile reprezentowanych jest na nim co najmniej 50% akcji plus jedna akcja. Celem tego przepisu jest zagwarantowanie, aby Walne Zgromadzenie podejmowało uchwały w najistotniejszych dla Banku i akcjonariuszy sprawach, przy udziale akcjonariuszy reprezentujących łącznie bezwzględną większość kapitału. Jeżeli uchwała Walnego Zgromadzenia nie zostanie podjęta z powodu braku kworum, o którym mowa powyżej, na kolejnym Walnym Zgromadzeniu o takim samym porządku obrad jak Walne Zgromadzenie, które nie podjęło uchwały z powodu braku kworum wymagana jest obecność akcjonariuszy reprezentujących co najmniej 20% akcji. III Uczciwe intencje i nienadużywanie uprawnień Wykonywanie praw i korzystanie z instytucji prawnych powinno opierać się na uczciwych intencjach (dobrej wierze) i nie może wykraczać poza cel i gospodarcze uzasadnienie, ze względu na które instytucje te zostały ustanowione. Nie należy podejmować działań, które wykraczając poza tak ustalone ramy stanowiłyby nadużycie prawa. Należy chronić mniejszość przed nadużywaniem uprawnień właścicielskich przez większość oraz chronić interesy większości przed nadużywaniem uprawnień przez mniejszość, zapewniając możliwie jak najszerszą ochronę słusznych interesów akcjonariuszy i innych uczestników obrotu. TAK Członkowie organów Banku sprawują swoje funkcje i wykonują przysługujące im prawa i obowiązki z najwyższą starannością i w najlepszej wierze. Członkowie organów Banku dokładają wszelkich starań, aby działania podejmowane przez Bank były zgodne ze standardami etycznymi, w szczególności z zasadami zawartymi w obowiązującym w Banku Kodeksie Etyki Zawodowej. Członkowie organów Banku jako spółki notowanej w obrocie publicznym są świadomi wiążącej się z tym szczególnej odpowiedzialności. Dotyczy to zwłaszcza odpowiedzialności wobec akcjonariuszy zarówno dużych, jak i drobnych, którzy ufają w profesjonalizm Banku i taki sposób działania, który ma na celu nie tylko ochronę zainwestowanego kapitału, ale też zapewnienie odpowiedniego zwrotu z tego kapitału. IV Kontrola sądowa Organy spółki i osoby prowadzące walne zgromadzenie nie mogą rozstrzygać kwestii, które powinny być przedmiotem orzeczeń sądowych. Nie dotyczy to działań, do których organy spółki i osoby prowadzące walne zgromadzenie są uprawnione lub zobowiązane przepisami prawa. TAK Zarząd Banku zapewnia, że organy Banku i osoby prowadzące Walne Zgromadzenie nie rozstrzygają kwestii, które powinny być rozstrzygane przez sądy. Walne Zgromadzenie rozstrzyga jedynie kwestie porządkowe związane z przebiegiem posiedzenia. Nie poddaje się pod głosowanie w tym trybie uchwał, które mogą wpływać na wykonywanie przez akcjonariuszy ich praw. V Niezależność opinii zamawianych przez spółkę Przy wyborze podmiotu mającego świadczyć usługi eksperckie, w tym w szczególności usługi biegłego rewidenta, usługi doradztwa finansowego i podatkowego oraz usługi prawnicze spółka powinna uwzględnić, czy istnieją okoliczności ograniczające niezależność tego podmiotu przy wykonywaniu powierzonych mu zadań. TAK W wyborze podmiotów mających świadczyć usługi eksperckie dla Banku, Bank kieruje się obiektywną oceną jakości tych usług, ceny oraz warunków ich świadczenia, co stanowi jedną z zasad obowiązującego w Banku Kodeksu Etyki Zawodowej. Obowiązujące w Banku Zarządzenie Prezesa Zarządu Banku ustala szczegółową procedurę dotyczącą zasad udzielania zamówień na usługi świadczone na rzecz Banku. Procedura zawiera szczegółowe kryteria dokonywania wyboru podmiotów świadczących usługi na rzecz Banku, dzięki, czemu możliwe jest dokonanie oceny czy istnieją okoliczności ograniczające niezależność tych podmiotów przy wykonywaniu powierzonych im zadań. Dobre praktyki walnych zgromadzeń 1. Walne zgromadzenie powinno odbywać się w miejscu i czasie ułatwiającym jak najszerszemu kręgowi akcjonariuszy uczestnictwo w zgromadzeniu. TAK Walne Zgromadzenia odbywają się w siedzibie Banku. Wyznaczając termin Walnego Zgromadzenia, Zarząd Banku dba o to, żeby jego termin zapewniał możliwość udziału w Walnym Zgromadzeniu jak najszerszemu kręgowi akcjonariuszy. 2. Żądanie zwołania walnego zgromadzenia oraz umieszczenia określonych spraw w porządku jego obrad, zgłaszane przez uprawnione podmioty, powinno być uzasadnione. Projekty uchwał proponowanych do przyjęcia przez walne zgromadzenie oraz inne istotne materiały powinny być przedstawiane akcjonariuszom wraz z uzasadnieniem i opinią rady nadzorczej przed walnym zgromadzeniem, w czasie umożliwiającym zapoznanie się z nimi i dokonanie ich oceny. TAK Zasada jest inkorporowana w § 8 ust.3 zd.3 Statutu Banku w następującym brzmieniu: Żądanie zwołania Walnego Zgromadzenia oraz umieszczenia określonych spraw w porządku obrad powinno być uzasadnione. Projekty uchwał proponowanych do przyjęcia przez Walne Zgromadzenie wraz z ich uzasadnieniem są udostępniane akcjonariuszom najpóźniej na 8 dni przed Walnym Zgromadzeniem. Odpisy sprawozdania Zarządu Banku z działalności Banku i sprawozdania finansowego wraz z odpisem sprawozdania Rady Nadzorczej oraz opinii biegłego rewidenta są wydawane akcjonariuszom na ich żądanie najpóźniej na piętnaście dni przed Walnym Zgromadzeniem. Wszystkie sprawy wnoszone na Walne Zgromadzenie posiadają rekomendację Rady Nadzorczej. Zgodnie z § 9 Statutu Banku Zarząd Banku obowiązany jest przedstawić Radzie Nadzorczej do rozpatrzenia sprawy wnoszone na Walne Zgromadzenie. 3. Walne zgromadzenie zwołane na wniosek akcjonariuszy powinno się odbyć w terminie wskazanym w żądaniu, a jeżeli dotrzymanie tego terminu napotyka na istotne przeszkody - w najbliższym terminie, umożliwiającym rozstrzygnięcie przez zgromadzenie spraw, wnoszonych pod jego obrady. TAK Nigdy nie zdarzyło się, aby Walne Zgromadzenie zostało zwołane na wniosek akcjonariuszy. Jednakże Zarząd Banku zapewnia, że jeżeli sytuacja taka będzie mieć miejsce zasada nr 3 będzie przestrzegana. 4. Odwołanie walnego zgromadzenia, w którego porządku obrad na wniosek uprawnionych podmiotów umieszczono określone sprawy, lub które zwołane zostało na taki wniosek możliwe jest tylko za zgodą wnioskodawców. W innych przypadkach walne zgromadzenie może być odwołane, jeżeli jego odbycie napotyka na nadzwyczajne przeszkody (siła wyższa) lub jest oczywiście bezprzedmiotowe. Odwołanie następuje w taki sam sposób, jak zwołanie, zapewniając przy tym jak najmniejsze ujemne skutki dla spółki i dla akcjonariuszy, w każdym razie nie później niż na trzy tygodnie przed pierwotnie planowanym terminem. Zmiana terminu odbycia walnego zgromadzenia następuje w tym samym trybie, co jego odwołanie, choćby proponowany porządek obrad nie ulegał zmianie. TAK W Banku nigdy nie zdarzyło się, aby zwołane Walne Zgromadzenie nie odbyło się. Zarząd Banku zapewnia, że w przypadku konieczności odwołania Walnego Zgromadzenia, zasada nr 4 będzie przestrzegana. 5. Uczestnictwo przedstawiciela akcjonariusza w walnym zgromadzeniu wymaga udokumentowania prawa do działania w jego imieniu w sposób należyty. Należy stosować domniemanie, iż dokument pisemny, potwierdzający prawo reprezentowania akcjonariusza na walnym zgromadzeniu jest zgodny z prawem i nie wymaga dodatkowych potwierdzeń, chyba że jego autentyczność lub ważność prima facie budzi wątpliwości zarządu spółki (przy wpisywaniu na listę obecności) lub przewodniczącego walnego zgromadzenia. TAK Zasada jest inkorporowana w §3 ust.9 Regulaminu Walnego Zgromadzenia (zwanego dalej "Regulaminem WZ") w następującym brzmieniu: 9.Przedstawiciele osób prawnych obowiązani są do złożenia aktualnych wypisów z właściwych rejestrów, wymieniających osoby uprawnione do reprezentowania tych podmiotów. Osoby nie wymienione w wypisie powinny legitymować się pisemnym pełnomocnictwem. O wymogach formalnych pełnomocnictwa do uczestniczenia w Walnym Zgromadzeniu Bank informuje w ogłoszeniach o zwołaniu Walnego Zgromadzenia publikowanych w Monitorze Sądowym i Gospodarczym. 6. Walne zgromadzenie powinno mieć stabilny regulamin, określający szczegółowe zasady prowadzenia obrad i podejmowania uchwał. Regulamin powinien zawierać w szczególności postanowienia dotyczące wyborów, w tym wyboru rady nadzorczej w drodze głosowania oddzielnymi grupami. Regulamin nie powinien ulegać częstym zmianom; wskazane jest, aby zmiany wchodziły w życie począwszy od następnego walnego zgromadzenia. TAK Walne Zgromadzenie posiada Regulamin WZ, który określa szczegółowe zasady prowadzenia obrad i podejmowania uchwał. Regulamin WZ zawiera postanowienia (§ 13 ust. 10-17) dotyczące wyboru Rady Nadzorczej w drodze głosowania oddzielnymi grupami w następującym brzmieniu: 10.Na wniosek akcjonariuszy reprezentujących co najmniej jedną piątą kapitału zakładowego, wybór Rady powinien być dokonany w drodze głosowania oddzielnymi grupami. Wniosek w tej sprawie powinien być zgłoszony Zarządowi na piśmie w terminie umożliwiającym umieszczenie go w porządku obrad Walnego Zgromadzenia. 11.Osoby reprezentujące na Walnym Zgromadzeniu tę część akcji, która przypada z podziału ogólnej liczby reprezentowanych akcji przez liczbę członków Rady mogą utworzyć oddzielną grupę celem wyboru jednego członka Rady, nie biorą jednak udziału w wyborze pozostałych członków. 12.Przewodniczący Walnego Zgromadzenia przed dokonaniem przez Walne Zgromadzenie wyboru członków Rady w drodze głosowania oddzielnymi grupami informuje Walne Zgromadzenie o stanie obecności, liczbie akcji którymi dysponują obecni akcjonariusze oraz liczbie akcji wymaganej do utworzenia grupy, zdolnej do dokonania wyboru członka Rady. 13.Procedurą wyboru członków Rady w drodze głosowania oddzielnymi grupami kieruje Przewodniczący Walnego Zgromadzenia . 14.Utworzonej grupie organ zwołujący Walne Zgromadzenie zapewnia osobne miejsce dla zebrania się i przeprowadzenia wyborów. 15.Mandaty w Radzie nieobsadzone przez odpowiednią grupę akcjonariuszy utworzoną zgodnie z ust.11, obsadza się w drodze głosowania, w którym uczestniczą wszyscy akcjonariusze, których głosy nie zostały oddane przy wyborze członków Rady, wybieranych w drodze głosowania oddzielnymi grupami. 16.Jeżeli na Walnym Zgromadzeniu, o którym mowa w ust.11, nie dojdzie do utworzenia chociaż jednej grupy zdolnej do wyboru członka Rady, nie dokonuje się wyborów. 17.Z chwilą dokonania wyboru co najmniej jednego członka Rady, zgodnie z przepisami ust.10 - 16, wygasają przedterminowo mandaty wszystkich dotychczasowych członków Rady. Zasada, że zmiany Regulaminu WZ winny wchodzić w życie począwszy od następnego Walnego Zgromadzenia, jest inkorporowana w § 19 ust.2 Regulaminu WZ w brzmieniu: 2. Zmiana Regulaminu wchodzi w życie począwszy od następnego Walnego Zgromadzenia. 7. Osoba otwierająca walne zgromadzenie powinna doprowadzić do niezwłocznego wyboru przewodniczącego, powstrzymując się od jakichkolwiek innych rozstrzygnięć merytorycznych lub formalnych TAK Bank stosuje tę zasadę. Jej wyrazem jest § 5 ust.2 Regulaminu WZ w następującym brzmieniu: 2. Osoba otwierająca Walne Zgromadzenie powinna doprowadzić do niezwłocznego wyboru Przewodniczącego Walnego Zgromadzenia, powstrzymując się od jakichkolwiek innych rozstrzygnięć merytorycznych lub formalnych. 8. Przewodniczący walnego zgromadzenia zapewnia sprawny przebieg obrad i poszanowanie praw i interesów wszystkich akcjonariuszy. Przewodniczący powinien przeciwdziałać w szczególności nadużywaniu uprawnień przez uczestników zgromadzenia i zapewniać respektowanie praw akcjonariuszy mniejszościowych . Przewodniczący nie powinien bez ważnych powodów składać rezygnacji ze swej funkcji, nie może też bez uzasadnionych przyczyn opóźniać podpisania protokołu walnego zgromadzenia. TAK Bank stosuje tę zasadę. Zgodnie z § 6 ust.2 Regulaminu WZ, do obowiązków Przewodniczącego Walnego Zgromadzenia należy: 1) dbanie o sprawny i zgodny z ustalonym porządkiem obrad przebieg obrad Walnego Zgromadzenia oraz o poszanowanie praw i interesów wszystkich akcjonariuszy, a w szczególności przeciwdziałanie nadużywaniu uprawnień przez uczestników Walnego Zgromadzenia i zapewnianie respektowania praw akcjonariuszy mniejszościowych; Przewodniczący Walnego Zgromadzenia, nie ma prawa bez zgody Walnego Zgromadzenia usuwać lub zmieniać kolejności spraw umieszczonych w porządku obrad, 2) sprawne kierowanie dyskusją, w szczególności: a) udzielanie głosu uczestnikom Walnego Zgromadzenia, b) w razie konieczności - sporządzanie listy zgłaszających się do dyskusji oraz określanie maksymalnego czasu wystąpień, c) dbieranie głosu uczestnikom Walnego Zgromadzenia, w szczególności gdy wypowiedź dotyczy spraw nieobjętych zakresem wniosku o udzielenie głosu lub wykracza poza porządek obrad; narusza prawo lub dobre obyczaje, uniemożliwia prawidłowe prowadzenie obrad, 3) zarządzanie głosowania i czuwanie nad jego prawidłowym przebiegiem, 4) zgłaszanie wyników głosowania, 5) stwierdzanie podjęcia bądź nie podjęcia poszczególnych uchwał i ich ogłaszanie, 6) zarządzanie krótkich przerw porządkowych w obradach, 7) rozstrzyganie wątpliwości regulaminowych, 8) współdziałanie z notariuszem sporządzającym protokół, 9) podejmowanie innych decyzji o charakterze porządkowym. Zgodnie z § 6 ust.4 Regulaminu WZ Przewodniczący Walnego Zgromadzenia może korzystać z pomocy prawników oraz innych ekspertów obecnych na Walnym Zgromadzeniu. 9. Na walnym zgromadzeniu powinni być obecni członkowie rady nadzorczej i zarządu. Biegły rewident powinien być obecny na zwyczajnym walnym zgromadzeniu oraz na nadzwyczajnym walnym zgromadzeniu, jeżeli przedmiotem obrad mają być sprawy finansowe spółki. Nieobecność członka zarządu lub członka rady nadzorczej na walnym zgromadzeniu wymaga wyjaśnienia. Wyjaśnienie to powinno być przedstawione na walnym zgromadzeniu. TAK Zasada jest inkorporowana w § 3 ust. 2 i 3 Regulaminu WZ w następującym brzmieniu: 2. W Walnym Zgromadzeniu powinni również uczestniczyć członkowie Zarządu i Rady Nadzorczej Banku. 3. Na Walnym Zgromadzeniu, którego przedmiotem obrad mają być sprawy finansowe Banku, w szczególności na zwyczajnym Walnym Zgromadzeniu powinien być obecny biegły rewident. W przypadku gdy, w wyniku ważnych przyczyn, uczestnictwo Członka Zarządu Banku lub Rady Nadzorczej Banku w Walnym Zgromadzeniu nie będzie możliwe, powody nieobecności zostaną przedstawione Walnemu Zgromadzeniu. 10. Członkowie rady nadzorczej i zarządu oraz biegły rewident spółki powinni, w granicach swych kompetencji i w zakresie niezbędnym dla rozstrzygnięcia spraw omawianych przez zgromadzenie, udzielać uczestnikom zgromadzenia wyjaśnień i informacji dotyczących spółki. TAK Zgodnie z § 3 ust. 2 i 3 Regulaminu WZ, w Walnym Zgromadzeniu powinni uczestniczy członkowie Zarządu i Rady Nadzorczej oraz w przypadku, gdy przedmiotem obrad mają być sprawy finansowe Banku – biegły rewident. Powyższa zasada ma, między innymi, na celu umożliwienie uczestnikom Walnego Zgromadzenia zadawanie pytań celem uzyskania wyjaśnień i informacji dotyczących Banku. 11. Udzielanie przez zarząd odpowiedzi na pytania walnego zgromadzenia powinno być dokonywane przy uwzględnieniu faktu, że obowiązki informacyjne spółka publiczna wykonuje w sposób wynikający z przepisów prawa o publicznym obrocie papierami wartościowymi, a udzielanie szeregu informacji nie może być dokonywane w sposób inny niż wynikający z tych przepisów. TAK Zasada jest inkorporowana w § 10 ust.2 Regulaminu WZ w następującym brzmieniu: 2.Do informacji przedstawianych przez członka Zarządu na żądanie uczestnika Walnego Zgromadzenia, któremu przysługuje prawo głosu, stosuje się przepis art. 428 Kodeksu spółek handlowych. Udzielanie przez członka Zarządu odpowiedzi na pytania Walnego Zgromadzenia powinno być dokonywane przy uwzględnieniu faktu, że obowiązki informacyjne spółka publiczna wykonuje w sposób wynikający z przepisów Prawa o publicznym obrocie papierami wartościowymi, a udzielanie szeregu informacji nie może być dokonywane w sposób inny niż wynikający z tych przepisów. 12. Krótkie przerwy w obradach, nie stanowiące odroczenia obrad, zarządzane przez przewodniczącego w uzasadnionych przypadkach, nie mogą mieć na celu utrudniania akcjonariuszom wykonywania ich praw. TAK Zasada jest inkorporowana w § 10 ust.6 i 7 Regulaminu WZ w następującym brzmieniu: 6.Zarządzenie przerwy w obradach następuje na mocy uchwały Walnego Zgromadzenia podjętej większością 2/3 głosów. Łącznie przerwy nie mogą trwać dłużej niż 30 dni. 7.Przepisu ust.6 nie stosuje się do krótkich przerw porządkowych zarządzanych przez Przewodniczącego Walnego Zgromadzenia np. godzinnej przerwy na odpoczynek. Przerwy zarządzane w tym trybie nie mogą mieć na celu utrudniania akcjonariuszom wykonywania ich praw. 13. Głosowania nad sprawami porządkowymi mogą dotyczyć tylko kwestii związanych z prowadzeniem obrad zgromadzenia. Nie poddaje się pod głosowanie w tym trybie uchwał, które mogą wpływać na wykonywanie przez akcjonariuszy ich praw. TAK Zasada jest inkorporowana w § 10 ust. 5 Regulaminu WZ w następującym brzmieniu: 5.Głosowania nad sprawami porządkowymi mogą dotyczyć tylko kwestii związanych z prowadzeniem obrad Walnego Zgromadzenia. Nie poddaje się pod głosowanie w tym trybie uchwał, które mogą wpływać na wykonywanie przez akcjonariuszy ich praw. 14. Uchwała o zaniechaniu rozpatrywania sprawy umieszczonej w porządku obrad może zapaść jedynie w przypadku, gdy przemawiają za nią istotne powody. Wniosek w takiej sprawie powinien zostać szczegółowo umotywowany. Zdjęcie z porządku obrad bądź zaniechanie rozpatrywania sprawy umieszczonej w porządku obrad na wniosek akcjonariuszy wymaga podjęcia uchwały walnego zgromadzenia, po uprzednio wyrażonej zgodzie przez wszystkich obecnych akcjonariuszy, którzy zgłosili taki wniosek, popartej 75% głosów walnego zgromadzenia. Wynika to z art. 414 Kodeksu Spółek Handlowych, zgodnie z którym uchwały zapadają bezwzględną większością głosów, jeżeli przepisy kodeksu lub statut nie stanowią inaczej. Zważywszy, że przepisy KSH nie przewidują, że zdjęcie z porządku obrad lub zaniechanie rozpatrywania sprawy umieszczonej w porządku obrad na wniosek akcjonariuszy wymaga podjęcia uchwały walnego zgromadzenia po uprzednio wyrażonej zgodzie akcjonariuszy, którzy wniosek zgłosili popartej 75% głosów walnego zgromadzenia, konieczne jest dokonanie zmiany statutu. Bank na najbliższym Walnym Zgromadzeniu planuje zmienić Statut, celem inkorporowania tej zasady. 15. Zgłaszającym sprzeciw wobec uchwały zapewnia się możliwość zwięzłego uzasadnienia sprzeciwu. TAK Zasada jest inkorporowana w § 11 ust. 5 Regulaminu WZ w następującym brzmieniu : 5.Zgłaszającym sprzeciw wobec uchwały zapewnia się możliwość zwięzłego uzasadnienia sprzeciwu. 16. Z uwagi na to, że Kodeks spółek handlowych nie przewiduje kontroli sądowej w przypadku niepodjęcia przez walne zgromadzenie uchwały, zarząd lub przewodniczący walnego zgromadzenia powinni w ten sposób formułować uchwały, aby każdy uprawniony, który nie zgadza się z meritum rozstrzygnięcia stanowiącym przedmiot uchwały, miał możliwość jej zaskarżenia. TAK Zarząd Banku jako organ zapewniający obsługę prawną Walnych Zgromadzeń dokłada wszelkich starań, aby uchwały były formułowane w sposób jasny i przejrzysty. 17. Na żądanie uczestnika walnego zgromadzenia przyjmuje się do protokołu jego pisemne oświadczenie. TAK Zasada jest inkorporowana w § 16 ust.3 Regulaminu WZ w następującym brzmieniu: 3.Na żądanie uczestnika Walnego Zgromadzenia przyjmuje się do protokołu jego pisemne oświadczenie. Dobre praktyki rad nadzorczych 18. Rada nadzorcza corocznie przedkłada walnemu zgromadzeniu zwięzłą ocenę sytuacji spółki. Ocena ta powinna być udostępniona wszystkim akcjonariuszom w takim terminie, aby mogli się z nią zapoznać przed zwyczajnym walnym zgromadzeniem. TAK Ocena sytuacji Banku dokonana przez Radę Nadzorczą jest udostępniana akcjonariuszom przed Walnym Zgromadzeniem. 19. Członek rady nadzorczej powinien posiadać należyte wykształcenie, doświadczenie zawodowe oraz doświadczenie życiowe, reprezentować wysoki poziom moralny oraz być w stanie poświęcić niezbędną ilość czasu, pozwalającą mu w sposób właściwy wykonywać swoje funkcje w radzie nadzorczej. Kandydatury członków rady nadzorczej powinny być zgłaszane i szczegółowo uzasadniane w sposób umożliwiający dokonanie świadomego wyboru. TAK Bank w swoich działaniach zorientowanych na stworzenie silnego i nowoczesnego podmiotu gospodarczego docenia znaczenie kwalifikacji dla osiągnięcia celów biznesowych. Dlatego Bank dokłada wszelkich starań, aby członkowie jego organów posiadali niezbędną wiedzę i doświadczenie życiowe. Przy wyborze członków Rady Nadzorczej Bank kładzie nacisk na moralny poziom kandydatów, co pozostaje w zgodzie z generalną regułą działania Banku polegającą na uwzględnieniu w swej działalności wysokich standardów etycznych. Procedura wyboru członków Rady Nadzorczej, przewidziana w § 13 Regulaminu WZ nakłada na zgłaszającego kandydata do Rady Nadzorczej obowiązek zaprezentowania życiorysu kandydata, co umożliwia uczestnikom Walnego Zgromadzenia dokonanie wyboru najlepszej kandydatury. 20. a) Przynajmniej połowę członków rady nadzorczej powinni stanowić członkowie niezależni, z zastrzeżeniem pkt. d). Niezależni członkowie rady nadzorczej powinni być wolni od powiązań ze spółką i akcjonariuszami lub pracownikami, które mogłyby istotnie wpłynąć na zdolność niezależnego członka do podejmowania bezstronnych decyzji; b) szczegółowe kryteria niezależności powinien określać statut spółki; c) bez zgody większości niezależnych członków rady nadzorczej, nie powinny być podejmowane uchwały w sprawach: • świadczenia z jakiegokolwiek tytułu przez spółkę i jakiekolwiek podmioty powiązane ze spółką na rzecz członków zarządu; • wyrażenia zgody na zawarcie przez spółkę lub podmiot od niej zależny istotnej umowy z podmiotem powiązanym ze spółką, członkiem rady nadzorczej albo zarządu oraz z podmiotami z nimi powiązanymi; • wyboru biegłego rewidenta dla przeprowadzenia badania sprawozdania finansowego spółki. d) W spółkach, gdzie jeden akcjonariusz posiada pakiet akcji dający ponad 50% ogólnej liczby głosów, rada nadzorcza powinna liczyć co najmniej dwóch niezależnych członków, w tym niezależnego przewodniczącego komitetu audytu, o ile taki komitet został ustanowiony. TAK Akcjonariuszem strategicznym Banku jest podmiot posiadający ponad 50% głosów na Walnym Zgromadzeniu. Zasada udziału w Radzie Nadzorczej co najmniej 2 członków niezależnych jest realizowana przez Bank. Bank stosuje następujące kryteria niezależności, zgodnie z którymi za niezależnego uważany jest członek Rady Nadzorczej, który w dniu wyboru do Rady Nadzorczej spełnia łącznie następujące warunki: 1) nie jest i nie był w okresie ostatnich 3 lat zatrudniony w Banku, spółkach zależnych lub dominujących na stanowisku członka Zarządu lub innym kierowniczym, 2) nie jest i nie był w okresie ostatnich 3 lat biegłym rewidentem lub pracownikiem podmiotu świadczącego usługi biegłego rewidenta, który badał sprawozdanie finansowe Banku, spółek zależnych lub dominujących, 3) nie jest akcjonariuszem posiadającym bezpośrednio lub pośrednio 5% lub więcej akcji Banku ani nie jest członkiem zarządu, rady nadzorczej lub pracownikiem pełniącym funkcje kierownicze u takiego akcjonariusza, 4) nie otrzymuje żadnego dodatkowego wynagrodzenia, poza należnym z tytułu członkostwa w Radzie Nadzorczej, lub jakichkolwiek świadczeń majątkowych z Banku, spółek zależnych lub dominujących, 5) nie jest osobą bliską dla członka organu Banku lub pracownika Banku zatrudnionego na stanowisku kierowniczym ani osobą bliską dla akcjonariusza, będącego osobą fizyczną, posiadającego bezpośrednio lub pośrednio 5% lub więcej akcji Banku. Niezależny członek Rady Nadzorczej pełni funkcję Przewodniczącego Zespołu ds. Audytu. Szczegółowe kryteria niezależności członków Rady Nadzorczej Bank przedstawi Walnemu Zgromadzeniu w celu wprowadzenia odpowiednich zmian w Statucie Banku. Bez zgody większości niezależnych członków Rady Nadzorczej, nie są podejmowane uchwały w sprawach: • świadczenia z jakiegokolwiek tytułu przez Bank i jakiekolwiek podmioty powiązane z Bankiem na rzecz członków zarządu; • wyrażenia zgody na zawarcie przez Bank lub podmiot od niego zależny istotnej umowy z podmiotem powiązanym z Bankiem ą, członkiem rady nadzorczej albo zarządu oraz z podmiotami z nimi powiązanymi; • wyboru biegłego rewidenta dla przeprowadzenia badania sprawozdania finansowego Banku. 21. Członek rady nadzorczej powinien przede wszystkim mieć na względzie interes spółki. TAK Członkowie Rady Nadzorczej w swej działalności kierują się interesem Banku. 22. Członkowie Rady Nadzorczej powinni podejmować odpowiednie działania, aby otrzymywać od Zarządu regularne i wyczerpujące informacje o wszystkich istotnych sprawach dotyczących działalności spółki oraz o ryzyku związanym z prowadzoną działalnością i sposobach zarządzania tym ryzykiem. TAK Rolą Rady Nadzorczej jest sprawowanie nadzoru w taki sposób, aby zapewnić osiągnięcie przez Bank zakładanych wyników finansowych. W tym celu Zarząd Banku współpracuje z Radą Nadzorczą, udziela jej wyczerpujących informacji o wszystkich istotnych kwestiach dotyczących działalności Banku. Rada Nadzorcza utworzyła zespoły problemowe, zajmujące się poszczególnymi dziedzinami działalności Banku, do których należą zespół do spraw audytu, zespół do spraw wynagrodzeń oraz zespół do spraw finansów. 23. O zaistniałym konflikcie interesów członek rady nadzorczej powinien poinformować pozostałych członków rady i powstrzymać się od zabierania głosu w dyskusji oraz od głosowania nad przyjęciem uchwały w sprawie, w której zaistniał konflikt interesów. Informacje o powiązaniach członka Rady Nadzorczej są publikowane w raportach bieżących i okresowych, zgodnie z obowiązującymi przepisami prawa. 25. Posiedzenia rady nadzorczej, z wyjątkiem spraw dotyczących bezpośrednio zarządu lub jego członków, w szczególności: odwołania, odpowiedzialności oraz ustalania wynagrodzenia, powinny być dostępne i jawne dla członków zarządu. TAK Zasada jest inkorporowana w § 14 ust.1 Regulaminu Rady Nadzorczej w następującym brzmieniu: 1. Posiedzenia Rady Nadzorczej, z wyjątkiem poświęconych rozpatrywaniu spraw dotyczących bezpośrednio Zarządu Banku lub jego członków, w szczególności odwołania, odpowiedzialności oraz ustalania wynagrodzenia, powinny być dostępne i jawne dla członków Zarządu. 26. Członek rady nadzorczej powinien umożliwić zarządowi przekazanie w sposób publiczny i we właściwym trybie informacji o zbyciu lub nabyciu akcji spółki lub też spółki wobec niej dominującej lub zależnej, jak również o transakcjach z takimi spółkami, o ile są one istotne dla jego sytuacji materialnej. TAK Zasada jest inkorporowana w § 18 pkt1 Regulaminu Rady Nadzorczej w następującym brzmieniu: Członek Rady Nadzorczej powinien niezwłocznie poinformować Zarząd Banku, w celu umożliwienia mu przekazania informacji we właściwym trybie do publicznej wiadomości, o: 1) nabyciu lub zbyciu akcji Banku lub spółki wobec niego dominującej lub zależnej, jak również o transakcjach z takimi spółkami, o ile jest to istotne dla jego sytuacji materialnej. 27. Wynagrodzenie członków rady nadzorczej powinno być ustalane na podstawie przejrzystych procedur i zasad. Wynagrodzenie to powinno być godziwe, lecz nie powinno stanowić istotnej pozycji kosztów działalności spółki ani wpływać w poważny sposób na jej wynik finansowy. Powinno też pozostawać w rozsądnej relacji do wynagrodzenia członków zarządu. Łączna wysokość wynagrodzeń wszystkich, a także indywidualna każdego z członków rady nadzorczej w rozbiciu dodatkowo na poszczególne jego składniki powinna być ujawniana w raporcie rocznym wraz z informacją o procedurach i zasadach jego ustalania. TAK Zasada ta jest stosowana przez Bank. Wymagane informacje są zamieszczane w raportach rocznych. 28. Rada nadzorcza powinna działać zgodnie ze swym regulaminem, który powinien być publicznie dostępny. Regulamin powinien przewidywać powołanie co najmniej dwóch komitetów: • audytu oraz • wynagrodzeń. W skład komitetu audytu powinno wchodzić co najmniej dwóch członków niezależnych oraz przynajmniej jeden posiadający kwalifikacje i doświadczenie w zakresie rachunkowości i finansów. Zadania komitetów powinien szczegółowo określać regulamin rady nadzorczej. Komitety rady powinny składać radzie nadzorczej roczne sprawozdania ze swojej działalności. Sprawozdania te spółka powinna udostępnić akcjonariuszom. TAK Zasada ta jest inkorporowana w § 6 ust. 5-8 Regulaminu Rady Nadzorczej w następującym brzmieniu: 5. Rada Nadzorcza, w ramach zespołów, o których mowa w ust. 1, powołuje Zespół ds. audytu oraz Zespół ds. wynagrodzeń. Rada Nadzorcza może powołać również inne zespoły. 6. Do zadań Zespołu ds. audytu należy w szczególności: 1) nadzór nad działalnością audytu wewnętrznego w Banku, 2) w zakresie określonym w pkt 1, przeprowadzanie inspekcji i szczegółowych badań w komórkach Centrali i jednostkach organizacyjnych Banku oraz ocena wyników tych inspekcji i badań, 3) bezpośredni nadzór nad działalnością operacyjną Zarządu Banku, 4) przedstawianie rekomendacji w sprawie wyboru podmiotu pełniącego funkcję biegłego rewidenta. 7. Do zadań Zespołu ds. wynagrodzeń należy przedkładanie Radzie Nadzorczej propozycji, w szczególności w sprawach: 1) ustalania wynagrodzeń dla członków Zarządu Banku, 2) polityki wynagradzania kadry menedżerskiej Banku, 3) przedłożenia Walnemu Zgromadzeniu propozycji w sprawie wynagrodzeń dla członków Rady Nadzorczej. 8. Powołane przez Radę Nadzorczą zespoły przedkładają Radzie Nadzorczej roczne sprawozdania z działalności. W skład Zespołu ds. Audytu wchodzi dwóch członków niezależnych, w tym jeden posiadający kwalifikacje i doświadczenie w zakresie rachunkowości i finansów. 29. Porządek obrad rady nadzorczej nie powinien być zmieniany lub uzupełniany w trakcie posiedzenia, którego dotyczy. Wymogu powyższego nie stosuje się, gdy obecni są wszyscy członkowie rady nadzorczej i wyrażają oni zgodę na zmianę lub uzupełnienie porządku obrad, a także gdy podjęcie określonych działań przez radę nadzorczą jest konieczne dla uchronienia spółki przed szkodą jak również w przypadku uchwały, której przedmiotem jest ocena, czy istnieje konflikt interesów między członkiem rady nadzorczej a spółką. TAK Zasada jest inkorporowana w §10 ust. 4 i 5 Regulaminu Rady Nadzorczej w następującym brzmieniu: 4.Porządek obrad Rady Nadzorczej nie może zostać zmieniony lub uzupełniony w trakcie posiedzenia, którego dotyczy, chyba że na posiedzeniu obecni są wszyscy członkowie Rady Nadzorczej i wyrażą oni zgodę na zmianę lub uzupełnienie porządku obrad. 5.Porządek obrad może być również zmieniony, jeżeli podjęcie określonych działań przez Radę Nadzorczą jest konieczne dla uchronienia Banku przed szkodą, jak również w przypadku uchwały, której przedmiotem jest ocena, czy istnieje konflikt interesów między członkiem Rady Nadzorczej a Bankiem. 30. Członek rady nadzorczej oddelegowany przez grupę akcjonariuszy do stałego pełnienia nadzoru powinien składać radzie nadzorczej szczegółowe sprawozdania z pełnionej funkcji. TAK Zasada jest inkorporowana w § 6 ust. 2 i 3 Regulaminu Rady Nadzorczej w następującym brzmieniu: 1. W przypadku wyboru Rady Nadzorczej w drodze głosowania oddzielnymi grupami, każda grupa ma prawo delegować jednego spośród wybranych przez siebie członków Rady Nadzorczej do stałego indywidualnego wykonywania czynności nadzorczych. 2. Członek Rady Nadzorczej oddelegowany do stałego pełnienia nadzoru powinien składać Radzie szczegółowe sprawozdania z pełnionej funkcji. 31. Członek rady nadzorczej nie powinien rezygnować z pełnienia tej funkcji w trakcie kadencji, jeżeli mogłoby to uniemożliwić działanie rady, a w szczególności jeśli mogłoby to uniemożliwić terminowe podjęcie istotnej uchwały. TAK Członkowie Rady Nadzorczej w swoim postępowaniu kierują się interesem Banku i podejmują wszelkie działania mające na celu zapewnienie sprawnego funkcjonowania Rady Nadzorczej. Dobre praktyki zarządów 32. Zarząd, kierując się interesem spółki, określa strategię oraz główne cele działania spółki i przedkłada je radzie nadzorczej, po czym jest odpowiedzialny za ich wdrożenie i realizację. Zarząd dba o przejrzystość i efektywność systemu zarządzania spółką oraz prowadzenie jej spraw zgodne z przepisami prawa i dobrą praktyką. TAK Zgodnie z Regulaminem Zarządu Banku, Zarząd Banku opracowuje strategię rozwoju Banku oraz jest odpowiedzialny za jej wdrożenie i realizację. Rada Nadzorcza opiniuje przygotowane przez Zarząd wieloletnie programy rozwoju Banku i roczne plany finansowe Banku. Ponadto Rada Nadzorcza w ramach powołanych zespołów przeprowadza monitoring stopnia realizacji strategii rozwoju Banku. Zarząd Banku dba o przejrzystość i efektywność systemu zarządzania oraz prowadzi sprawy Banku zgodnie z przepisami prawa i Dobrymi Praktykami. Podstawą zarządzania Bankiem jest profesjonalizm, wiarygodność oraz poufność. Stosunki z klientami cechuje rzetelność i uczciwość oraz postępowanie zgodne z obowiązującym prawem, w tym z przepisami dotyczącymi zapobiegania praniu brudnych pieniędzy. Wartości te stanowią jedne z zasad obowiązującego w Banku Kodeksu Etyki Zawodowej. 33. Przy podejmowaniu decyzji w sprawach spółki członkowie zarządu powinni działać w granicach uzasadnionego ryzyka gospodarczego, tzn. po rozpatrzeniu wszystkich informacji, analiz i opinii, które w rozsądnej ocenie zarządu powinny być w danym przypadku wzięte pod uwagę ze wzglądu na interes spółki. Przy ustalaniu interesu spółki należy brać pod uwagę uzasadnione w długookresowej perspektywie interesy akcjonariuszy, wierzycieli, pracowników spółki oraz innych podmiotów i osób współpracujących ze spółką w zakresie jej działalności gospodarczej a także interesy społeczności lokalnych. TAK Misją Banku jest zapewnienie akcjonariuszom stałego i atrakcyjnego wzrostu wartości Banku. Zarząd Banku realizując zasadę sprawnego i rozważnego zarządzania Bankiem jest odpowiedzialny za inicjowanie i realizację programów mających na celu zwiększenie wartości Banku, zwrotu z inwestycji dla akcjonariuszy oraz ochronę długofalowych interesów pracowników. Zarząd Banku podejmując decyzje dokłada wszelkich starań, aby jak najpełniej zapewnić realizację interesów akcjonariuszy, wierzycieli, pracowników oraz innych podmiotów i osób współpracujących z Bankiem w zakresie jego działalności gospodarczej. 34. Przy dokonywaniu transakcji z akcjonariuszami oraz innymi osobami, których interesy wpływają na interes spółki, zarząd powinien działać ze szczególną starannością, aby transakcje były dokonywane na warunkach rynkowych. TAK Podstawą określenia wartości transakcji z akcjonariuszami oraz innymi osobami, których interesy wpływają na interes Banku, jest cena rynkowa. 35. Członek zarządu powinien zachowywać pełną lojalność wobec spółki i uchylać się od działań, które mogłyby prowadzić wyłącznie do realizacji własnych korzyści materialnych. W przypadku uzyskania informacji o możliwości dokonania inwestycji lub innej korzystnej transakcji dotyczącej przedmiotu działalności spółki, członek zarządu powinien przedstawić zarządowi bezzwłocznie taką informację w celu rozważenia możliwości jej wykorzystania przez spółkę. Wykorzystanie takiej informacji przez członka zarządu lub przekazanie jej osobie trzeciej może nastąpić tylko za zgodą zarządu i jedynie wówczas, gdy nie narusza to interesu spółki. TAK Obowiązkiem każdego członka Zarządu Banku jest podejmowanie działań, które mają na celu interes Banku. Zgodnie z obowiązującym w Banku Kodeksem Etyki Zawodowej od każdego członka Zarządu Banku oczekuje się uczciwości i lojalności na rzecz realizacji wspólnych celów oraz poszanowania i roztropnego korzystania z dóbr i zasobów Banku. 36. Członek zarządu powinien traktować posiadane akcje spółki oraz spółek wobec niej dominujących i zależnych jako inwestycję długoterminową. TAK Bank posiada procedurę dotyczącą zasad obrotu przez członków kierownictwa papierami wartościowymi emitowanymi przez Bank. Powyższa procedura ustala szereg wymogów, które winien spełnić członek Zarządu Banku dokonując transakcji akcjami Banku np. obowiązek powiadomienia Prezesa Zarządu Banku o zamiarze rozpoczęcia długoterminowego nabywania lub zbywania akcji Banku w drodze jednej lub serii transakcji. 37. Członkowie zarządu powinni informować radę nadzorczą o każdym konflikcie interesów w związku z pełnioną funkcją lub o możliwości jego powstania. TAK Zgodnie z obowiązującym w Banku Kodeksem Etyki Zawodowej członkom Zarządu Banku zabrania się podejmowania takich decyzji lub działań, które powodowałyby konflikt interesów, albo które byłyby sprzeczne z interesami Banku lub nie do pogodzenia z obowiązkami służbowymi. Członek Zarządu Banku jest obowiązany poinformować Radę Nadzorczą o powstaniu sytuacji, w której mógłby wystąpić lub wystąpił konflikt interesów. Łączna wysokość wynagrodzeń wszystkich, a także indywidualna każdego z członków zarządu w rozbiciu dodatkowo na poszczególne jego składniki, powinna być ujawniana w raporcie rocznym wraz z informacją o procedurach i zasadach jego ustalania. Jeżeli wysokość wynagrodzenia poszczególnych członków zarządu znacznie się od siebie różni, zaleca się opublikowanie stosownego wyjaśnień. TAK Bank stosuje tę zasadę. Wymagane informacje są zamieszczane w raportach rocznych. 40. Zarząd powinien ustalić zasady i tryb pracy oraz podziału kompetencji w regulaminie, który powinien być jawny i ogólnie dostępny. TAK Zasady i tryb pracy Zarządu Banku zostały ustalone w Regulaminie Zarządu. Szczegółowy podział kompetencji pomiędzy członków Zarządu został ustalony Zarządzeniem Prezesa Zarządu Banku, które stanowi Załącznik do Regulaminu Zarządu. Regulamin Zarządu jest dostępny na stronach internetowych Banku. Dobre Praktyki w zakresie relacji z osobami i instytucjami zewnętrznymi 41. Podmiot, który ma pełnić funkcję biegłego rewidenta w spółce powinien być wybrany w taki sposób, aby zapewniona była niezależność przy realizacji powierzonych mu zadań TAK Podmiot, który ma pełnić funkcje biegłego rewidenta, jest wybierany zgodnie z obowiązującą w Banku procedurą, w sposób zapewniający niezależność przy realizacji powierzonych biegłemu rewidentowi zadań. 42. W celu zapewnienia niezależności opinii spółka powinna dokonywać zmiany biegłego rewidenta przynajmniej raz na pięć lat. Przez zmianę biegłego rewidenta rozumie się również zmianę osoby dokonującej badania. Ponadto w dłuższym okresie spółka nie powinna korzystać z usług tego samego podmiotu dokonującego badania. TAK Zgodnie z istniejącą w Banku praktyką umowy z biegłym rewidentami są zawierane zwykle na okres 2-3 lat. 43. Wybór podmiotu pełniącego funkcję biegłego rewidenta powinien być dokonany przez radę nadzorczą po przedstawieniu rekomendacji komitetu audytu lub przez walne zgromadzenie po przedstawieniu rekomendacji rady nadzorczej zawierającej rekomendacje komitetu audytu. Dokonanie przez radę nadzorczą lub walne zgromadzenie innego wyboru niż rekomendowany przez komitet audytu powinno zostać szczegółowo uzasadnione. Informacja na temat wyboru podmiotu pełniącego funkcje biegłego rewidenta wraz z uzasadnieniem powinna być zawarta w raporcie rocznym. TAK Zgodnie z § 13 pkt 17 Statutu Banku wyboru biegłego rewidenta dokonuje Walne Zgromadzenie. W swoim wyborze Walne Zgromadzenie kieruje się rekomendacją Rady Nadzorczej, przygotowaną przez Zespół ds. audytu Rady Nadzorczej. 44. Rewidentem do spraw szczególnych nie może być podmiot pełniący obecnie lub w okresie którego dotyczy badanie funkcję biegłego rewidenta w spółce lub w podmiotach od niej zależnych. TAK Dotychczas w Banku nie był powoływany rewident do spraw szczególnych. Jednakże w razie powołania takiego rewidenta Zarząd Banku zapewnia, że powyższa zasada będzie przestrzegana. 45. Nabywanie własnych akcji przez spółkę powinno być dokonane w taki sposób, aby żadna grupa akcjonariuszy nie była uprzywilejowana. TAK Bank nigdy nie nabywał własnych akcji. W przypadku takiej transakcji, Zarząd Banku zapewnia, że powyższa zasada będzie przestrzegana. 46. Statut spółki, podstawowe regulacje wewnętrzne, informacje i dokumenty związane z walnymi zgromadzeniami, a także sprawozdania finansowe powinny być dostępne w siedzibie spółki i na jej stronach internetowych. TAK Statut, Regulamin WZ, Regulamin Rady Nadzorczej Regulamin Zarządu Banku oraz sprawozdania finansowe są dostępne na stronach internetowych Banku. 47. Spółka powinna dysponować odpowiednimi procedurami i zasadami dotyczącymi kontaktów z mediami i prowadzenia polityki informacyjnej, zapewniającymi spójne i rzetelne informacje o spółce. Spółka powinna, w zakresie zgodnym z przepisami prawa i uwzględniającym jej interesy, udostępniać przedstawicielom mediów informacje na temat swojej bieżącej działalności, sytuacji gospodarczej przedsiębiorstwa, jak również umożliwić im obecność na walnych zgromadzeniach. TAK Za prowadzenie polityki informacyjnej Banku odpowiadają Biuro Public Relations oraz Biuro Relacji Inwestorskich. Biuro Public Relations koordynuje działalność informacyjną a w szczególności kształtuje ogólną politykę informacyjną Banku oraz jego wizerunek oraz relacje z mediami i organizacjami branżowymi. Biuro Relacji Inwestorskich odpowiada za realizację obowiązków informacyjnych Banku, wynikających z zawartych przez Bank umów oraz właściwych przepisów prawa mających zastosowanie do spółek publicznych, w szczególności: redaguje i publikuje informacje bieżące i okresowe, kształtuje relacje z akcjonariuszami oraz środowiskiem inwestorów i analityków giełdowych w kraju i za granicą. Przedstawiciele mediów mogą być obecni na Walnym Zgromadzeniu za zgodą Przewodniczącego Walnego Zgromadzenia. 48. Spółka powinna przekazać do publicznej wiadomości w raporcie rocznym oświadczenie o stosowaniu zasad ładu korporacyjnego. UNOFFICIAL TRANSLATION Report 23/2005 The Statement on the compliance with the Good Practices in Public Companies 2005. In connection with the resolution no 44/1062/2004 of the Council of the Stock Exchange and the resolution 445/2004 of the Management Board of the Stock Exchange dated December 15, 2004 on the adoption of the of the corporate governance rules for the companies being the issuers of shares, bonds convertible into shares or bonds with the priority right which are admitted to trading at the main market the Management Board of Bank Polska Kasa Opieki S.A. submits the statement on the compliance with the “Good Practices in Public companies 2005” in the following wording: I Objective of the Company The basic objective of operations of a company’s authorities is to further the interest of the company, i.e. to increase the value of the assets entrusted by its shareholders, with consideration to the rights and interests of entities other than shareholders, involved in the functioning of the company, including, in particular, the company’s creditors and employees.YESThis principle is being applied by the Bank. It has been reflected in the mission of the Bank, which is included in the Code of Professional Ethics in force in the Bank. The mission of the Bank is to ensure the permanent and attractive growth in Bank’s value for Bank’s shareholders by strengthening its position of a leader on the domestic market and systematic development on the markets of Central Europe as the universal financial institution being a solid partner for its clients and the best workplace for best persons. II Majority Rule and Protection of Minority A joint-stock company is a capital venture, and, therefore, it must respect the principle of capital majority rule and the primacy of majority over minority. A shareholder that contributed bigger capital also bears a higher economic risk. It is, therefore, justified that his interest be taken into consideration in proportion to the contributed capital. The minority must have a guarantee of proper protection of their rights, within limits set by the law and commercial integrity. While exercising its rights, the majority shareholder should take into account the interests of the minority. YESThe authorities of the Bank, in the course of carrying out duties that have been assigned to them, make sure that the achievement of interests of the majority shareholder is not detrimental to the minority shareholders. This principle is being implemented by, inter alia appropriate composition of the Supervisory Board, which includes the representatives of the majority and minority shareholders, as a consequence of which the interests of all groups of shareholders are being taken into consideration in performing supervision. The principle of majority rule is reflected in § 10 Section 2 of the Statute of the Bank, pursuant to which the General Meeting of Shareholders shall be entitled to adopt resolutions if at least 50% of the shares plus one share are represented during such meeting. The purpose of this provision is to guarantee that, the General Meeting of Shareholders will adopt resolutions on the most important matters for the Bank and its shareholders when the shareholders representing the aggregate of the absolute majority of the statutory capital are present. If the resolution of the General Meeting is not adopted due to the lack of quorum referred to above, during the next General Meeting of Shareholders, with the same agenda as the General Meeting of Shareholders, which did not adopt a resolution for the lack of the quorum, the presence of the shareholders representing at least 20% of the shares is required for an adoption of the resolution III Honest Intentions and No-Abuse of Rights The exercise of rights and the reliance on legal institutions should be based on honest intentions (good faith) and cannot reach beyond the purpose and economic reasons for which these institutions have been established. No activities should be taken which exceed the limits so set and, thus, constitute an abuse of the law. The minority should be protected against abuse of ownership rights by the majority and the interests of the majority should be protected against abuse by the minority of its rights, thus, ensuring the best protection of equitable interests of the shareholders and other market participants. YESThe members of the authorities of the Bank perform their functions and carry out their rights and duties with the utmost due diligence and in all good faith. The members of the authorities of the Bank make every endeavour to make sure that the actions taken by the Bank comply with the ethical standards, in particular with the principles included in the Code of Professional Ethics in force in the Bank. Members of the authorities of the Bank, as the publicly listed company, are aware of the special responsibility connected with this fact. It concerns especially the issues of responsibility towards both majority and minority shareholders, who trust that the Bank will act in a professional manner in such a way, which will not only protect the invested capital but also ensure a proper revenue on the invested capital. IV Court control The company’s authorities and persons chairing a general meeting cannot decide on issues, which should be resolved by court judgements. This does not apply to activities, which are within the powers of the company’s authorities and persons chairing general meetings, or which they are obliged to undertake by force of law.YES The Management Board of the Bank assures that the authorities of the Bank and the persons chairing the General Meeting of Shareholders do not decide on issues that should be resolved by the court judgements. During the sitting of the General Meeting of Shareholders, the General Meeting of Shareholders decides only on matters, pertaining to the order of the Meeting. The motions, which may affect the exercising of rights by shareholders, are not put to the vote in that manner. V Independent Opinions Ordered by the Company When choosing an entity, which is to provide expert, services, including, in particular, the services of an expert auditor, financial and tax advisory services, as well as legal services, the company should consider whether there exist circumstances limiting the independence of this entity when performing the entrusted tasks. YESWhile choosing the entities, which are to provide expert services for the Bank, the Bank assesses by objective criteria the quality of their services, the price, the conditions of providing such services, which constitutes one of the principles of the Code of Professional Ethics in force in the Bank. The Order of the President of the Management Board, which is in force the Bank, sets forth a detailed procedure concerning the rules of placing orders for the services performed in favour of the Bank. The procedure contains detailed principles of choosing the entities performing all kinds of services for the Bank, as a result of which it is possible to make as assessment whether there are any circumstances which might restrict the independence of such entities in carrying out the entrusted duties. Best Practices of General Meetings 1. A general meeting should take place in a location and at a time to allow the participation of as many shareholders as possible. YESThe General Meetings of Shareholders are held at the Bank’s registered office. While determining the date of the General Meeting of Shareholders the Management Board of the Bank bears in mind that the date of the General Meeting of Shareholders should allow as many shareholders as possible to participate in the General Meeting of Shareholders. 2. A request for convening a general meeting and placing certain issues on its agenda, made by parties entitled to do that should be justified. Draft resolutions proposed to be adopted by the general meeting and other key documents should be presented to the shareholders along with a justification and an opinion of the supervisory board prior to the general meeting, in advance so as to allow them to review and evaluate the same.YESThis principle is incorporated into § 8 Section 3 sentence no.3 of the Statute of the Bank in the following wording: The requests for convening the General Meeting of Shareholders and for including specific matters on the agenda of the General Meeting of Shareholders should be justified. The drafts of the proposed resolutions, together with statements of justification thereof, that are presented for an adoption by the General Meeting of Shareholders are made available to shareholders 8 days before the General Meeting of Shareholders at the latest. The copies of the Management Board report on the operations of the Bank and of the financial report, together with a Supervisory Board report and the opinion of the auditor shall be provided to shareholders upon their request not later than fifteen days before the General Meeting of Shareholders. All matters to be submitted to the General Meeting of Shareholders have the recommendation of the Supervisory Board. Pursuant to § 9 of the Statute of the Bank all matters to be submitted to the General Meeting of Shareholders shall be first submitted by the Management Board to the Supervisory Board for consideration. 3. The general meeting convened at the request of shareholders should be held on a date given in the request, and if this date cannot be kept, on the closest date, which will allow the general meeting to settle the issues, placed on its agenda.YESThe General Meeting of Shareholders has never been convened upon shareholders request. The Management Board of the Bank however, assures that if such situation occurs, the principle no.3 shall be followed. 4. A general meeting whose agenda includes certain issues at the request of authorised entities or which has been convened at such request may be cancelled only upon consent of the requesting parties. In all other instances, a general meeting may be cancelled if its holding is hindered (force majeure) or is obviously groundless. The meeting is called off in the same manner as it has been convened, ensuring as little negative consequences for the company and its shareholders as possible, and in any case no later than three weeks prior to the original dates of the meeting. A change in the date of the general meeting is made in the same manner as the cancellation, even if the proposed agenda does not change.YESIt had never happened that the General Meeting of Shareholders that has been convened was not held. The Management Board of the Bank however, assures that in the case of the necessity to call off the General Meeting of Shareholders, the principle no.4 shall be followed. 5. In order for a representative of a shareholder to participate in a general meeting, his right to act on behalf of the shareholder should be duly documented. It should be presumed that a written document confirming the right to represent a shareholder at a general meeting is in conformity with the law and does not require any additional confirmations and acknowledgement unless its authenticity or validity prima facie raises doubts of the company’s management board (upon drawing-up the attendance list) or the chairman of the general meeting.YESThe principle is incorporated into § 3 Section 9 of the Regulation of Shareholders’ Meetings of Bank Polska Kasa Opieki S.A. (hereinafter referred to as the “Regulation”) in the following wording: 9. The representatives of legal persons are required to deposit the current excerpts from the relevant registers indicating the persons authorised to represent these entities. Persons do not indicated in the excerpts should present a written power of attorney. In its announcements on convening the General Meeting of Shareholders, which are being published in the Court and Business Monitor, the Bank informs of the formal requirements that the power of attorney, which allows for a participation in the General Meeting of Shareholders, must satisfy. 6. The general meeting should have regular by-laws setting forth the detailed principles of conducting the meetings and adopting resolutions. The by-laws should contain, in particular, provisions concerning elections, including elections to the supervisory board by voting in separate groups. The by-laws should not be subject to frequent changes; it is advisable that the changes enter into force as of the subsequent general meeting.YESThe General Meeting of Shareholders possesses the Regulation, which lays down detailed principles of conducting the meetings and adopting resolutions. The Regulation contains the provisions (§13 Sections 10 – 17) regarding the elections to the Supervisory Board by voting in separate groups in the following wording: 10.Upon the motion of the shareholders representing at least one fifth of the share capital, the election of the Board should be made by the vote in separate groups. Such motion should be submitted to the Management Board of the Bank in writing in a time, which will render it possible to place it on the agenda. 11.The persons representing at the Shareholders’ Meeting the portion of shares which represents the division of the total number of shares by the number of members of the Board may create a separate group for the purpose of electing one member of the Board and shall not participate in the election of the remaining members. 12.Before the election of the members of the Board by the Shareholders’ Meeting by vote in separate groups, the Chairman of Shareholders’ Meeting the informs Shareholders’ Meeting of the number of persons present, number of shares represented by the shareholders and the number of shares necessary for the creation of the group capable of choosing a member of the Board. 13.The Chairman of the Shareholders’ Meeting shall conduct the procedure of choosing the members of the Board by voting in separate groups. 14.The authority convening the General Meeting of Shareholders shall provide the created group with the separate place for the gathering and carrying out the elections. 15.The mandates in the Board not filled by the appropriate group of shareholders created in accordance with Section 11 shall be filled by the vote held with the participation of all shareholders whose votes were not cast in the election of members of the Board by a vote in a separate groups. 16.If during the Shareholders’Meeting referred to in Section 11 not even a single group capable of electing a member of the Board is created, the elections shall not be held. 17.Upon election of at least one member of the Board in accordance with Sections 10 –16 the mandates of all existing members of the Board shall expire prematurely. The principle pursuant to which the amendments to the Regulation should enter into force beginning from the next General Meeting of Shareholders is incorporated in §19 Section 2 of the Regulation in the following wording: 2.An amendment of this Regulation shall enter into force beginning from the next Shareholders’ Meeting. 7. A person opening the general meeting should procure an immediate election of the chairman of the meeting, and should refrain from any substantial or formal decisions.YESThe Bank complies with this principle. It has been reflected in § 5 Section 2 of the Regulation in the following wording: 2. The person opening the Shareholders’ Meeting should take steps leading to an election of the Chairman of Shareholders’ Meeting while refraining from making decisions regarding essential or formal matters. 8. The chairman of the general meeting ensures an efficient conduct of the meeting and observance of the rights and interests of all shareholders. The chairman should counteract, in particular, the abuse of rights by the participants of the meeting and should guarantee that the rights of minority shareholders are respected. The chairman should not, without sound reason, resign from his function, or put off the signing of the minutes of the meeting.YESThe Bank complies with this principle. Pursuant to §6 Section 2 of the Regulation, the duties and rights of the Chairman of the Shareholders’ Meeting shall include inter alia: 1) making sure that the Shareholders’ Meeting is held in an efficient manner and in accordance with its agenda and that the rights and interests of the shareholders are respected and especially counteracting against abuse of rights by the majority shareholders and making sure that rights of minority shareholders are respected; the Chairman of the Shareholders’ Meeting may not without the Shareholders’ Meeting’s consent withdraw or change the order of the matters placed on the agenda, 2) efficient management of the discussion, especially; a) allowing the Participants of the Shareholders’ Meeting to speak, b) preparation, if necessary, of the list of the persons that have registered for discussion and determining the maximum amount of time per speech, c) revoking of the participant's right to speak, especially when his statement concerns matters outside the registration for the discussion or is outside the scope of the agenda of the Shareholders’ Meeting, violates the law or good customs or renders the correct conduct of the Shareholders’ Meeting impossible; 3) deciding that voting should take place and supervising its process, 4) announcing the results of voting, 5) declaring whether the resolution has been adopted or not and announcing resolutions, 6) deciding on making short pauses of the regulatory nature in the sitting of Shareholders’ Meeting 7) making decisions regarding the doubts as to the application of this regulation, 8) co-operating with the notary preparing the minutes, 9)making other decisions of the regulatory nature. Pursuant to §6 Section 4 of the Regulation the Chairman of the Shareholders' Meeting may make use of the assistance of lawyers and other experts present during the Shareholders' Meeting. 9. A general meeting should be attended by the members of both the supervisory board and the management board. The auditor should also be present at an annual general meeting and an extraordinary general meeting if the company’s financial matters are to be discussed. The absence of a supervisory or management board member from the general meeting requires an explanation, which should be given at the meeting. YESThis principle is incorporated into § 3 Section 2 and 3 of the Regulation in the following wording: 2. The members of the Management Board of the Bank and Supervisory Board should also participate in the Shareholders’ Meeting. 3. The auditor should be present during the Shareholders’ Meeting, which shall discuss financial matters, and especially during the ordinary Shareholders’ Meeting. If due to important reasons a participation of the member of the Management Board or the Supervisory Board in the Shareholders’ Meeting is not possible, the reasons for absence will be presented to the Shareholders’ Meeting. 10. Members of the supervisory board and the management board and the expert auditor of the company should, within their powers and to the extent necessary for the settlement of issues discussed by the general meeting, provide the participants of the meeting with explanations and information concerning the company.YESPursuant to § 3 Section 2 and 3 of the Regulation, members of the Management Board of the Bank and the Supervisory Board of the Bank and, in case that the financial matters are to be discussed – the expert auditor should also participate in the General Meeting of Shareholders. This principle is aimed at, inter alia, enabling the participants of the General Meeting of Shareholders, to ask questions in order to obtain explanations and information concerning the Bank. 11. All answers provided by the management board to the questions posed by the general meeting should take into account the fact that the reporting obligations are performed by a public company in a manner which follows from the Law on Public Trading in Securities, and certain information cannot be provided otherwise.YESThis principle is incorporated into § 10 Section 2 of the Regulation in the following wording: Art.428 of the Commercial Companies Code applies to the information presented by the member of the Management Board of the Bank upon the request of the participant of Shareholders’ Meeting, which is entitled to vote. While answering the questions of the Shareholders’ Meeting the member of the Management Board of the Bank should take into account the fact that the company carries out informational duties in a manner prescribed by the Act on public trading of securities as well as the fact that providing certain kinds of information may not be done in a manner different than the one set forth in these rules. 12. Short breaks in the session which do not defer the session, ordered by the chairman in justified cases, cannot be aimed at hindering the exercise of the rights by the shareholders.YESThis principle is incorporated into § 10 Section 6 and 7 of the Regulation in the following wording: 6. The Shareholders’ Meeting may, by a majority of two thirds decide to make a pause during the sitting. The pauses may not exceed 30 days in a total. 7. The rule referred to in Section 6 does not apply to short pauses pertaining to the order during the sitting of the Shareholders’ Meeting introduced by the Chairman of the Shareholders’ Meeting e.g. an hourly pause for rest. Such pauses may not be aimed at impeding the exercise of shareholders’ rights. 13. Voting on issues placed on the agenda may be carried out only on issues related to the conduct of the meeting. This voting procedure cannot apply to resolutions, which may have impact on the exercise by the shareholders of their rights.YESThe principle is incorporated into § 10 Section 5 of the Regulation in the following wording: 5. The voting on matters pertaining to the order during the sitting of the Shareholders’ Meeting may only concern issues connected with conducting the sitting of the Shareholders’ Meeting. The motions, which may affect the exercising of rights by shareholders, may not be put to the vote in that manner. 14. A resolution not to consider an issue on the agenda may be adopted only if it is supported by sound reasons. Any motion in this respect should be accompanied by a detailed justification. A decision to remove an item from the agenda or not to consider an issue put on the agenda at a shareholder’s request requires a general meeting resolution, once all the shareholders present who put the issue on the agenda have given their consent, supported by 75% of the votes present at the meeting. NOAn incorporation of the above rule requires an amendment to the Statute of the Bank. It results from art.414 of the Commercial Companies Code, pursuant to which the resolutions shall be adopted by an absolute majority of votes unless the provisions of the code or the statute stipulate otherwise. Taking into account that the provisions of the code do not provide that a removal from the agenda or an abandonment of the consideration of the case put on the agenda at the request of the shareholders requires an adoption of the resolution of the shareholders’ meeting after the prior consent of the shareholders who put the issue on the agenda, supported by 75% of votes, an amendment to the Statute is necessary. The Bank plans to amend the statute in order to incorporate this rule at the next General Meeting of Shareholders. 15. A party objecting to a resolution must have an opportunity to concisely present the reasons for its objection.YES The principle is incorporated into 11 Section 5 of the Regulation in the following wording: 5.A person raising an objection shall have the right to justify it. 16. Due to the fact that the Code of Commercial Companies does not provide for court control in the event where a resolution is not adopted by the general meeting, the management board or the chairman of the meeting should form the resolutions in such a way that each person who does not agree with a decision being the subject of the resolution, have the possibility of challenging the same; provided that he is entitled to do so.YESThe Management Board of the Bank, which is the authority responsible for providing legal assistance to the General Meeting of Shareholders, shall make every endeavour to make sure that resolutions are being formulated in a clear and transparent manner. 17. At the request of a participant in the general meeting, his written statement is recorded in the minutes.YESThe principle is incorporated into § 16 Section 3 of the Regulation in the following wording: 3. Upon the request of the participant of the Shareholders’ Meeting, his/her written statement shall be recorded in the minutes. Best Practices of Supervisory Boards 18. The supervisory board submits a concise evaluation of the company’s standing to the general meeting every year. The evaluation should be made available to all shareholders early enough to allow them to become acquainted with the contents before the annual general meeting. YESThe evaluation of the standing of the Bank by the Supervisory Board is being made available to shareholders before the General Meeting of Shareholders. 19. A member of the supervisory board should have relevant education, professional and practical experience, be of high morale and be able to devote all time required to properly perform the function on the supervisory board. Candidates for members of the supervisory board should be presented and supported by reasons in sufficient detail to allow an educated choice.YESIn the course of its actions, which are aimed at creation of a strong and modern business entity, the Bank appreciates the importance of skills for achievement of business results. For these reasons, the Bank makes every endeavour to make sure that the members of the authorities of the Bank posses the required knowledge and experience. During the elections of the members of the Supervisory Board the Bank puts impact on the moral qualities of the candidates, which is in line with the general principle of conducting the activity by the Bank, pursuant to which high ethical standards are to be taken into consideration in the course of the activity of the Bank. The procedure for the elections of the members of the Supervisory Board, provided for in § 13 of the Regulation imposes a duty on a person which puts forward a candidate to the Supervisory Board, to attach a curriculum vitae of the candidate, which renders the participants of the General Meeting of Shareholders capable of choosing the best candidate 20. a) At least half the members of the supervisory board should be independent members, subject to point (d) below. Independent members of the supervisory board should not have relations with the company and its shareholders or employees which could significantly affect the independent member’s ability to make impartial decisions. b) Detailed independence criteria should be laid down in the company’s statute. c) Without the consent of the majority of independent supervisory board members, no resolutions should be adopted on the following issues: - performances of any kind by the company and any entities associated with the company in favour of management board members; - consent to the execution by the company or a subsidiary of a key agreement with an entity associated with the company, a member of the supervisory board or management board, or with their associated entities; and - appointment of an auditor to audit the company’s financial statements. d) In companies where one shareholder holds a block of shares carrying over 50% of all voting rights, the supervisory board should consist of at least two independent members, including an independent chairman of the audit committee, should such a committee be set up. YESA strategic investor of the Bank is the entity holding a block of shares carrying over 50% of the voting rights at the Shareholders’ Meeting. The principle of participation in the Supervisory Board of at least 2 independent members is applied by the Bank. The Bank applies the following independence criteria, pursuant to which an independent member of Supervisory Board is considered to be a person, who on the day of election to the Supervisory Board met jointly the following conditions: 5) is not and has not been in the period of the last 3 years employed at the Bank, its subsidiaries or parent companies as a Board member or on any other managerial position, 6) is not and has not been in the period of the last 3 years a chartered public accountant or an employee of an entity providing auditing services who examined the financial reports of the Bank, its subsidiaries or parent companies, 7) is not a shareholder holding indirectly or directly 5 % or more shares of the Bank and is not a member of the Management Board, Supervisory Board or an employee holding a managerial position with any such shareholder, 8) is not receiving any additional remuneration, apart from the remuneration for member ship in the Supervisory Board or any proprietary benefits from the Bank, its subsidiaries or parent companies, 5) is not a person close to any member of the Bank’s bodies or to any of the Bank’s employees holding a managerial position nor a person close to a shareholder, being a natural person an holding directly or indirectly 5 % or more shares of the Bank Independent member of the Supervisory Board discharges the function of the Chairman of the Audit Committee. The Bank will present to the General Meeting of Shareholders the detailed independence criteria of the Supervisory Board members for the purpose of an introduction of the relevant amendments to the Statute of the Bank. Without the consent of the majority of independent supervisory board members, no resolutions are adopted on the following issues: - performances of any kind by the Bank and any entities associated with the Bank in favour of management board members; - consent to the execution by the Bank or a subsidiary of a key agreement with an entity associated with the Bank, a member of the supervisory board or management board, or with their associated entities; and - appointment of an auditor to audit the Bank’s financial statements. 21. A supervisory board member should, most of all, bear in mind the interests of the company.YESIn their activity the members of the Supervisory Board follow the Bank’s interests. 22. Members of the supervisory board should take relevant actions in order to receive from the management board regular and complete information on any and all significant issues concerning the company’s operations and on the risk related to the carried out business and ways of managing such risk. YESThe role of the Supervisory Board is to perform supervision, in such way that will enable the Bank to achieve its projected financial results. The Management Board of the Bank co-operates with the Supervisory Board, which also includes providing the Supervisory Board with the detailed information on all essential matters connected with the activity of the Bank. The Supervisory Board has appointed teams, which deal with the specific areas of the activity of the Bank and include: the audit team, , remuneration team and financial team. 23. A supervisory board member should inform the remaining members of the board of any conflict of interest that arises, and should refrain from participating in discussions and from voting on passing a resolution on the issue in which the conflict of interest has arisen.YESThe principle is incorporated into §11 Section 2 of the Rules of Procedure of the Supervisory Board in the following wording: 2.If conflict of interest has occurred, the member of the Board should inform the remaining members of the Board of the same and refrain from taking part in the discussion and voting on the adoption of the resolution regarding a matter in which the conflict of interest arose. 24. Information on personal, actual, and organisational connections of a supervisory board member with a given shareholder, and, in particular, with the majority shareholder, should be available to public. The company should have a procedure in place for obtaining information from members of the supervisory board and for making it available to the public.YESThe principle is incorporated into §18 point 2 of the Rules of Procedure of the Supervisory Board in the following wording: The member of the Board should immediately provide the Management Board of the Bank with the information (for the purpose of submitting such information to the public in an appropriate manner) regarding: 2) its personal, factual and organisational connections with the particular shareholder and especially with the majority shareholder. The Bank has a procedure of obtaining information on personal, actual, and organisational connections of the member of the Supervisory Board. The information on such connections of the member of the Supervisory is published in the current an periodic reports inn accordance with the binding provisions of law. 25. Supervisory board meetings, save for issues which directly concern the management board or its members, and, in particular, removal, liability, and setting remuneration, should be accessible and open to members of the management board.YESThe principle is incorporated into §14 Section 1 of the Rules of Procedure of the Supervisory Board in the following wording: 1. The meetings of the Board, with exception of the meetings regarding matters relating directly to the Management Board of the Bank or one its members, concerning in particular the recalling, the liability and the determination of the remuneration, should be open and accessible to the members of the Management Board of the Bank. 26.A supervisory board member should enable the management board to present publicly and in an appropriate manner information on the transfer or acquisition of the shares of the company or of its dominant company or a subsidiary, and of transactions with such companies, provided that such information is relevant for his financial standing.YESPrinciple incorporated into § 18 point 1 of the Rules of Procedure of the Supervisory Board in the following wording: The member of the Board should immediately provide the Management Board of the Bank with the information (for the purpose of submitting such information to the public in an appropriate manner) regarding: 1) the purchase or sale of the shares of the Bank or its dominant entity or subsidiaries as well as the information regarding the transactions with such entities if such transactions are important for the financial situation of such member. 27.Supervisory board members’ remuneration should be set on the basis of a set of transparent procedures and rules. The remuneration should be fair but should not constitute a significant cost item in the company’s business or have a material impact on its financial results. It should also be in reasonable relation to the remuneration of members of the management board. The total amount of all supervisory board members’ remuneration, as well as the remuneration of individual members, with a breakdown of its various elements should be disclosed in the annual report together with information on the procedures and rules applied to determine it. YESThis principle is applied by the Bank. The required pieces of information are published in the annual reports. 28. The supervisory board should operate in accordance with its by-laws, which should be publicly available. The by-laws should stipulate that at least two committees should be set up: - audit, and - remuneration. The audit committee should consist of at least two independent members and at least one person possessing the relevant qualifications and experience in accounting and finance. The committee’s tasks should be specified in the board by-laws. The committees should present reports on their activities to the supervisory board every year. The company should then make these reports available to its shareholders. YESThis principle is incorporated in § 6 Sections 5-8 of the Rules of Procedure of the Supervisory Board in the following wording: Within the framework of the teams referred to in Section 1 the Supervisory Board shall appoint the Audit Team and the Remuneration Team. The Supervisory Board may also appoint other teams. 6. The tasks of the Audit Team shall include in particular: 1) overseeing the activity of the internal audit function of the Bank, 2) ordering inspections and detailed audits at the cells of the Head Office and the organisational units of the Bank within the framework specified in point 1 and an assessment of the results of these inspections and audits, 3) direct supervision over the operational activity of the Management Board, 4) providing recommendation concerning the choice of an auditing entity. 7. The tasks of the Remuneration Team shall include submitting to the Supervisory Board the proposals in particular on: 1) an establishment of the remuneration for the Management Board members, 2) the remuneration policy of the managerial staff of the Bank, 3) submitting proposals on the remuneration of the Supervisory Board to the General Meeting of Shareholders. 8. The teams appointed by the Supervisory Board shall submit to the Supervisory Board annual reports on their activity. The Audit team is composed of two independent members including one person possessing the relevant qualifications and experience in accounting and finance. 29. The agenda of a supervisory board meeting should not be amended or supplemented during the meeting, which it concerns. This requirement does not apply if all members of the supervisory board are present and agree to the amendment or supplementation of the agenda, and in instances where the adoption of certain activities by the supervisory board is necessary in order to protect the company against damage and in the case of a resolution which concerns the determination whether there exists a conflict of interest between a supervisory board member and the company. YESThe Principle is incorporated into § 10 Section 4 and 5 of the Rules of Procedure of the Supervisory Board in the following wording: 4. The agenda of the Board may not be changed or completed during the meeting, which it concerns, unless at the meeting all members of the Board are present and shall give their consent to change or complete the agenda. 5. The agenda may also be changed in a case when it is necessary that the Board undertakes certain activities in order to secure the Bank from a damage, as well as in the event of a resolution, the subject of which is an appraisal of an existence of a conflict of interests between Board members and the Bank. 30. A supervisory board member delegated by a group of shareholders to permanently exercise supervision should submit to the supervisory board detailed reports on the performance of his task.YES Principle incorporated into § 6 Section 2 and 3 of the Rules of Procedure of the Supervisory Board in the following wording: 2. In the event that the Board is elected by way of a vote in separate groups, each group has the right to delegate from among the members elected by it, one member of the Board, to perform permanent, individual acts of supervision 3. A member of the Board delegated to perform permanent supervision should submit to the Board detailed reports on a performed function. 31. A supervisory board member should not resign from his function during a term of office if this could render the functioning of the board impossible, and, in particular, if it could hinder the timely adoption of an important resolution.YESIn their actions the members of the Supervisory Board follow the interests of the Bank and take all actions aimed at ensuring the efficient functioning of the Bank. Best Practices of Management Boards 32. Bearing in mind the interest of the company, the management board sets forth the strategy and the main objects of the company’s operations, and submits them to the supervisory board. The management board is liable for the implementation and performance of the same. The management board cares for transparency and effectiveness of the company management system and the conduct of its business in accordance with the legal regulations and best practice.YESIn accordance with the Rules of Procedure of the Management Board, the Management Board of the Bank prepares strategy of development of the Bank and is responsible for the implementation of this strategy. The Supervisory Board issues opinions on the Bank’s long-term development plans and annual financial plans of the Bank. Moreover, the Supervisory Board performs, within the appointed teams, a monitoring of the degree of implementation of the strategy of development of the Bank. The Management Board of the Bank, takes care of the transparency and efficiency of the management system of the Bank and conducts the Bank’s affairs in accordance with the legal regulations and Good Practices. Professionalism, reliability and confidentiality constitute the basis of the management of the Bank. The relationships with the customers are characterised by integrity and honesty and they are conducted in conformity with the binding law, including but not limited to, the provisions on counteracting the money laundering. These values constitute one of the principles of the Code of Professional Ethics in force in the Bank. 33. While making decisions on corporate issues, members of the management board should act within the limits of justified economic risk, i.e. after consideration of all information, analyses and opinions, which, in the reasonable opinion of the management board, should be taken into account in a given case in view of the company’s interest. While determining the interest of the company, one should keep in mind the justified in long-term perspective interests of the shareholders, creditors, employees of the company and other entities and persons co-operating with the company, as well as the interests of local community.YESThe mission of the Bank is to ensure the constant and attractive growth of Bank’s value for its shareholders. While implementing the principle of efficient and careful management of the Bank, the Management Board of the Bank is responsible for preparation and implementation of the programs, which are aimed at increasing the value of the Bank and increasing investment revenue for its shareholders as well as the protection of the long-term interests of its employees. In the course of the decision making process, the Management Board makes every endeavour to ensure that interests of shareholders, creditors, employees of the company and other entities and persons co-operating with the Bank in the course of its activity are taken care of to the fullest extent. 34. In transactions with shareholders and other persons whose interests have impact on the interest of the company, the management board should act with utmost care to ensure that the transactions are at arms’ length. YESIn the course of transactions with shareholders and with persons whose interests have impact on the interests of the Bank, the market value constitutes a basis for determining the price. 35. A management board member should display full loyalty towards the company and avoid actions, which could lead to implementing exclusively own material interest. If a management board member receives information on the possibility of making an investment or another advantageous transaction concerning the objects of the company, he should present such information immediately to the management board for the purpose of considering the possibility of the company taking advantage of it. Such information may be used by a management board member or be passed over to a third party only upon consent of the management board and only when this does not infringe the company’s interest.YESEach member of the Management Board of the Bank is under a duty to take actions, which are in the Bank’s best interest. Pursuant to the Code of Professional Ethics in force in the Bank it is expected that in the course of implementation of the common purposes each member of the Management Board of the Bank will be loyal and honest and will use the property and resources of the Bank in the reasonable manner. 36. A management board member should treat his shares in the company and in its dominant companies and subsidiaries as a long-term investment.YESThe Bank has a procedure regarding trading of securities issued by the Bank by the Members of the Bank’s Management. This procedure lays down certain requirements that must be met by a member of the Management Board of the Bank that conducts such transaction e.g., notifying the President of the Management Board of the Bank of the intention to begin long-term purchase or sale of Bank’s shares during one or a series of transactions. 37. Management board members should inform the supervisory board of each conflict of interest in connection with the performed function or of the risk of such conflict.YESIn accordance with the Code of Professional Ethics, which is a binding law in the Bank, the members of the Management Board of the Bank are prohibited from taking such actions or decisions which might cause a conflict of interests or which would be contradictory to the Bank’s interests or which could not comply with professional duties. The member of the Management Board of the Bank is obliged to inform the Supervisory Board of the occurrence of the situation in which such conflict of interest arose or might have arisen. Pursuant to the Code of Professional Ethics in force in the Bank each member of the Management Board of the Bank which came across a demand of a favour in any form or character made by any of the Bank's employees or the representatives of the counter-party, should promptly inform the Supervisory Board of the same. 38. The remuneration of management board members should be set based on transparent procedures and principles, taking into account its incentive nature and ensuring effective and smooth management of the company. The remuneration should correspond to the size of the company’s business enterprise, should be in reasonable relation to the economic results, and be related to the scope of liability resulting from a given function, taking into account the level of remuneration of members of management boards in similar companies in a similar market.YESWhile determining the remuneration of the members of the Management Board the Bank makes every endeavour to ensure its incentive nature corresponding with the financial results of the Bank and the level of responsibility connected with the performed function. In the Bank there is a detailed procedure that provides for granting bonuses in proportion with the achieved business results. In such way the Bank ensures that the remuneration of the members of the Management Board of the Bank has incentive nature and is based on transparent procedures and rules. 39. The total amount of all management board members’ remuneration, as well as the remuneration of individual members, with a breakdown of its various elements should be disclosed in the annual report together with information on the procedures and rules applied to determine it. If the amount of the remuneration of individual members of the management board significantly differs, it is recommended that a relevant explanation be published. YESThe Bank applies this rule. Required information is published in the annual report. 40. The management board should lay down the principles and procedure of operations and allocation of powers in the by-laws, which should be open and generally available.YESThe principles and procedure of operations of the Management Board of the Bank have been laid down in the Rules of Procedure of the Management Board. The allocation of powers between the members of the Management Board of the Bank is governed by the Order of the President of the Management Board of the Bank, which constitutes the Enclosure to these Rules. The Rules of Procedure of the Management Board of the Bank are available at the website of the Bank. Best Practices in Relations with Third Parties and Third Party Institutions 41. The selection of an expert auditor for a company should guarantee impartiality of performance of the entrusted tasks. YESThe entity, which is to serve as an auditor, is being chosen in the course of the procedure in a manner that ensures independence in the carrying out of the tasks entrusted to an expert auditor.. 42. In order to ensure an impartial opinion, the company should change its auditor once every five years at the least. The change of auditor should also be understood as a change in the individual carrying out the audit. Additionally, over a long period of time the company should not use the services of the same auditing entity. YESPursuant to the current everyday practice the agreements with auditors are usually entered into for the period of 2-3 years. 43. The auditor should be selected by the supervisory board on the recommendation of the audit committee, or by the general meeting on the recommendation of the supervisory board containing the audit committee recommendation. If an auditor other than the one recommended by the audit committee is chosen by either the board or the general meeting, detailed reasons should be given. Information on the selection of an auditing entity together with the relevant justification should be disclosed in the annual report. YESPursuant to § 13 point 17of the Statute of the Bank the expert auditor is being chosen by the Shareholders’ Meeting. In its choice the Shareholders’ Meeting follows the recommendation of the Supervisory Board prepared by the Supervisory Board’s Audit Team. 44. The current auditor or the auditor auditing the annual accounts of the company or its subsidiaries in the period under examination cannot act as a special purpose auditor for the same company. YESUntil now no special purpose auditor has been appointed in the Bank. However, if such auditor is appointed, the Bank assures that this principle will be followed. 45. A company should acquire its own shares in such a way that no group of shareholders be privileged.YESThe Bank has never acquired its owns shares. If however, such transaction takes place, the Management Board of Bank assures that this principle shall be followed. 46. The statutes of the company, its basic internal regulations, information and documents related to general meetings, and the financial statements should be made available in the registered office of the company and on its website.YESThe Statute of the Bank, the Regulation, the Rules of Procedure of the Management Board Supervisory Board and financial statements are available at the Bank’s website. 47. The Company should have proper media relations procedures and regulations and an information policy, ensuring coherent and reliable information about the company. The company should, in compliance with the legal regulations and taking into account its interests, make available to mass media representatives information on its current operation and business, standing, and enable their presence at general meetings.YESThe Public Relations Office and Investors’ Relations Office are responsible for conduct of the information policy. The Public Relations Office co-ordinates the information activity, and in particular, shapes a general information policy of the Bank, its image and relations with the media and professional organisations. The Investors’ Relations Office is responsible for fulfilment of the information duties of the Bank resulting from the agreements concluded by the Bank as well as from the relevant provisions of law, which apply to public companies in particular: drawing up and publishing current and periodic information, shaping the relations with the shareholders and professional environment of investors and stock exchange analysts in the country and abroad. Upon the consent of the Chairman of the Shareholders' Meeting the journalists may be present during the Shareholders' Meeting. 48. In its annual report, a company should make public its statement on the application of corporate governance standards. If the standards are not applied to any extent, the company should also publicly explain this fact.YESThe Bank applies this rule. |
