Kodeks spółek handlowych Walne Zgromadzenie ING Banku Śląskiego S.A. uchwala następujące zmiany Statutu Banku: 1. W § 8 ust. 3 punkcie 3a) w ostatnim zdaniu tego punktu skreśla się wyraz "wyłącznie" oraz, na końcu tego zdania, po wyrazach "ustawy z dnia 27 października 1994 r. o autostradach płatnych oraz o Krajowym Funduszu Drogowym" dodaje się przecinek i wyrazy w brzmieniu: "z tym że w zakresie czynności określonych w lit. b), jej przedmiotem mogą być również dopuszczone do obrotu zorganizowanego obligacje, listy zastawne oraz inne zbywalne papiery wartościowe inkorporujące prawa majątkowe odpowiadające prawom wynikającym z zaciągniętego długu lub instrumenty pochodne, których instrumentem bazowym są obligacje, listy zastawne, inne zbywalne papiery wartościowe inkorporujące prawa majątkowe odpowiadające prawom wynikającym z zaciągniętego długu, stopa procentowa lub waluta", wskutek czego § 8 ust. 3 punkt 3a otrzymuje brzmienie: "3a) wykonywanie niestanowiących działalności maklerskiej czynności polegających na: a) przyjmowaniu i przekazywaniu zleceń nabycia lub zbycia instrumentów finansowych; b) nabywaniu lub zbywaniu na własny rachunek instrumentów finansowych; c) doradztwie inwestycyjnym; d) oferowaniu instrumentów finansowych; e) świadczeniu usług w wykonaniu zawartych umów o subemisje inwestycyjne i usługowe lub zawieraniu i wykonywaniu innych umów o podobnym charakterze, jeżeli ich przedmiotem są instrumenty finansowe, z zastrzeżeniem, że przedmiotem czynności określonych w lit. a)–d) mogą być papiery wartościowe emitowane przez Skarb Państwa lub Narodowy Bank Polski lub inne niedopuszczone do obrotu zorganizowanego instrumenty finansowe oraz obligacje, o których mowa w art. 39p ust. 1 ustawy z dnia 27 października 1994 r. o autostradach płatnych oraz o Krajowym Funduszu Drogowym, z tym że w zakresie czynności określonych w lit. b), jej przedmiotem mogą być również dopuszczone do obrotu zorganizowanego obligacje, listy zastawne oraz inne zbywalne papiery wartościowe inkorporujące prawa majątkowe odpowiadające prawom wynikającym z zaciągniętego długu lub instrumenty pochodne, których instrumentem bazowym są obligacje, listy zastawne, inne zbywalne papiery wartościowe inkorporujące prawa majątkowe odpowiadające prawom wynikającym z zaciągniętego długu, stopa procentowa lub waluta," 2. W § 8 ust. 3 punkcie 11) dodaje się literę h) w brzmieniu: "h) świadczenie usług raportowania do repozytoriów transakcji oraz usług związanych z bezpośrednim lub pośrednim rozliczaniem instrumentów finansowych przez kontrahentów centralnych (CCP) w rozumieniu Rozporządzenia Parlamentu Europejskiego i Rady (UE) nr 648/2012 w sprawie instrumentów pochodnych będących przedmiotem obrotu poza rynkiem regulowanym, kontrahentów centralnych i repozytoriów transakcji," 3. W § 8 ust. 3 dodaje się punkt 13) w brzmieniu: "13) prowadzenie ksiąg akcyjnych." 4. W § 8 dotychczasowy ust. 6 oznacza się jako ust. 7 i dodaje się nowy ust. 6 w brzmieniu: "6. Bank może wykonywać czynności określone w art. 13 ust. 5 pkt 3) i ust. 10 ustawy z dnia 11 lutego 2016 r. o pomocy państwa w wychowywaniu dzieci." § 2 Zmiana Statutu w zakresie określonym w § 1 pkt 1-3 wymaga zezwolenia Komisji Nadzoru Finansowego. Uzasadnienie do projektu uchwały Zwyczajnego Walnego Zgromadzenia ING Banku Śląskiego Spółki Akcyjnej z dnia 31 marca 2016 r. w sprawie zmiany Statutu ING Banku Śląskiego Spółka Akcyjna. Zmiana § 8 ust. 3 punkt 3a) Statutu Banku odzwierciedla zmiany w ustawie o obrocie instrumentami finansowymi. Nowelizacja tej ustawy dokonana ustawą z dnia 5.08.2015 (Dz.U. z 2015 r., poz. 1513) rozszerzyła zakres instrumentów finansowych, które bank może nabywać i zbywać na własny rachunek bez zezwolenia na prowadzenie działalności maklerskiej. Zgodnie z nowym przepisem (art.70. ust. 2 pkt 3) do katalogu dotychczasowych instrumentów finansowych dołączono również dopuszczone do obrotu zorganizowanego obligacje, listy zastawne oraz inne zbywalne papiery wartościowe inkorporujące prawa majątkowe odpowiadające prawom wynikającym z zaciągniętego długu oraz instrumenty pochodne, których instrumentem bazowym są obligacje, listy zastawne, inne zbywalne papiery wartościowe inkorporujące prawa majątkowe odpowiadające prawom wynikającym z zaciągniętego długu, stopa procentowa lub waluta. Przepis przejściowy nowelizacji (art. 90) stanowi, iż banki uprawnione do czynności, o których mowa w art. 69 ust. 2 pkt 3 ustawy o obrocie instrumentami finansowymi, są uprawnione od dnia wejścia w życie nowelizacji do wykonywania czynności w odniesieniu do tego nowego katalogu instrumentów. Zmiana § 8 ust. 3 punkt 11), polegająca na dodaniu litery h), jest związana z wprowadzeniem nowych regulacji europejskich, w szczególności rozporządzenia delegowanego Komisji 2015/2205 z dnia 6 sierpnia 2015 r. (dalej: "RTS"), które zostało wydane w oparciu o art. 5 ust. 2 rozporządzenia Parlamentu Europejskiego i Rady nr 648/2012 z dnia 4 lipca 2012 r. w sprawie instrumentów pochodnych będących przedmiotem obrotu poza rynkiem regulowanym, kontrahentów centralnych i repozytoriów transakcji ("Rozporządzenie EMIR"). Rozporządzenie EMIR określa szereg obowiązków dla podmiotów dokonujących transakcji na instrumentach pochodnych, w tym obowiązek rozliczania takich transakcji przy wykorzystaniu kontrahentów centralnych (izb rozliczeniowych), tzw. CCP, w rozumieniu art. 2 pkt 1) Rozporządzenia EMIR. Proces rozliczania transakcji odbywa się poprzez kontrahentów centralnych (izby rozliczeniowe), którzy spełnili odpowiednie wymagania przewidziane przez Rozporządzenie EMIR, w tym uzyskali zgodę na rozliczanie danej klasy instrumentów pochodnych w określonych walutach. Jednocześnie, możliwość rozliczania transakcji bezpośrednio w danej izbie rozliczeniowej jest dostępna tylko dla podmiotów, które uzyskały status "członka rozliczającego" tej izby, co wiąże się z koniecznością spełnienia odpowiednich wymogów, w tym również kapitałowych. Pozostałe podmioty objęte obowiązkiem rozliczania transakcji zmuszone są do korzystania z pośrednictwa członków rozliczeniowych danej izby, poprzez usługę tzw. rozliczania klienckiego (ang. client clearing). W związku z powyższym, Bank przewiduje wprowadzenie do swojej oferty usługi rozliczania klienckiego dla podmiotów działających na polskim rynku instrumentów pochodnych. Dodany w § 8 ust. 3 punkt 13) przewiduje możliwość prowadzenia przez Bank ksiąg akcyjnych. Zgodnie z art. 342 ksh spółka może zlecić prowadzenie księgi akcyjnej bankowi lub firmie inwestycyjnej w Rzeczypospolitej Polskiej, co biorąc jednocześnie pod uwagę art. 6 ust. 1 pkt 8) ustawy – Prawo bankowe ("banki mogą wykonywać inne czynności, jeżeli przepisy odrębnych ustaw uprawniają je do tego"), oznacza, że na życzenie klienta Bank może taką czynność wykonać. Przewiduje się, że czynności te mogą mieć akcesoryjny charakter w odniesieniu do działalności maklerskiej, przewidzianej art. 69 ust. 4 pkt. 1 ustawy o obrocie instrumentami finansowymi, która to działalność będzie prowadzona przez Bank w zakresie określonym odrębnym zezwoleniem Komisji Nadzoru Finansowego udzielonym decyzją Komisji z dnia 19 stycznia 2016 r. Dodanie nowego ust. 6 w § 8 Statutu ma na celu umożliwienie składania za pośrednictwem Banku wniosków, oraz wykonywanie przez bank innych czynności, o których mowa w przepisie art. 13 ustawy z dnia 11 lutego 2016 r. o pomocy państwa w wychowaniu dzieci (Dz.U. z 2016 r., poz. 195), w ramach Programu "Rodzina 500+". Zgodnie z przepisem art. 51 ww. ustawy, Bank może wykonywać czynności opisane w art. 13 ust. 5 pkt 3 i ust. 10 ustawy od dnia jej wejścia w życie. W terminie 12 miesięcy od dnia wejścia w życie ustawy, bank wykonujący powyższe czynności ma jednak obowiązek dostosować statut do przepisów ustawy. Podstawa prawna: § 38 ust. 1 pkt. 2) i 3) rozporządzenia Ministra Finansów z dnia 19.02.2009 r. w sprawie informacji bieżących i okresowych przekazywanych przez emitentów papierów wartościowych oraz warunków uznawania za równoważne informacji wymaganych przepisami prawa państwa niebędącego państwem członkowskim. |

2016-03-29 report no. 12/2016: Update on convening Ordinary General Meeting of ING Bank Śląski S.A. and draft resolutions. The Management Board of ING Bank Śląski Spółka Akcyjna give notice of the amended draft of the resolution on amendments to the Charter of ING Bank Śląski S.A., which is to be discussed during the Ordinary General Meeting convened for 31 March 2016 with the current report no. 08/2016 of 04 March 2016. DraftResolution No. ...of the Ordinary General Meetingof ING Bank Śląski Spółka Akcyjna of 31 March 2016 on amendments to the Charter of ING Bank Śląski Spółka Akcyjna. §1Pursuant to Article 430 §1 of the Commercial Companies and Partnerships Code Act of 15 September 2000, the General Meeting of ING Bank Śląski S.A. resolve on the following amendments to the Bank Charter: 1. In §8 section 3.3a) in the last sentence thereof the word “only” shall be deleted and, at the end of the sentence, a comma shall put after the phrase “Toll Motorways and the National Road Fund Act of 27 October 1994” and the following wording shall be added: “however, the activities referred to in item b) may also concern the following instruments admitted to organised trading: bonds, mortgage bonds and other transferable securities incorporating property rights equivalent to the rights attached to the debt or derivatives based on bonds, mortgage bonds, other transferable securities incorporating property rights equivalent to the rights attached to the debt, interest rate or currency as their underlying instrument”, and as a consequence §8 section 3.3a shall have the following wording: “3a) performing activities other than brokerage activity, such as:a) accepting and transmitting orders to purchase or sell financial instruments;b) acquiring or selling financial instruments on own account;c) investment advising;d) offering financial instruments; ande) providing services in performance of previously concluded agreements on stand-by underwriting and firm commitment underwriting or in conclusion and performance of other agreements of similar nature concerning financial instruments,provided that the activities referred to in items a) to d) may concern securities issued by the State Treasury or the National Bank of Poland or other financial instruments that have not been admitted to organised trading, as well as bonds referred to in Article 39p section 1 of the Toll Motorways and the National Road Fund Act of 27 October 1994; however, the activities referred to in item b) may also concern the following instruments admitted to organised trading: bonds, mortgage bonds and other transferable securities incorporating property rights equivalent to the rights attached to the debt or derivatives based on bonds, mortgage bonds, other transferable securities incorporating property rights equivalent to the rights attached to the debt, interest rate or currency as their underlying instrument,” 2. In §8 section 3.11) item h) shall be added in the following wording:“h) providing services of reporting to trade repositories and services relating to direct or indirect clearing of financial instruments by central counterparties (CCP) within the meaning of Regulation (EU) No. 648/2012 of the European Parliament and of the Council on OTC derivatives, central counterparties and trade repositories; ” 3. In §8 section 3 item 13)shall be added in the following wording:“13) maintenance of share registers.”4. In §8 the existing section 6 shall be changed to section 7, and a new section 6 shall be added in the following wording:“6.The Bank may perform activities, as set out in Article 13 section 5.3 and section 10 of the Child Subsidy Act of 11 February 2016”. §2The amendments to the Charter as set out in §1 items 1-3 require approval of the Polish Financial Supervision Authority. Rationalefor the draft resolution of the Ordinary General Meetingof ING Bank Śląski Spółka Akcyjna of 31 March 2016on amendments to the Charter of ING Bank Śląski Spółka Akcyjna. Amendments to §8 section 3.3a) of the Bank Charter reflect the amendments to the Act on Trading in Financial Instruments. This act was amended with the act of 05 August 2015 (Journal of Laws of 2015, item 1513) broadening the scope of financial instruments that a bank can trade in with its own money without a brokerage licence. Pursuant to the new law (Article 70 section 2.3), financial instruments admitted to organised trading such as bonds, mortgage bonds and other transferable securities incorporating property rights equivalent to the rights attached to the debt and derivatives based on bonds, mortgage bonds, other transferable securities incorporating property rights equivalent to the rights attached to the debt, interest rate or currency as their underlying instrument were also added to the existing catalogue of financial instruments. Under the transitional provision of the amendment (Article 90), the banks authorised to perform the activities referred to in Article 69 section 2.3 of the Act on Trading in Financial Instruments are authorised to perform activities involving that new catalogue of instruments as of the amended act’s entry into force. The amendment of §8 section 3.11) which consisted in adding item h) thereto followed the implementation of new EU regulations, in particular of the Commission Delegated Regulation (EU) 2015/2205 of 06 August 2015 (hereinafter referred to as: “RTS”) which was issued pursuant to Article 5 section 2 of the Regulation (EU) No. 648/2012 of the European Parliament and of the Council of 4 July 2012 on OTC derivatives, central counterparties and trade repositories (“EMIR”).EMIR provides for a number of obligations for derivatives trading entities, including the clearing obligation for such transactions through central clearing counterparties (clearing houses) as defined in Article 2 item 1) thereof. Transactions are cleared through central counterparties (clearing houses) that satisfied relevant requirements laid down in EMIR and obtained consent to clear a given class of derivatives in specified currencies. At the same time, transactions can be cleared directly in a given clearing house only by those entities that obtained the status of a “clearing member” of that house, which in turn entails satisfaction of relevant requirements, capital requirements included. Other entities obliged to clear transactions have to clear them through clearing members of a given house, through the “client clearing” service.That being so, the Bank is planning to expand its offer with the client clearing service for entities trading in the Polish derivatives market. Pursuant to item 13) added to §8 section 3, the Bank may keep share registers. Pursuant to Article 342 of the Commercial Companies and Partnerships Code, the company may commission a bank or investment firm in the Republic of Poland to keep the share register, which means – considering Article 6 section 1.8) of the Banking Law Act (“banks may perform other operations, where so authorised under the provisions of separate regulations”) – that the Bank may perform such operation upon a client request. Such activities may be of ancillary nature versus the brokerage activities set out to in Article 69 section 4.1 of the Act on Trading in Financial Instruments and performed by the Bank under a separate licence issued by the Polish Financial Supervision Authority pursuant to their decision of 19 January 2016. A new item 6) shall be added to §8 of the Charter in order to enable filing applications through the Bank and to allow the Bank to perform other activities set out in the Child Subsidy Act of 11 February 2016 (Journal of Laws of 2016, item 195) under the Family 500+ Programme. Pursuant to Article 51 thereof, the Bank may perform activities set out in Article 13 section 5.3 and section 10 thereof from its entry into force. However, if the Bank performs the aforementioned activities, it is obliged to adjust its Charter accordingly within 12 months from the Act’s entry date.
