| Zarząd Alior Bank S.A. z siedzibą w Warszawie ("Bank"), działając na podstawie art. 17 ust. 1 i 4 Rozporządzenia Parlamentu Europejskiego i Rady (UE) nr 596/2014 w sprawie nadużyć na rynku oraz uchylającego dyrektywę 2003/6/WE Parlamentu Europejskiego i Rady i dyrektywy Komisji 2003/124/WE, 2003/125/WE i 2004/72/WE ("MAR"), przekazuje do wiadomości publicznej opóźnioną informację poufną w przedmiocie przyjęcia Strategii Alior Banku S.A. na lata 2020-2022 („Informacja Poufna”). Podanie do publicznej wiadomości Informacji Poufnej zostało opóźnione dnia 27 lutego 2020 r. na podstawie art. 17 ust. 4 MAR. Treść informacji poufnej opóźnionej w dniu 27 lutego 2020 r.: „Zarząd Alior Bank S.A. z siedzibą w Warszawie ("Bank") informuje o podjęciu w dniu 27 lutego 2020 r. uchwały w sprawie akceptacji Strategii Alior Bank S.A. na lata 2020-2022 („Strategia”) i skierowaniu jej do zatwierdzenia przez Radę Nadzorczą. Dokument Strategii stanowi załącznik do niniejszego raportu bieżącego. Bank jednocześnie informuje, że cele i założenia Strategii nie stanowią prognozy lub szacunku wyników (w tym finansowych) i odnoszą się jedynie do zamierzonych kierunków działania Banku w latach 2020-2022.” W związku z zatwierdzeniem Strategii przez Radę Nadzorczą Banku w dniu 27 lutego 2020 r. oraz publikacją raportu rocznego za 2019 r. w dniu 28 lutego 2020 r. Bank podjął decyzję o publikacji Informacji Poufnej na skutek ustania przesłanek do dalszego jej opóźniania. W ocenie Zarządu Banku, opóźnienie przekazania Informacji Poufnej do publicznej wiadomości usprawiedliwione było ochroną prawnie uzasadnionych interesów Banku z uwagi ryzyko zaistnienia sytuacji, w której Rada Nadzorcza Banku nie wyrazi swojego stanowiska na temat Strategii, co mogłoby wprowadzić w błąd opinię publiczną. Ponadto, dokument Strategii oparty jest na danych finansowych za 2019 r., które opublikowane zostały zgodnie z raportem bieżącym nr 1/2020 z dnia 15 stycznia 2020 r. w dniu 28 lutego 2020 r. Jednocześnie Bank wskazuje, że opóźnienie przekazania do wiadomości Informacji Poufnej nie wprowadziło w błąd opinii publicznej, oraz że dokonał wszelkich czynności zmierzających do zapewnienia poufności przedmiotowej informacji. | |||||||||||

Disclosure of delayed inside information regarding the approval of Alior Bank’s Strategy for the years 2020-2022 The Management Board of Alior Bank S.A. with its registered seat in Warsaw ("Alior Bank"), acting pursuant to art. 17 sec. 1 and 4 Regulation (EU) No 596/2014 of the European Parliament and of the Council of April 16th, 2014, on market abuse (market abuse regulation) and repealing Directive 2003/6/EC of the European Parliament and of the Council and Commission Directives 2003/124/EC, 2003/125/EC and 2004/72/EC ("MAR"), discloses the following delayed information regarding the approval of Alior Bank’s Strategy for years 2020-2022 ("Inside Information"). Public disclosure of the Inside Information was delayed on February 27th, 2020 pursuant to art. 17 sec. 4 of MAR. Content of the inside information delayed on February 27th, 2020 "The Management Board of Alior Bank S.A. with its registered office in Warsaw (the "Bank") hereby informs of the adoption on February 27th, 2020, of the resolution regarding the approval of the Strategy of Alior Bank S.A. for the years 2020-2022 (the "Strategy") and address it to the Supervisory Board for approval. The Strategy document is an attachment to the Current report. Furthermore, the Bank hereby announces that these Strategic objectives and targets are not a forecast or estimate of results (including financial results), and concern only the intended directions of Bank's activities in 2020-2022." In relation to approving the Strategy by the Bank’s Supervisory Board on February 27th, 2020 and publication of the Bank’s annual report for 2019 on February 28th, 2020, the Bank decided to publish the inside information as a result of cassation of premises to more further delaying the publication of the information. The Banks’ Management Board believes that the delay of public disclosure of the Inside Information was justified by the need to secure legally protected interests of the Bank due to the chance that the Bank's Supervisory Board could not express its position on the Strategy which could mislead the public. In addition, the Strategy document is based on financial data for 2019, which were published on February 28th, 2020, in accordance to Current report No. 1/2020 dated on January 15th, 2020. Furthermore, the Bank announces that the delay of disclosure of the Inside Information did not mislead the public and that the Bank has taken all measures necessary to ensure the confidentiality of that information. | |||
