| Kierownictwo SERINUS ENERGY INC. ("Serinus" lub "Spółka") informuje, iż w dniu 3 lipca 2013 r. wpłynęło do Spółki zawiadomienie z dnia 2 lipca 2013 roku przekazane przez Pala Assets Holdings Limited na podstawie art. 69 ustawy o ofercie publicznej i warunkach wprowadzania instrumentów finansowych do zorganizowanego systemu obrotu oraz o spółkach publicznych. Zgodnie z treścią zawiadomienia nastąpiło zwiększenie udziału Pala Assets Holdings Limited w Serinus Energy Inc. (poprzednio Kulczyk Oil Ventures Inc.) do poziomu 5.880.484 akcji zwykłych tj. 7,48% ogólnej liczby głosów ogólnej liczby głosów na Walnym Zgromadzeniu Serinus Energy Inc. W dniu 24 czerwca 2013 roku nastąpiło wykonanie Umowy Nabycia oraz, w związku z doprowadzeniem do wykonania Umowy Nabycia, akcje Serinus Energy Inc. zostały skonsolidowane w proporcji 1 akcja po konsolidacji za 10 akcji przed konsolidacją. Co więcej, w ramach finalizacji Umowy Nabycia Serinus Energy Inc. dokonała emisji nowych akcji i ich rejestracji w tym samym dniu, o czym Pala Assets Holdings Limited powzięła informację z dniu 1 lipca 2013 r. czasu polskiego. Przed zmianą Pala Assets Holdings Limited nie posiadała akcji Serinus Energy Inc. (przed konsolidacją). Obecnie Pala Assets Holdings Limited posiada 5.880.484 akcji Serinus Energy Inc. reprezentujących 7,48% kapitału zakładowego Serinus Energy Inc. Wskazane akcje uprawniają do 5.880.484 głosów, co stanowi 7,48% ogólnej liczby głosów ogólnej liczby głosów na Walnym Zgromadzeniu. Nie istnieją podmioty zależne od Pala Assets Holdings Limited, które posiadałyby akcje Serinus Energy Inc. Nie istnieją osoby trzecie, z którymi Pala Assets Holdings Limited miałaby zawarte umowy, których przedmiotem byłoby przekazanie uprawnienia do wykonywania prawa głosu z posiadanych przez Pala Assets Holdings Limited akcji Serinus Energy Inc. | ||||||||||||

Title: Notification of acquisition of Issuer’s shares Legal basis: Article 70.1 of the Act on Offering – acquisition or disposal of a significant block of shares Content:The Management of SERINUS ENERGY INC. (“Serinus” or “Company), informs that on July 3, 2013 it received from Pala Assets Holdings Limited notification dated July 2nd, 2013, filed on the basis of Article 69 of the Act on Public Offering, Conditions Governing the Introduction of Financial Instruments to Organized Trading and Public Companies. Pursuant to the notification Pala Assets Holdings Limited increased its shareholding in Serinus Energy Inc. (formerly Kulczyk Oil Ventures Inc.) to the level of 5,880,484 common shares or 7.48% of the total number of votes at the Annual Shareholders Meeting of Serinus Energy Inc. On 24 June 2013 the closing of the Arrangement Agreement took place and, in connection with closing of the Arrangement Agreement, the shares of Serinus Energy Inc. were consolidated on the basis of one post-consolidation share for every ten pre-consolidation shares. Moreover, as part of closing of the Arrangement Agreement, new shares of Serinus Energy Inc. were issued and registered on the same day, about which Pala Assets Holdings Limited was informed on 1 July 2013, Polish time. Before the changes, Pala Assets Holdings Limited held nil shares of Serinus Energy Inc. (before consolidation). Currently Pala Assets Holdings Limited holds 5,880,484 shares of Serinus Energy Inc. representing 7.48% of the share capital of Serinus Energy Inc. The said shares entitle to 5,880,484 of the votes, which constitute 7.48% of the total number of votes at the Annual Shareholders Meeting. No subsidiary of Pala Assets Holdings Limited holds any shares of Serinus Energy Inc. There are no third parties with which Pala Assets Holdings Limited concluded agreements under which it would transfer any right to exercise voting rights from Serinus Energy Inc.’s shares held by Pala Assets Holdings Limited. | |||
