| The Management Board of Photon Energy N.V. (the “Company”) informs that under the share buyback program implemented on the basis of the General Meeting Resolution, which granted an authorization to the Management Board to acquire shares in the capital of the Company, for consideration, for the period of 18 months, commencing on 31 May 2022 and ending on 30 November 2023 and in accordance with the announcement of the share buyback programme, which was adopted by the Management Board of the Company as of 16 December 2022 and published in current reports No. 59/2022 as of 17 December 2022 and No 62/2022 as of 23 December 2022, in the period from 20 March 2023 to 24 March 2023, through the brokerage house of Santander Bank Polska S.A – Santander Biuro Maklerskie with a seat in Warsaw, Poland, the following purchase transactions of the shares in the Company’s share capital, ISIN: NL0010391108 (the “Shares”) were executed during trading sessions on the main market of the Warsaw Stock Exchange in Poland: - on 20.03.2023, the total amount of 1,000 Shares for the total value of PLN 12,837.50 with an average unit share price of PLN 12.83. These shares constitute 0.002% of the share capital of the Company and entitle to 1,000 votes at the General Meeting of the Company, which constitutes 0.002% of the total number of votes. - on 21.03.2023, the total amount of 965 Shares for the total value of PLN 12,210.27 with an average unit share price of PLN 12.72. These shares constitute 0.002% of the share capital of the Company and entitle to 965 votes at the General Meeting of the Company, which constitutes 0.002% of the total number of votes. - on 22.03.2023, the total amount of 1,000 Shares for the total value of PLN 12,710.29 with an average unit share price of PLN 12.71. These shares constitute 0.002% of the share capital of the Company and entitle to 1,000 votes at the General Meeting of the Company, which constitutes 0.002% of the total number of votes. - on 23.03.2023, the total amount of 1,000 Shares for the total value of PLN 12,455.50 with an average unit share price of PLN 12.46. These shares constitute 0.002% of the share capital of the Company and entitle to 1,000 votes at the General Meeting of the Company, which constitutes 0.002% of the total number of votes. - on 24.03.2023, the total amount of 1,000 Shares for the total value of PLN 12,370.40 with an average unit share price of PLN 12.38. These shares constitute 0.002% of the share capital of the Company and entitle to 1,000 votes at the General Meeting of the Company, which constitutes 0.002% of the total number of votes. No transactions were concluded for the acquisition of Shares on the Prague Stock Exchange in the Czech Republic. No transactions were concluded for the acquisition of Shares on the Open Market of the Frankfurt Stock Exchange in Germany. Taking into account the above transactions, as of 24 March 2023, the Company holds a total of 1,413,683 own shares, constituting 2.31% of the share capital of the Company, entitling to 1,413,683 votes at the General Meeting of the Company. The Company cannot execute voting rights from the treasury shares.
