| Zarząd ManyDev Studio SE („Spółka”), przekazuje do publicznej wiadomości korektę raportu jednostkowego za III kwartał 2022 r. („Raport”), opublikowanego przez Spółkę raportem ESPI w dniu 22.11.2022 r. Korekty obejmują: 1/ Punkt 1.1. raportu – Skrócone śródroczne sprawozdanie z sytuacji finansowej. 2/ Punkt 1.4. raportu – Skrócony śródroczny rachunek przepływów pieniężnych. 3/ Punkt 3.2. raportu – Zasady rachunkowości przyjęte przy sporządzaniu skróconego kwartalnego sprawozdania finansowego. 4/ Punkt 4.1. raportu – Wybrane dane finansowe zawierające podstawowe pozycje sprawozdania finansowego (również przeliczone na EURO). 5/ Punkt 4.2. raportu –Informacje o korektach z tytułu rezerw, rezerwy i aktywa z tytułu odroczonego podatku dochodowego oraz dokonane odpisy aktualizujące wartość składników aktywów. 6/ Punkt 4.3. raportu – Zestawienie oraz objaśnienie różnic pomiędzy danymi ujawnionymi w sprawozdaniu finansowym i danych porównywalnych, a uprzednio sporządzonym i opublikowanymi sprawozdaniami finansowymi. 7/ Punkt 4.7. raportu – Wartości niematerialne. 8/ Punkt 4.17. raportu - Wskazanie istotnych postępowań toczących się przed sądem, organem właściwym dla postępowania arbitrażowego lub organem administracji publicznej, dotyczących zobowiązań oraz wierzytelności emitenta lub jego jednostki zależnej, ze wskazaniem przedmiotu postępowania, wartości przedmiotu sporu, daty wszczęcia postępowania, stron wszczętego postępowania oraz stanowiska emitenta. 9/ Punkt 4.27 raportu - Zdarzenia, które wystąpiły po dniu, na który sporządzono skrócone kwartalne sprawozdanie finansowe, nieujętych w tym sprawozdaniu, a mogących w znaczny sposób wpłynąć na przyszłe wyniki finansowe Emitenta 10/ Punkt 4.31 raportu - Wskazanie akcjonariuszy posiadających bezpośrednio lub pośrednio przez podmioty zależne co najmniej 5 % ogólnej liczby głosów na walnym zgromadzeniu Emitenta na dzień przekazania raportu kwartalnego wraz ze wskazaniem liczby posiadanych przez te podmioty akcji, ich procentowego udziału w kapitale zakładowym, liczby głosów z nich wynikających i ich procentowego udziału w ogólniej liczbie głosów na walnym zgromadzeniu oraz wskazanie zmian w strukturze własności znacznych pakietów akcji Emitenta w okresie od przekazania poprzedniego raportu kwartalnego. 11/ Punkt 4.34 raportu - Wskazanie czynników, które w ocenie Emitenta będą miały wpływ na osiągnięte przez niego wyniki w perspektywie co najmniej kolejnego kwartału 12/ Punkt 4.35 raportu - Czynniki ryzyka i zagrożeń. Przyczyną dokonania korekty są zalecenia Komisji Nadzoru Finansowego wydane w związku z prowadzeniem nadzoru nad wykonywaniem obowiązków informacyjnych emitentów i analizą śródrocznego sprawozdania finansowego za III kwartał 2022 r. Spółki oraz nawiązujące do postępowania wszczętego wnioskiem z dnia 29 czerwca 2022 r. o zatwierdzenie prospektu (postępowanie prospektowe). Zalecenia polegają na skorygowaniu śródrocznego sprawozdania finansowego za III kwartał 2022 r. w trybie § 15 ust. 4 Rozporządzenia ws. Informacji bieżących i okresowych poprzez ujęcie i prezentację nakładów ponoszonych na wytworzenie gier komputerowych zgodnie z postanowieniami MSR 38. Pełna treść raportu jednostkowego za III kwartał 2022 r. przed korektą oraz pełna treść raportu po korekcie stanowi załącznik do niniejszego raportu. Szczegółowa podstawa prawna: § 15 ust. 4 Rozporządzenia Ministra Finansów z dnia 29 marca 2018 r. w sprawie informacji bieżących i okresowych przekazywanych przez emitentów papierów wartościowych oraz warunków uznawania za równoważne informacji wymaganych przepisami prawa państwa niebędącego państwem członkowskim (Dz.U. 2018 poz. 757) (dalej: Rozporządzenie ws. Current Report no. 5/2023 Subject Correction of the standalone report for Q3 2022 Legal basis: § 56(1)(2) of the Public Offering Act - current and periodic information The Management Board of ManyDev Studio SE ("Company") publishes a correction to the standalone report for Q3 2022 ("Report"), published by the Company with the ESPI report on November 22, 2022.
1/ Point 1.1. of the Report - Condensed interim statement of financial position. 2/ Point 1.4. of the Report - Condensed interim cash flow statement. 3/ Point 3.2. of the Report - Accounting principles adopted in the preparation of the condensed quarterly financial statements. 4/ Point 4.1. of the Report - Selected financial data including key items of the financial statements (also translated into EURO). 5/ Point 4.2. of the Report -Information on adjustments for provisions, deferred tax liabilities and assets, and asset write-downs. 6/ Point 4.3. of the Report -Summary and explanation of differences between the data disclosed in the financial statements and comparative data and the previously prepared and published financial statements. 7/ Point 4.7 of the Report - Intangible assets. 8/ Point 4.17. of the report - Indication of significant proceedings pending before a court, a competent authority for arbitration proceedings or a public administration body, concerning liabilities and receivables of the issuer or its subsidiary, indicating the subject matter of the proceedings, the value of the subject matter of the dispute, the date on which the proceedings were initiated, the parties to the initiated proceedings and the issuer's position. 9/ Point 4.27 of the Report - Events that occurred after the date as of which the condensed quarterly financial statements were prepared, not included in these statements, but which may significantly affect the Issuer's future financial results. 10/ Point 4.31 of the report - Indication of shareholders holding, directly or indirectly through subsidiaries, at least 5% of the total number of votes at the Issuer's general meeting as of the date of submitting the quarterly report, together with an indication of the number of shares held by those entities, their percentage share in the share capital, the number of votes arising therefrom and their percentage share in the total number of votes at the general meeting, as well as an indication of changes in the ownership structure of significant blocks of the Issuer's shares in the period since the submission of the previous quarterly report. 11/ Point 4.34 of the Report - Indication of factors which, in the Issuer's opinion, will affect its results in the perspective of at least the next quarter 12/ Point 4.35 of the Report - Risk and hazard factors.
The reason for the correction are the recommendations of the Polish Financial Supervision Authority issued in connection with the supervision over the performance of the issuers' disclosure obligations and the analysis of the Company's interim financial statements for the third quarter of 2022 and referring to the proceedings initiated with the application of June 29, 2022 for approval of the prospectus (prospectus proceeding ). The recommendations consist in correcting the interim financial statements for the third quarter of 2022 pursuant to § 15 sec. 4 of the Regulation on current and periodic information by recognizing and presenting expenditures incurred for the development of computer games in accordance with the provisions of IAS 38.
