Zarząd Kredyt Inkaso S.A. ("Emitent") przekazuje korektę raportu bieżącego nr 2/2016 z dnia 08.01.2016 r., która to korekta dotyczy uzupełnienia treści raportu o informacje wynikające z zakwalifikowania znaczącej umowy również jako nabycia znaczącego aktywa oraz dokonania przeliczenia danych podanych w przedmiotowym raporcie wyrażonych w walucie obcej wg średniego kursu ogłoszonego przez NBP. Skorygowana treść raportu: Zarząd Kredyt Inkaso S.A. (Emitent) informuje, że jednostka zależna Emitenta Kredyt Inkaso Portfolio Investments (Luxembourg) S.A. z siedzibą w Luksemburgu ("Jednostka Zależna", "Nabywca") podpisała w dniu 8 stycznia 2016 roku Umowę przelewu wierzytelności (Umowa) z Idea Bank S.A. z siedzibą w Bukareszcie w Rumunii ("Zbywca"). Przedmiotem Umowy jest nabycie przez Jednostkę Zależną pakietu wierzytelności W szczególności obejmującego wierzytelności pieniężne Zbywcy wobec dłużników - podmiotów gospodarczych i przedsiębiorstw z tytułu umów pożyczek niezabezpieczonych i zabezpieczonych, w tym hipotecznie, o łącznej wartości nominalnej około 77 mln RON ("Pakiet Wierzytelności") za cenę około 24 mln RON ("Cena"). Przeliczając w/w wartości wg średniego kursu NBP obowiązującego na dzień wystąpienia zdarzenia łączna wartość nominalna nabytego pakietu wierzytelności wynosi około 74 mln PLN, zaś cena około 23 mln PLN. Umowa nie przewiduje warunków zawieszających. Umowa nie przewiduje kar umownych, których maksymalna wysokość może przekroczyć 10% wartości umowy lub co najmniej wyrażoną w złotych równowartość kwoty 200.000 EUR. Pozostałe jej warunki nie odbiegają od standardów rynkowych stosowanych w umowach tego typu. Kryterium stanowiącym podstawę uznania Umowy za znaczącą umowę jest cena nabycia pakietu wierzytelności, która przekracza 10% wartości kapitałów własnych Emitenta. W oparciu o powyższą umowę jednostka zależna Emitenta nabyła jednocześnie aktywa znacznej wartości. Wartość ewidencyjna nabytych aktywów w księgach rachunkowych jednostki zależnej równa jest cenie nabycia. Nabycie aktywów sfinansowane zostanie ze środków własnych. Pomiędzy Emitentem oraz osobami zarządzającymi lub nadzorującymi Emitenta a Zbywcą nie ma powiązań. Emitent jest jedynym wspólnikiem Kredyt Inkaso Portfolio Investments (Luxembourg) S.A. z siedzibą w Luksemburgu, posiadającym 100% akcji w kapitale zakładowym tej Spółki jak i 100% głosów w ogólnej liczbie głosów na Walnym Zgromadzeniu, a ponadto Pan Paweł Robert Szewczyk będący Prezesem Zarządu Emitenta pełni jednocześnie funkcję Dyrektora Klasy A Kredyt Inkaso Portfolio Investments (Luxembourg) S.A. Kryterium stanowiącym podstawę uznania nabytych aktywów za aktywa znacznej wartości jest wartość nabytych certyfikatów inwestycyjnych, która przekracza 10% wartości kapitałów własnych Emitenta. Z uwagi na okoliczność, że nabycie nie dotyczy nabycia przedsiębiorstwa lub zorganizowanych części jego mienia, nieruchomości lub innych środków trwałych ani też nabycia, zbycia lub obciążenia akcji (udziałów) ograniczonym prawem rzeczowym w innych jednostkach podanie danych, o których mowa w § 7 pkt 8 i 9 Rozporządzenia Ministra Finansów z dnia 19 lutego 2009 r. w sprawie informacji bieżących i okresowych przekazywanych przez emitentów papierów wartościowych oraz warunków uznawania za równoważne informacji wymaganych przepisami prawa państwa niebędącego państwem członkowskim nie ma zastosowania. Current report no. 2/2016 K Legal basis: Art. 56 sec. 1 p. 2 – current and periodic information Title: Correction of the report: Conclusion of the significant agreement by the subsidiary of the Issuer  and the of significant assets. Contents of the report: The Management Board of Kredyt Inkaso S.A. („Issuer”) submits the corrected current report no. 2/2016 of 08.01.2016. The correction concerns supplementing of the report with the information arising from recognizing the significant agreements also as the purchase of a significant asset, as well as from translation of data presented in the subject report, quoted in foreign currency, at the average exchange rate announced by NBP. Corrected contents of the report: The Management Board of Kredyt Inkaso S.A. („Issuer”) informs that on 8 January 2016 the subsidiary of the Issuer, Kredyt Inkaso Portfolio Investments (Luxembourg) S.A. with its registered office in Luxembourg („Subsidiary”, „Buyer”) concluded the Receivables Assignment Agreement („Agreement”) with Idea Bank S.A. with its registered office in Bucharest in Romania („Seller”). The subject matter of the Agreement is the purchase by the Subsidiary of the portfolio including in particular the receivables of the Seller against debtors: business entities and enterprises due to secured and unsecured loans, including mortgages, of the total nominal value of approximately RON 77 million („Receivables Portfolio”) for the price in the amount of approx. RON 24 million („Price”). Translating the above-mentioned values at the average exchange rate of NBP binding as at the day of the event, the total nominal value of the purchased portfolio of receivables amounts to approx.  PLN 74 million, whereas the price amounts to approx. PLN 23 million. The Agreement does not include conditions precedent. The Agreement does not set out contractual penalties which might exceed 10% of the agreement’s value or the equivalent in PLN of the amount of EUR 200.000 at least. The other terms of the Agreement do not depart from standards commonly used in these types of agreements. The criterion constituting the basis for deeming the Agreement as a significant agreement is the purchase price of the portfolio of receivables which exceeds 10% of the value of the Issuer’s equity. At the same time, under the above agreement, the subsidiary of the Issuer purchased assets of significant value. The book value of the acquired assets in the books of account of the subsidiary equals to the purchase price. The purchase of the assets will be financed from own funds.  There are no relations between the Seller and the Issuer and the persons managing or supervising the Issuer. The Issuer is the only partner of Kredyt Inkaso Portfolio Investments (Luxembourg) S.A. with its registered office in Luxemburg, holding 100% of shares in the share capital of this Company, as well as 100% votes in the general number of votes at the General Assembly. Moreover, Mr. Paweł Robert Szewczyk, President of the Management Board of the Issuer, holds at the same time the function of Class A Director in Kredyt Inkaso Portfolio Investments (Luxembourg) S.A. The criterion constituting the basis for deeming the acquired assets as significant assets is the value of the purchased investment certificates which exceeds 10% of the value of the Issuer’s equity. In view of the fact that the purchase neither concerns the acquisition of a company or organized parts of its property, real estate or other fixed assets, nor the acquisition, sale or encumbrance of shares with the limited property right in other entities, it is not applicable to provide data referred to in § 7 p. 8 and 9 of the Regulation of the Minister of Finance of 19 February 2009 on current and periodic information submitted by issuers of securities and the terms of deeming as equal the information required by the legal regulations of the country not being the member state.
