| Zarząd DECORA S.A. niniejszym informuje, że w dniu 21 lutego 2011r. Emitent otrzymał podpisany przez Bank Raiffeisen Bank Polska S.A. z siedzibą w Warszawie aneks nr 9 do umowy o limit wierzytelności nr CRD/L/21417/06 z dnia 22 marca 2006r wraz z późniejszymi zmianami. ("Aneks"). Na mocy Aneksu zwiększono przyznany Emitentowi limit wierzytelności na finansowanie bieżącej działalności do wysokości 30.000.000 PLN. Aneksem zmieniono Dzień Ostatecznej Spłaty Limitu, a także Ostatni Dzień Okresu Wykorzystania oraz Dzień Ostatecznej Spłaty Produktu Obarczonego Ryzykiem na dzień 28 lutego 2012r., a w przypadku przedłużenia umowy – na dzień 28 sierpnia 2012r. Na mocy Aneksu określono termin obowiązywania umowy – do dnia 28 lutego 2012r. a także przewidziano możliwość przedłużenia umowy do dnia 31 sierpnia 2012r. pod warunkiem, że Emitent opłaci drugą część prowizji przygotowawczej do dnia 30 listopada 2011 r. a także złoży oświadczenia o zmianie czasu zabezpieczenia hipotecznego na zabezpieczenie spłaty limitu podpisane przez Emitenta oraz przez spółkę zależną od Emitenta pod firmą TRANS Sp. z o.o. z siedzibą w Kostrzynie nad Odrą Na mocy Aneksu zwiększono zabezpieczenie w postaci zastawu rejestrowego na zapasach Emitenta do kwoty nie mniejszej niż 17.000.000 PLN wraz z cesją praw z umowy ubezpieczenia zapasów przy sumie ubezpieczenia nie niższej niż 13.000.000 PLN oraz zrezygnowano z zabezpieczenia w postaci zastawu rejestrowego na zapasach spółki zależnej od Emitenta pod firmą TRANS Sp. z o.o. z siedzibą w Kostrzynie nad Odrą. Zwiększono zabezpieczenie w postaci hipoteki kaucyjnej łącznej na nieruchomościach Emitenta położonych w Środzie Wielkopolskiej do kwoty 35.000.000 PLN wraz z cesją praw z umowy ubezpieczenia nieruchomości przy sumie ubezpieczenia nie niższej niż 1.750.000 PLN, a także w postaci hipoteki kaucyjnej na nieruchomości spółki zależnej od Emitenta pod firmą TRANS Sp. z o.o. z siedzibą w Kostrzynie nad Odrą położonej w Kostrzynie nad Odrą do kwoty 35.000.000 PLN wraz z cesją praw z umowy ubezpieczenia nieruchomości przy sumie ubezpieczenia nie niższej niż 4.470.000 PLN. Dokonano również obniżenia marż banku i prowizji z tytułu zaangażowania. W związku ze zwiększeniem limitu wierzytelności zwiększono kwotę, do której Emitent poddał się egzekucji do sumy nie większej niż 45.000.000 PLN, a także przedłużono termin w którym Bank może wystąpić o nadanie klauzuli wykonalności bankowemu tytułowi egzekucyjnemu do dnia 31.08.2015r. Nadto Zarząd DECORA S.A. niniejszym informuje, że w dniu 21 lutego 2011r. Emitent otrzymał podpisane przez Bank Raiffeisen Bank Polska S.A. z siedzibą w Warszawie umowę cesji wierzytelności z ubezpieczenia nieruchomości Emitenta położonych w Środzie Wielkopolskiej, na warunkach określonych w Aneksie, a także Aneks nr 5 do umowy zastawu rejestrowego na środkach obrotowych z dnia 22 marca 2006 roku wraz z późniejszymi zmianami, na warunkach określonych w Aneksie. Kryterium uznania aneksowanej umowy za umowę znaczącą w rozumieniu przepisów Rozporządzenia Ministra Finansów z dnia 19 lutego 2009 w sprawie informacji bieżących i okresowych przekazywanych przez emitentów papierów wartościowych oraz warunków uznawania za równoważne informacji wymaganych przepisami prawa państwa niebędącego państwem członkowskim stanowi fakt, iż przyznany Emitentowi limit wierzytelności będący przedmiotem umowy, a zwiększony Anksem przekracza 10% kapitałów własnych Emitenta. | ||||||||||||

| The Management Board of DECORA S.A. hereby notifies that on 21st February 2011 the Issuer received Annex 9 to Debt Limit Agreement No. CRD/L/21417/06 of 22nd March 2006 as amended (“Annex”) signed by Bank Raiffeisen Bank Polska S.A. with its registered office in Warszawa . On the basis of the Annex, the debt limit granted to the Issuer for financing the current business activity was increased to the amount of PLN 30,000,000. The Annex changed the Final Day of the Debt Limit Payment as well as the Final Day of the Period Use and the Final Payment Day of the Product Burdened with Risk as of 28th February 2012, and in case of prolonging the contract – as of 28th August 2012. The Annex established the agreement duration - by 28th February 2012 and may prolong the agreement by 31st August 2012, provided that the Issuer pays the second part of the front-end commission by 30th, November 2011 and files statements on changing the period of the mortgage security on the debt limit payment security signed by the Issuer and its subsidiary acting under the business name TRANS Sp. z o.o. with the registered office in Kostrzyn nad Odrą. The Annex increased the security in the form of the registered pledge on stocks of the Issuer up to the amount of at least PLN 17.000.000 including the assignment of rights from the stock insurance agreement, with the insurance amount of at least PLN 13.000.000, whereas the security in the form of the registered pledge on stocks of its subsidiary acting under business name TRANS Sp. z o.o. with the registered office in Kostrzyn nad Odrą was annulled. The security in the form of the total bail mortgage on real estate of the Issuer located in Środa Wielkopolska was increased up to the amount of PLN 35.000.000 including the assignment of rights from the real estate insurance agreement with the insurance amount of at least 1.750.000. At the same time the security in the form of the bail mortgage on the real estate of the subsidiary acting under the business name of TRANS Sp. z o.o. with the registered office in Kostrzyn nad Odrą, located in Kostrzyn nad Odrą, was increased up to the amount of PLN 35.000.000, including the assignment of rights from the real estate insurance agreement, with the insurance amount of at least PLN 4.470.000. Furthermore, the bank's mark-ups and involvement commission were decreased. Due to increasing the debt limit, the enforcement amount to which the Issuer would submit was increased up to the amount not greater than PLN 45,000,000, as well as the period in which the Bank may apply for the enforcement clause of the bank enforcement title was prolonged to 31st August 2015. On top of this, the Management Board of DECORA S.A. hereby notifies that the Issuer received the Debt Assignment Agreement from the insurance of the Issuer’s real estate located in Środa Wielkopolska on 21st February , signed by Bank Raiffeisen Bank Polska S.A. with the registered office in Warszawa, on conditions specified in the Annex, as well as Annex No. 5 to the agreement on registered pledge on current assets dated 22nd, March 2006 as amended, on conditions specified in the Annex. The criterion of considering the annexed agreement as the agreement within the meaning of provisions of the Ordinance of the Minister of Finance dated 19th February 2009 on Up-to-date and Periodic Information Conveyed by Issuers of Securities and Terms of Recognizing Information Required by Laws of a Non-Member Country as Equivalent is the fact that the debt limit being the subject matter of the agreement, granted to the Issuer and increased by the Annex, exceeds 10% of the Issuer’s equity. | |||
