| Powierzenie obowiązków Prezesa Zarządu Banku Gospodarki Żywnościowej S.A. Pierwszemu wiceprezesowi Zarządu Raport bieżący nr 37/2013 z 24 lipca 2013 r. Zarząd Banku Gospodarki Żywnościowej S.A. ("Bank") informuje, że w dniu 24 lipca 2013 r. Rada Nadzorcza zmieniła uchwałę nr 5/2013 w sprawie powołania do Zarządu Banku Gospodarki Żywnościowej S.A. i uchyliła powierzenie Pani Monice Nachyła Wiceprezesowi Banku pełnienia obowiązków Prezesa Zarządu. Jednocześnie Rada Nadzorcza w dniu 24 lipca 2013 r. powierzyła pełnienie obowiązków Prezesa Panu Geertowi Embrechts Pierwszemu wiceprezesowi Zarządu Banku, a w okresie jego czasowej nieobecności Panu Witoldowi Okarma Wiceprezesowi Zarządu. Pan Geert Embrechts nie prowadzi działalności konkurencyjnej w stosunku do Banku, nie jest wspólnikiem w spółce konkurencyjnej w stosunku do Banku, ani nie jest członkiem organu spółki kapitałowej konkurencyjnej wobec Banku oraz nie jest członkiem organu jakiejkolwiek innej osoby prawnej konkurencyjnej wobec Banku. Ponadto Pan Geert Embrechts nie został wpisany do Rejestru Dłużników Niewypłacalnych. W załączeniu życiorys Pana Geerta Embrechts. Zarząd informuje, iż Rada Nadzorcza postanowiła o rozpoczęciu procesu rekrutacyjnego na stanowisko Prezesa Zarządu. Podstawa prawna: § 5 ust. 1 pkt 22 Rozporządzenia Ministra Finansów z dnia 19 lutego 2009 r. w sprawie informacji bieżących i okresowych przekazywanych przez emitentów papierów wartościowych oraz warunków uznawania za równoważne informacji wymaganych przepisami prawa państwa niebędącego państwem członkowskim. | |||||||||||

| Assignment of Responsibilities of the President of the Management Board of Bank Gospodarki Żywnościowej S.A. to the First Vice President of the Management Board. Current report no. 37/2013 dated July 24, 2013. The Management Board of Bank Gospodarki Żywnościowej S.A. („Bank”) hereby informs that on July 24, 2013 the Supervisory Board amended resolution no. 5/2013 on the appointment as a member of the Management Board of Bank Gospodarki Żywnościowej SA and revoked the entrusting of the responsibilities of the President of the Management Board to Ms. Monika Nachyła. At the same time, the Supervisory Board on July 24, 2013 entrusted the responsibilities of the President to Mr. Geert Embrechts First Vice President of the Management Board and during his temporary absence to Mr.Witold Okarma Vice President of the Management Board. Mr. Geert Embrechts is not conducting any activity competitive against the Bank, he is not a shareholder to any company competitive against the Bank, nor is he a member of a body of a capital company competitive against the Bank, nor is he a member of a body of any other legal person competitive against the Bank. Furthermore, Mr. Geert Embrechts has not been entered into the Register of Insolvent Debtors. CV of Mr. Geert Embrechts is attached. The Management Board informs that the Supervisory Board decided to begin recruitment process for the position of the President of the Management Board. Legal basis: § 5 section 1 point 22 of the Ordinance of the Minister of Finance dated February 19, 2009 on the current and periodic reports disclosed by the securities issuers and on equivalence of information disclosures required by law of non-EU member states. | |||
