| Zarząd AmRest Holdings SE („AmRest”, „Spółka”) informuje o otrzymaniu w dniu 11 sierpnia 2017 roku powiadomienia od Gosha Holding S.à.r.l., spółki założonej zgodnie z prawem Wielkiego Księstwa Luksemburga, z siedzibą w Luksemburgu, L-1528, 8A Boulevard de la Foire, zarejestrowanej w rejestrze handlowym Luksemburga (Registre de Commerce et des Sociétés) pod numerem B202224 (dalej zwanej “Gosha”), że w dniu 9 sierpnia 2017 r. w wyniku transakcji pakietowej na Giełdzie Papierów Wartościowych w Warszawie Gosha zbyła 200.000 akcji AmRest reprezentujących ok. 0,94% wszystkich akcji Spółki i uprawniających do wykonywania 200.000 głosów na walnym zgromadzeniu akcjonariuszy Spółki stanowiących ok. 0,94% ogólnej liczby głosów na walnym zgromadzeniu Spółki („Transakcja”), w wyniku czego bezpośrednio zmniejszyła swój udział w ogólnej liczbie głosów na Walnym Zgromadzeniu Akcjonariuszy Spółki do poniżej 5%. Przed dokonaniem Transakcji Gosha posiadała 1.242.056 akcji Spółki reprezentujących ok. 5,85% wszystkich akcji Spółki i uprawniających do wykonywania 1.242.056 głosów na walnym zgromadzeniu akcjonariuszy Spółki stanowiących ok. 5,85% ogólnej liczby głosów na walnym zgromadzeniu Spółki. Po dokonaniu Transakcji Gosha posiada 1.042.056 akcji Spółki reprezentujących ok. 4,91% wszystkich akcji Spółki i uprawniających do wykonywania 1.042.056 głosów na walnym zgromadzeniu akcjonariuszy Spółki stanowiących ok. 4,91% ogólnej liczby głosów na walnym zgromadzeniu Spółki. Ponadto Gosha poinformowała, że nie posiada, nie nabyła ani nie zbyła żadnych instrumentów, o których mowa w art. 69b ust. 1 ustawy z dnia 29 lipca 2005 roku o ofercie publicznej i warunkach wprowadzania instrumentów finansowych do zorganizowanego systemu obrotu oraz o spółkach publicznych („Ustawa o ofercie”) oraz że nie występują osoby, o których mowa w art. 87 ust. 1 pkt 3 lit. c Ustawy o ofercie. | ||||||||||||

RB 200/2017 Disclosure of Shareholding - Gosha Holding S.à.r.l.;The Management Board of AmRest Holdings SE (“AmRest”, “the Company”) informs that it received on August 11th, 2017 a notification from Gosha Holding S.à.r.l., a company organized under the laws of the Grand Duchy of the Luxembourg, with its registered office in Luxembourg, L-1528, 8A Boulevard de la Foire, registered with the Luxembourg Trade and Companies Register (Registre de Commerce et des Sociétés) under number B202224 (hereinafter referred as the “Gosha”), that as a result of a block transaction executed at the Warsaw Stock Exchange on August 9th, 2017 Gosha disposed 200,000 shares in AmRest representing app. 0.94% of the total number of shares of the Company, which entitle to exercise 200,000 votes at the Company’s General Meeting of Shareholders, constituting app. 0.94% of total number of votes at the Company’s General Meeting of Shareholders (the “Transaction”) and, as a result, decreased its share in the total amount of votes at the Company’s General Meeting of Shareholders to less than 5%.;Prior to the Transaction Gosha held 1,242,056 shares of the Company representing app. 5.85% of the total number of shares of the Company, which entitled to exercise 1,242,056 votes at the Company’s General Meeting of Shareholders, constituting app. 5.85% of total number of votes at the Company’s General Meeting of Shareholders.;After execution of the Transaction Gosha holds 1,042,056 shares of the Company representing app. 4.91% of the total number of shares of the Company, which entitle to exercise 1,042,056 votes at the Company’s General Meeting of Shareholders, constituting app. 4.91% of total number of votes at the Company’s General Meeting of Shareholders.;Additionally, Gosha informed that it does not hold, did not acquire or disposed any instruments referred to in Article 69b.1 of the Act of 29 July 2005 on Public Offering and the Conditions Governing the Introduction of Financial Instruments to Organized Trading and on Public Companies (“POA”), and that there are no persons or entities referred to in Article 87 section 1 point 3 c) of the POA.;Legal act: Art. 70 Point 1 of Act on public offering, conditions governing the introduction of financial instruments to organized trading and public companies dated July 29th 2005 | |||
