| W nawiązaniu do RB 53/2017 z dnia 27 marca 2017 roku, AmRest Holdings SE („AmRest”, „Spółka”) informuje o podpisaniu w dniu 30 maja 2017 roku aneksu do wstępnego wiążącego porozumienia („Head of Terms”) z Yum Restaurants International Holding, Ltd (“Yum”) oraz Pizza Hut Delivery Germany GmbH (“PH Delivery”) określającego główne warunki, na jakich ma dojść do zawarcia transakcji, której przedmiotem będzie uzyskanie przez AmRest praw master-franczyzobiorcy dla marki Pizza Hut na rynku niemieckim oraz nabycie 2 restauracji Pizza Hut typu „delivery” prowadzonych bezpośrednio przez PH Delivery. Aneks przedłużył okres obowiązywania Head of Terms, a jednocześnie okres w którym ma dojść do zawarcia umów wymaganych do przejęcia restauracji własnych od PH Delivery jak również Ramowej Umowy Franczyzowej z Yum do dnia 31 lipca 2017 roku. W przypadku gdy nie dojdzie do zawarcia Umów do tego dnia, Head of Terms ulegnie rozwiązaniu. Pozostałe warunki Head of Terms nie zostały zmienione. | ||||||||||||

RB 125/2017 Amendment to Binding Head of Terms between AmRest, Yum Restaurants International Holding, Ltd and Pizza Hut Delivery Germany GmbH ;In regards to RB 53/2017 dated March 27th, 2017, the Management Board of AmRest Holdings SE (“AmRest”, the “Company”) informs about signing on May 30th, 2017 the Amendment to Binding Head of Terms (“HoT”) determining the key terms and conditions on, and subject to which, Yum Restaurants International Holding, Ltd (“YRIHL”) and Pizza Hut Delivery Germany GmbH (“PH Delivery”) would be willing to proceed with a potential transaction with AmRest, whereby the Company would become Pizza Hut master franchisee for Germany and acquire two Pizza Hut delivery stores.;The Amendment extends the term of HoT, and simultaneously the period during which the agreements required for the acquisition of the equity business from PH Delivery and the Master Franchise Agreement with YRIHL shall be executed to July 31th, 2017.
