| W nawiązaniu do raportu bieżącego nr 23/2013 z dnia 24 maja 2013 r. w sprawie zamierzonej zmiany Statutu oraz raportu bieżącego nr 31/2013 z dnia 20 czerwca 2013 r. w sprawie uchwał podjętych przez Zwyczajne i Nadzwyczajne Walne Zgromadzenie Akcjonariuszy KULCZYK OIL VENTURES INC. ("KOV", "Emitent", "Spółka"), Kierownictwo KOV informuje o podjęciu przez ww. Zwyczajne i Nadzwyczajne Walne Zgromadzenie Akcjonariuszy Spółki uchwałę o następującej treści: a)zgodnie z art. 173 ust. 1 lit. a) przepisów ABCA (Ustawy o Spółkach Prowincji Alberta (ang. Business Corporation Act (Alberta)), zmienia się Statut spółki Kulczyk Oil Ventures Inc. ("Spółka") poprzez zmianę nazwy Spółki na "Serinus Energy Inc." lub inną nazwę zatwierdzoną przez Radę Dyrektorów Spółki i akceptowalną dla Rejestru Spółek Prowincji Alberta lub właściwego organu regulacyjnego ("Zmiana Nazwy"); b)niezależnie od podjęcia niniejszej uchwały nadzwyczajnej, dyrektorzy Spółki zostają niniejszym upoważnieni i uprawnieni, aby podjąć decyzję o nie przeprowadzaniu Zmiany Nazwy - w dowolnym czasie przed złożeniem Protokołu Zmian (ang. Articles of Amendment) wprowadzającego Zmianę Nazwy - bez dodatkowej zgody właścicieli akcji zwykłych; c)każdy z dyrektorów lub członków kierownictwa Spółki zostaje niniejszym upoważniony i zobowiązany do podpisania wszystkich dokumentów i podjęcia wszystkich innych czynności koniecznych lub pożądanych w celu realizacji niniejszej uchwały nadzwyczajnej i kwestii w niej zatwierdzonych, włączając w to między innymi złożenie Protokołu Zmian zgodnie z przepisami ABCA. Jednocześnie zgodnie z art. 173 ust. 1 lit. f) przepisów ABCA (Ustawy o Spółkach Prowincji Alberta (ang. Business Corporation Act (Alberta)), zmienia się Statut Spółki poprzez wprowadzenie postanowień, zgodnie z którymi nastąpi zmiana kapitału zakładowego Spółki w drodze scalenia wszystkich wyemitowanych akcji zwykłych ("Scalenie") w stosunku jedna (1) akcja zwykła po Scaleniu za każde dziesięć (10) akcji zwykłych przed Scaleniem bądź w stosunku opartym o inną, niższą całkowitą lub ułamkową liczbę akcji zwykłych przed Scaleniem określoną wedle własnego uznania przez Radę Dyrektorów Spółki. Spółka pragnie również poinformować, iż do dnia przekazania niniejszego raportu nie został sporządzony tekst jednolity Statutu Spółki (ani jego projekt). | ||||||||||||

Title: Resolved amendment of the Articles of Incorporation Legal basis: Article 56 Section 1 item 2 of the Offering Act - current and periodic information Content:With respect to current report No. 23/2013 of May 24, 2013 concerning intended amendment of the Articles of Incorporation and referring to current report No. 31/2013 of June 20, 2013 concerning the resolutions adopted by the General and Special Meeting of Shareholders of KULCZYK OIL VENTURES INC. (“KOV”, “Company”, “Corporation”), the Management of KOV informs that above mentioned General and Special Meeting adopted the following resolution: “(a) pursuant to subsection 173(1)(a) of the Business Corporations Act (Alberta) (“ABCA”), the Articles of Kulczyk Oil Ventures Inc. (the “Corporation”) be amended to change the name of the Corporation to “Serinus Energy Inc.” or such other name as the board of directors of the Corporation may approve and which is acceptable to the Registrar of Corporations of the Province of Alberta or any regulatory body having jurisdiction (the “Name Change”); (b) notwithstanding the passage of this special resolution, the directors of the Corporation be and are hereby authorized and empowered to determine not to proceed with the Name Change at any time prior to the filing of the Articles of Amendment to effect the Name Change without further approval of the holders of common shares; (c) any one director or officer of the Corporation be and is hereby authorized and directed to execute all documents and instruments and take all such other actions as may be necessary or desirable to implement this special resolution and the matters authorized hereby, including but not limited to the filing of Articles of Amendment under the ABCA.” Moreover be it resolved that pursuant to subsection 173(1)(f) of the Business Corporations Act (Alberta) (“ABCA”), the Articles Corporation be amended to provide that the authorized share capital of the Corporation be altered by consolidating all of the issued and outstanding common shares (the “Consolidation”) on the basis of one (1) post-Consolidation common share for every ten (10) pre-Consolidation common shares or for such other lesser whole or fractional number of pre-Consolidation common shares that the board of directors, in its sole discretion, determines to be appropriate. The Company also informs that the uniform text of the Articles of Incorporation of the Company (or its draft) has not been drafted until the date of filling this report. | |||
