| Zarząd Grupy ADV S.A informuje iż w dniu 11.05.2012 otrzymał zawiadomienie od Jethas Holdings Limited, o następującej treści : "Niniejszym, działając w imieniu Jethas Holdings Limited, spółki prawa cypryjskiego, zarejestrowanej w cypryjskim Rejestrze Spółek pod numerem HE 278176 (dalej "Jethas"), w wykonaniu obowiązku określonego w art. 69 ust. 1 pkt 2), ustawy o ofercie publicznej i warunkach wprowadzania instrumentów finansowych do zorganizowanego systemu obrotu oraz o spółkach publicznych z dnia 29 lipca 2005 r. (Dz.U. Nr 184, poz. 1539 z późn. zm.) (dalej "Ustawa")zawiadamiam o zmniejszeniu udziału w ogólnej liczbie głosów w spółce Grupa ADV S.A. z siedzibą w Gdyni, wpisanej do rejestru przedsiębiorców Krajowego Rejestru Sądowego z numerem KRS 0000286369 (dalej "Spółka") do poziomu poniżej 10% w ogólnej liczbie głosów w Spółce. Zmniejszenie głosów w ogólnej liczbie głosów w Spółce nastąpiło na skutek zawartej przez Jethas w dniu 2 maja 2012 r. umowy sprzedaży akcji Spółki, w wyniku której Jethas zbyła 630.000 (sześćset trzydzieści tysięcy) akcji zwykłych na okaziciela Spółki wprowadzonych do obrotu na rynku regulowanym. Przed zdarzeniem objętym niniejszym zawiadomieniem Jethas posiadała bezpośrednio 1.179.511 (jeden milion sto siedemdziesiąt dziewięć tysięcy pięćset jedenaście) akcji zwykłych na okaziciela Spółki, która to ilość stanowiła 16,85% udziału w jej kapitale zakładowym i bezpośrednio uprawniała do oddania 1.179.511 511 (jeden milion sto siedemdziesiąt dziewięć tysięcy pięćset jedenaście) głosów na Walnym Zgromadzeniu Spółki, co stanowiło 16,85% głosów w ogólnej liczbie głosów w Spółce. Jethas informuje, że aktualnie bezpośrednio posiada 549.511 (pięćset czterdzieści dziewięć tysięcy pięćset jedenaście) akcji zwykłych na okaziciela Spółki, która to ilość stanowi 7,85% udziału w jej kapitale zakładowym i bezpośrednio uprawnia do oddania 549.511 (pięćset czterdzieści dziewięć tysięcy pięćset jedenaście) głosów na Walnym Zgromadzeniu Spółki, co stanowi 7,85% głosów w ogólnej liczbie głosów w Spółce. Jethas informuje, że w ciągu najbliższych 12 miesięcy nie wyklucza bezpośredniego oraz pośredniego zwiększenia lub zmniejszenia swojego zaangażowania w Spółce. Ponadto Jethas informuje, że inne podmioty od niej zależne nie posiadają akcji Spółki oraz, że Jethas nie zawierała żadnych porozumień ani umów, których przedmiotem było by przekazanie uprawnienia do wykonywania prawa głosu w Spółce." | ||||||||||||

| The Management Board of Grupa ADV S.A. reports that on May 11th 2012 it received a notification from Jethas Holdings Limited, reading as follows: "Acting on behalf of Jethas Holdings Limited, a company incorporated under the laws of Cyprus, entered in the Cypriot Company Register under entry No. HE 278176 ("Jethas"), in performance of the obligation stipulated by Art. 69.1.2) of the Act on Public Offering, Conditions Governing the Introduction of Financial Instruments to Organised Trading, and Public Companies, dated July 29th 2005 (Dz.U. No. 184, item 1539, as amended) (the "Act"), we would like to inform you that Jethas' interest in total voting rights in Grupa ADV S.A. of Gdynia, entered in the Register of Entrepreneurs of the National Court Register under entry No. KRS 0000286369 (the "Company"), has fallen below 10% of the total voting rights in the Company. The interest in total voting rights in the Company has decreased following the execution on May 2nd 2012 of a share sale agreement relating to Company shares, whereunder Jethas sold 630,000 (six hundred and thirty thousand) ordinary bearer shares in the Company, introduced to trading on a regulated market. Prior to the change described herein, Jethas held directly 1,179,511 (one million, one hundred and seventy-nine thousand, five hundred and eleven) ordinary bearer shares in the Company, representing 16.85% of the Company's share capital and directly conferring the right to 1,179,511 (one million, one hundred and seventy-nine thousand, five hundred and eleven) votes at the Company's General Shareholders Meeting, which represented 16.85% of the total vote in the Company. Jethas reports that it presently holds directly 549,511 (five hundred and forty-nine thousand, five hundred and eleven) ordinary bearer shares in the Company, representing 7.85% of the Company's share capital and conferring directly the right to 549,511 (five hundred and forty-nine thousand, five hundred and eleven) votes at the Company's General Shareholders Meeting, which represents 7.85% of the total vote in the Company. Furthermore, Jethas admits the possibility that within the next 12 months it may, directly or indirectly, increase or decrease its shareholding in the Company. Jethas would also like to inform you that its subsidiaries hold no shares in the Company and that Jethas has not entered into any agreement or arrangement whereunder it would be obliged to transfer any voting rights in the Company." | |||
