| The Board of Directors of Pepco Group N.V. (the "Company", "Issuer") hereby announces that the Management Board of the Warsaw Stock Exchange S.A. ("WSE"), on the basis of Resolution No. 536/2021 of 24 May 2021, resolved to admit to trading on the regulated (main) market 575,000,000 (five hundred and seventy-five million) ordinary registered shares in the Company with a nominal value of EUR 0.01 each. The resolution came into force on the date of its adoption. The Board of Directors of the Company also announces that on 18 May 2021, the Company received statement of the National Depository for Securities ("NDS") No. 670/2021 dated 18 May 2021 on the basis of which the NDS decided to register 2,500,000 (two million, five hundred thousand) ordinary registered shares in the Issuer with a nominal value of EUR 0.01 each, identified with code NL0015000AS1, in the depository for securities with effect from 19 May 2021, and NDS statement No. 671/2021 dated 18 May 2021 on the basis of which the NDS decided to register 89,946,602 (eighty-nine million, nine hundred and forty-six thousand, six hundred and two) ordinary registered shares in the Issuer with a nominal value of EUR 0.01 each, identified with code NL0015000AU7, with effect from 19 May 2021. The Board of Directors of the Company also announces that the Management Board of the NDS, on the basis of statement No. 694/2021 dated 24 May 2021, resolved to effect on 25 May 2021 the assimilation of 2,500,000 (two million, five hundred thousand) shares in the Company, identified with code NL0015000AS1, with the other shares in the Company identified by code NL0015000AU7. All 575,000,000 (five hundred and seventy-five million) shares in the Company are now identified with code NL0015000AU7. | |||||||||||
