Warszawy w Warszawie, XII Wydział Gospodarczy Krajowego Rejestru Sądowego, pod numerem KRS 0000025237 ("Bank"), działając na podstawie art. 539 §1 i 2 Kodeksu spółek handlowych ("ksh"), w zw. z art. 402(1) ksh w uzupełnieniu pierwszego zawiadomienia o planowanym podziale: • Domu Maklerskiego mBanku Spółka Akcyjna z siedzibą w Warszawie, adres: ul. Warszawy w Warszawie, XII Wydział Gospodarczy Krajowego Rejestru Sądowego, pod numerem KRS 0000021519 ("mWM") ("Podział mWM") opublikowanego w formie raportu bieżącego nr 103/2015 z dnia 15 grudnia 2015 r., zawiadamia, że akcjonariusze Banku mogą zapoznawać się z opinią biegłego z badania planu Podziału mDM podpisanego 15 grudnia 2015 r. ("Plan Podziału mDM") oraz opinią z badania planu Podziału mWM podpisanego 15 grudnia 2015 r. ("Plan Podziału mWM") w zakresie ich poprawności i rzetelności. Opinie biegłego z badania Planu Podziału mDM i Planu Podziału mWM są dostępne na stronie internetowej Banku: www.mbank.pl/relacje-inwestorskie/plan-podzialu-mdm-mwm/, wersja angielska: www.mbank.pl/en/investor-relations/division-plan-of-mdm-mwm. W nawiązaniu do treści raportu bieżącego nr 103/2015 z dnia 15 grudnia 2015 r. zarząd Banku ponownie przekazuje poniższe informacje zawiadamiając o Podziale mDM oraz Podziale mWM. Podział mDM zostanie dokonany w trybie art. 529 §1 pkt 1 ksh, tj.: przez przeniesienie na: • Bank części majątku (aktywów i pasywów) mDM w postaci zorganizowanej części przedsiębiorstwa mDM związanej ze świadczeniem usług maklerskich ("Działalność Maklerska"); • mCentrum Operacji sp. z o.o., z siedzibą w Łodzi, adres: ul. Traktorowa 143, 91-203, Łódź, wpisanej do Rejestru Przedsiębiorców prowadzonego przez Sąd Rejonowy dla Łodzi-Śródmieścia w Łodzi, XX Wydział Gospodarczy Krajowego Rejestru Sądowego, pod numerem KRS 0000156764 ("mCO") części majątku (aktywów i pasywów) mDM w postaci zorganizowanej części przedsiębiorstwa mDM związanej z obsługą oraz świadczeniem usług kadrowych oraz płacowych ("Działalność Kadrowo - Płacowa"). Zgodnie z art. 530 § 1 KSH spółka mDM zostanie rozwiązana bez przeprowadzenia postępowania likwidacyjnego w dniu wykreślenia jej z rejestru, co nastąpi niezwłocznie po dokonaniu podwyższenia kapitału zakładowego mCO w wyniku Podziału mDM ("Dzień Podziału mDM"). Podział mWM zostanie dokonany w trybie art. 529 §1 pkt 1 ksh, tj.: przez przeniesienie na: • Bank części majątku (aktywów i pasywów) mWM w postaci zorganizowanej części przedsiębiorstwa mWM związanej ze świadczeniem usług maklerskich a także pozostałej działalności, niestanowiącej Działalności Biura Rynku Nieruchomości oraz Inwestycji Alternatywnych zgodnie z definicją poniżej ("Działalność Maklerska"); oraz • poprzez przeniesienie na BRE Property Partner sp. z o.o. z siedzibą w Warszawie, adres: ul. Królewska 14, 00-065 Warszawa, wpisanej do Rejestru Przedsiębiorców prowadzonego przez Sąd Rejonowy dla m. st. Warszawy w Warszawie, XII Wydział Gospodarczy Krajowego Rejestru Sądowego, pod numerem KRS 0000271011 ("BRE PP") części majątku (aktywów i pasywów) mWM w postaci zorganizowanej części przedsiębiorstwa mWM związanej z doradztwem oraz pośrednictwem w zakresie nabywania oraz inwestowania w nieruchomości oraz inne inwestycje alternatywne (złoto inwestycyjne, srebro inwestycyjne, dzieła sztuki) na rzecz osób fizycznych, jak również wykonywaniem analiz w zakresie rynku nieruchomości ("Działalność Biura Rynku Nieruchomości oraz Inwestycji Alternatywnych"). Zgodnie z art. 530 § 1 KSH spółka mWM zostanie rozwiązana bez przeprowadzenia postępowania likwidacyjnego w dniu wykreślenia jej z rejestru, co nastąpi niezwłocznie po dokonaniu podwyższenia kapitału zakładowego BRE PP w wyniku Podziału mWM ("Dzień Podziału mWM"). Plan Podziału mDM oraz Plan Podziału mWM zostały ogłoszone w trybie art. 535 §3 ksh przez umieszczenie ich na stronie internetowej Banku (pod adresem: www.mbank.pl/relacje-inwestorskie/plan-podzialu-mdm-mwm/, wersja angielska: www.mbank.pl/en/investor-relations/division-plan-of-mdm-mwm). | SUPPLEMENT TO THE FIRST NOTIFICATION ABOUT THE PROPOSED DIVISION OF mWEALTH MANAGEMENT S.A. AND DOM MAKLERSKI mBANKU S.A. Reference is made to the current report No. 103/2015 of 15 December 2015. The management board of mBank Spółka Akcyjna with its registered seat in Warsaw, postal address ul. Senatorska 18, 00-950 Warsaw, entered in the Register of Business Entities kept by the District Court for the Capital City of Warsaw in Warsaw, XII Commercial Division of the National Court Register, under KRS No. 0000025237 (the “Bank”), acting pursuant to Article 539 §1 and 2 of the Commercial Companies Code (the “CCC”), in connection with Article 402(1) of the CCC, hereby issues this supplement to the first announcement about the proposed division of: • Dom Maklerski mBanku Spółka Akcyjna with its registered seat in Warsaw, postal address ul. Wspólna 47/49, 00-684 Warsaw, entered in the Register of Business Entities kept by the District Court for the Capital City of Warsaw in Warsaw, XII Commercial Division of the National Court Register, under KRS No. 0000003151 (“mDM”) (“mDM Division”); and • mWealth Management Spółka Akcyjna with its registered seat in Warsaw, postal address ul. Królewska 14, 00-065 Warsaw, entered in the Register of Business Entities kept by the District Court for the Capital City of Warsaw in Warsaw, XII Commercial Division of the National Court Register, under KRS No. 0000021519 (“mWM”) (“mWM Division”) which was published by way of a current report No. 103/2015 of 15 December 2015 and informs that the shareholders of the Bank may review the auditor’s opinion regarding the audit of the plan of mDM Division signed on 15 December 2015 (the “mDM Division Plan”) and the plan of mWM Division signed on 15 December 2015 (the “mWM Division Plan”) in terms of accuracy and reliability thereof. The auditor opinions regarding the audit of the mDM Division Plan and the mWM Division Plan are available on the Bank’s website www.mbank.pl/relacje-inwestorskie/plan-podzialu-mdm-mwm/, English version: www.mbank.pl/en/investor-relations/division-plan-of-mdm-mwm. In reference to the current report No. 103/2015 of 15 December 2015, the management board of the Bank once again provides the following information in connection with the notification of the mDM Division and the mWM Division. The division of mDM will be effected in accordance with the procedure specified in Art. 529 § 1.1 of the CCC, i.e. through a transfer to: • the Bank of a part of the assets and liabilities of mDM in the form of an organised part of the enterprise of mDM connected with the provision of brokerage services (the “Brokerage Business”); • mCentrum Operacji sp. z o.o., with its registered seat in Łódź, postal address ul. Traktorowa 143, 91-203 Łódź, entered in the Register of Business Entities kept by the District Court for Łódź-Śródmieście, XX Commercial Division of the National Court Registerm under KRS No. 0000156764 (“mCO”) of a part of the assets and liabilities of mDM in the form of an organised part of the enterprise of mDM connected with the servicing of and rendering of human resources and payroll services (the “HR and Payroll Services”). Pursuant to Art. 530 § 1 of the CCC, mDM will be wound up without going into liquidation on the date on which it is struck off the register, which will occur immediately upon the registration of the share capital increase of mCO in result of the mDM Division (the “mDM Division Date”). The division of mWM will be effected in accordance with the procedure specified in Art. 529 § 1.1 of the CCC, i.e. through a transfer to: • the Bank of a part of the assets and liabilities of mWM in the form of an organised part of the enterprise of mWM connected with the provision of brokerage services as well as other activities which do not constitute the Operations of the Office of the Real Estate Market and Alternative Investment as defined below (the “Brokerage Business”); and • through a transfer to BRE Property Partner sp. z o.o. with its registered seat in Warsaw, postal address ul. Królewska 14, 00-065 Warsaw, entered in the Register of Business Entities kept by the District Court for the Capital City of Warsaw, XII Division of the National Court Register under KRS No 0000271011 (“BRE PP”) of a part of the assets and liabilities of mWM in the form of an organised part of the enterprise of mWM connected with advisory and intermediation services, within the scope of acquiring and investing in real estate as well as other alternative investments (investment gold, investment silver, fine art), in favour of natural persons as well as the performance of analysis within the scope of the real estate market (the “Operations of the Office of the Real Estate Market and Alternative Investments”). Pursuant to Art. 530 § 1 of the CCC, mWM will be wound up without going into liquidation on the date on which it is struck off the register, which will occur immediately upon the registration of the share capital increase of BRE PP in result of the mWM Division (the “mWM Division Date”). The mDM Division Plan and the mWM Division Plan were published pursuant to Article 535 §3 of the CCC by being posted on the Bank’s website (www.mbank.pl/relacje-inwestorskie/plan-podzialu-mdm-mwm/, English version: www.mbank.pl/en/investor-relations/division-plan-of-mdm-mwm).
