| Zarząd ManyDev Studio SE (dalej jako: „Spółka”) niniejszym informuje, że w dniu dzisiejszym, tj. 19 września 2022 r. powzięła wiadomość o rejestracji przez Sąd Rejonowy dla m. st. Warszawy w Warszawie, XIV Wydział Gospodarczy Krajowego Rejestru Sądowego w dniu 16 września 2022 r. zmiany statutu Emitenta. Po podwyższeniu kapitał zakładowy Spółki wynosi 452.000,00 euro dzieli się na 22 600 000 akcji o wartości nominalnej 0,02 euro każda. Ogólna liczba głosów wynikająca ze wszystkich ww. akcji Spółki wynosi 22 600 000. Poniżej Spółka podaje do wiadomości treść zmienionych postanowień statutu, zmiana wynikająca z uchwały numer 2 Nadzwyczajnego Walnego Zgromadzenia Emitenta z dnia 17 lutego 2022 r. oraz oświadczenia Zarządu o dookreśleniu wysokości kapitału zakładowego z dnia 13 kwietnia 2022 r. § 6 Statutu Spółki otrzymał nowe, następujące brzmienie: „§6 1. Kapitał zakładowy Spółki wynosi 452.000,00 EURO (czterysta pięćdziesiąt dwa tysiące euro). 2. Kapitał zakładowy Spółki dzieli się na 22.600.000 (dwadzieścia dwa miliony sześćset tysięcy) akcji o wartości nominalnej 0,02 euro (dwa euro centy) każda akcja. 3. Kapitał zakładowy dzieli się na: - akcje serii A2 w ilości 235.700 (dwieście trzydzieści pięć tysięcy siedemset) akcji na okaziciela od numeru 000.001 do numeru 235.700, o wartości nominalnej 0,02 euro (dwa euro centy) każda akcja; - akcje serii B w ilości 40.000 (czterdzieści tysięcy) akcji na okaziciela od numeru 00.001 do numeru 40.000, o wartości nominalnej 0,02 euro (dwa euro centy) każda akcja; - akcje serii C w ilości 107.000 (sto siedem tysięcy) akcji na okaziciela od numeru 000.001 do numeru 107.000, o wartości 0,02 euro (dwa euro centy) każda akcja; - akcje serii D w ilości 200.000 (dwieście tysięcy) akcji na okaziciela od numeru 000.001 do numeru 200.000, o wartości nominalnej 0,02 euro (dwa euro centy) każda akcja; - akcje serii E w ilości 600.000 (sześćset tysięcy) akcji na okaziciela od numeru 000.001 do numeru 600.000, o wartości nominalnej 0,02 euro (dwa euro centy) każda akcja; - akcje serii F w ilości 5.076.300 (pięć milionów siedemdziesiąt sześć tysięcy trzysta) akcji na okaziciela od numeru 0.000.001 do numeru 5.076.300, o wartości nominalnej 0,02 euro (dwa euro centy) każda akcja, - akcje serii G w ilości 741.000 (siedemset czterdzieści jeden tysięcy) akcji na okaziciela od numeru 000.001 do numeru 741.000, o wartości nominalnej 0,02 euro (dwa euro centy) każda akcja, - akcje serii H w ilości 14.000.000 (czternaście milionów) akcji na okaziciela od numeru 00.000.001 do numeru 14.000.000, o wartości nominalnej 0,02 euro (dwa eurocenty) każda akcja, - akcje serii I w ilości 1.600.000 (jeden milion sześćset tysięcy) akcji na okaziciela od numeru 0.000.001 do numeru 01.600.000 o wartości nominalnej 0,02 EURO (dwa eurocenty) każda akcja.” Ponadto Spółka informuje, że uchwałą numer 4 Nadzwyczajnego Walnego Zgromadzenia Emitenta uchylono § 7 Statutu. the amendment to the Statutes of the Company

periodic information
The Board of ManyDev
Studio SE (hereinafter referred to as: "Company") informs that today,
i.e. February 19, 2022 the Issuer has received the information that on
16 September 2022 the District Court for the Capital City of Warsaw in
Warsaw, XIV Commercial Division of the National Court Register
registered an amendment to the Company's Statutes.
After the increase,
the share capital of the Company amounts to EUR 452,000.00 and is
divided into 22 600 000 shares with a nominal value of EUR 0.02 each.
The total number of
votes resulting from all the above-mentioned shares of the Company
amounts to 22 600 000.
The Company announces
below the content of the amended provisions of the Articles of
Association, the amendment resulting from Resolution No. 2 of the
Issuer's Extraordinary General Meeting of February 17, 2022: and the
Management Board's statement on the upward revision of the share capital
dated April 13th 2022.
§6 of the Company's
Articles of Association received a new wording as follows:
"§6
1.
The
initial capital of the Company amounts to EUR 452 000 00 (four hundred
and fifty two thousand).
2.
The
Company's share capital is divided into 22 600 000 (twenty two million
sixty thousand) shares with a nominal value of EUR 0.02 (two euro cents)
per share.
3.
The
share capital shall be divided into:
- A2 series shares in
the number of 235,700 (two hundred thirty-five thousand seven hundred)
bearer shares from number 000,001 to number 235,700, with a nominal
value of EUR 0.02 (two euro cents) each share;
- B series shares in
the number of 40,000 (forty thousand) bearer shares from number 00.001
to number 40,000, having the nominal value of EUR 0.02 (two euro cents)
each share;
- C series shares in
the number of 107,000 (one hundred and seven thousand) bearer shares
from number 000.001 to number 107,000, having the nominal value of EUR
0.02 (two euro cents) each share;
- D series shares in
the number of 200,000 (two hundred thousand) bearer shares from number
000.001 to number 200,000, having the nominal value of EUR 0.02 (two
euro cents) each share;
- E series shares in
the number of 600,000 (six hundred thousand) bearer shares from number
000,001 to number 600,000, having the nominal value of EUR 0.02 (two
euro cents) each share;
- F series shares in
the number of 5,076,300 (five million seventy-six thousand three
hundred) bearer shares from number 0,000,001 to number 5,076,300, with a
nominal value of EUR 0.02 (two euro cents) each share,
- G series shares in
the number of 741,000 (seven hundred and forty-one thousand) bearer
shares from number 000,001 to number 741,000, having the nominal value
of EUR 0.02 (two euro cents) each share,
- H series shares in
the number of 14,000,000 (fourteen million) bearer shares from number
00,000,001 to number 14,000,000, with a nominal value of EUR 0.02 (two
euro cents) per share
-E series shares in
the number of 1 600 000 (one million sixty thousand) bearer shares from
number 0.000.001
to number 01.600.000, with a nominal value of
EUR 0.02 (two euro cents) per share.
Furthermore, the
Company informs that by resolution number 4 of the Issuer's
Extraordinary General Meeting, §7 of the Statutes was repealed.
