| Zarząd Globe Trade Centre S.A. ("Spółka"), niniejszym informuje, że w dniu 16 kwietnia 2020 r. otrzymał pisemne oświadczenie GTC Dutch Holdings B.V., prywatnej spółki utworzonej i funkcjonującej zgodnie z prawem holenderskim, z siedzibą przy Claude Debussylaan 10, III piętro, budynek Vinoly, 1082 MD Amsterdam, Holandia zarejestrowanej przez Holenderską Izbę Handlową (Kamer van Koophandel) pod numerem 71627081 („Uprawniony Akcjonariusz”), zgodnie z którym Uprawniony Akcjonariusz, działając na podstawie artykułu 9.1 statutu Spółki powołał pana Christian Harlander na stanowisko członka Rady Nadzorczej Spółki ze skutkiem natychmiastowym. Zgodnie ze swoim oświadczeniem i załączonym do niego świadectwem depozytowym Uprawniony Akcjonariusz posiada 298.575.091 akcji w Spółce, stanowiących 61,49% kapitału zakładowego Spółki i uprawniających do 61,49% głosów na walnym zgromadzeniu Spółki. Christian Harlander posiada ponad 15-letnie doświadczenie w branży nieruchomości, skoncentrowane głównie na zarządzaniu aktywami i transakcjami. Obecnie zajmuje stanowisko Dyrektora ds. Nieruchomości Komercyjnych w Hudson Advisors Germany GmbH, gdzie nadzoruje zarządzanie aktywami oraz czynności związane ze sprzedażą nieruchomości i portfeli wierzytelności z tytułu nieruchomości w Niemczech i Europie Środkowo-Wschodniej. Zanim dołączył do Hudson Advisors w 2012 r., Pan Harlander przepracował siedem lat w dziale Corporate Finance - Real Estate firmy KPMG, doradzając inwestorom instytucjonalnym i klientom korporacyjnym. Christian Harlander jest członkiem Royal Institution of Chartered Surveyors i ukończył studia z zakresu Nieruchomości (Real Estate) na University of Hong Kongu oraz z zakresu Zarządzania Przedsiębiorstwem (Business Administration) na Duale Hochschule Baden-Wurtemberg (DHBW) w Stuttgart, Niemczech. Zgodnie ze złożonym oświadczeniem, Pan Christian Harlander nie jest wpisany do rejestru dłużników niewypłacalnych prowadzonego na podstawie ustawy o Krajowym Rejestrze Sądowym z dnia 20 sierpnia 1997 r. oraz nie wykonuje innej działalności poza przedsiębiorstwem Spółki, która jest w stosunku do niej konkurencyjna, nie uczestniczy w spółce konkurencyjnej jako wspólnik spółki cywilnej, spółki osobowej lub jako członek organu spółki kapitałowej lub innej konkurencyjnej osoby prawnej. Appointment of Supervisory Board member of Globe Trade Centre S.A. The management board of Globe Trade Centre S.A. (“the Company”) hereby informs that on 16 April 2020 it received a written statement of GTC Dutch Holdings B.V., a private company organised and existing under the laws of the Netherlands, with its registered office at Claude Debussylaan 10, third floor, Vinoly Building, 1082 MD Amsterdam, the Netherlands, registered with the Dutch Chamber of Commerce (Kamer van Koophandel) under number 71627081 (the “Entitled Shareholder”), according to which the Entitled Shareholder appoints Mr. Christian Harlander as a member of the supervisory board of the Company, effective immediately. Appointment was made pursuant to sections 9.1. of the articles of association of the Company. Pursuant to its statement and the deposit certificate attached thereto, the Entitled Shareholder holds 298,575,091 shares in the Company, which constitute 61.49% of the Company’s share capital and entitles the holder thereof to 61.49% of the votes at the general meeting of the Company. Christian Harlander has more than 15 years of experience in the real estate industry with focus on asset- and transaction management. In his current position as Director, Commercial Real Estate at Hudson Advisors Germany GmbH, Mr. Harlander oversees Hudson’s asset management and disposition activities for direct real estate and real estate debt portfolios in Germany and Central & Eastern Europe. Prior to joining Hudson Advisors in 2012, Mr. Harlander spent seven years in the Corporate Finance – Real Estate practice of KPMG, providing transaction advice to institutional investors and corporate clients. Christian Harlander is a Member of the Royal Institution of Chartered Surveyors and holds degrees in Real Estate from the University of Hong Kong and in Business Administration from Duale Hochschule Baden-Wurtemberg (DHBW) Stuttgart, Germany. According to his statement, Mr. Christian Harlander is not entered in the register of insolvent debtors maintained in compliance with the Act on the National Court Register dated 20 August 1997, does not perform any activities outside of the Company’s business which could be considered competitive with respect thereto, does not participate in any competitive business either as a partner in a civil partnership or any other type of partnership, and is not a member of the authorities of any competitive company or any other competitive entity.
