| Zarząd Globe Trade Centre S.A. („Spółka”) niniejszym informuje, że w dniu 2 września 2022 r. otrzymał pisemne oświadczenie GTC Dutch Holdings B.V., spółki prawa holenderskiego z siedzibą w Amsterdamie, Holandia („Uprawniony Akcjonariusz”), zgodnie z którym Uprawniony Akcjonariusz powołał pana Mariusz Grendowicza na stanowisko członka rady nadzorczej Spółki ze skutkiem na dzień 2 września 2022 r. Niniejsze powołanie zostało dokonane na mocy art. 9 ustęp 1 a)-c) statutu Spółki. Zgodnie ze swoim oświadczeniem i załączonym do niego świadectwem depozytowym Uprawniony Akcjonariusz posiada 247.461.591 akcji w Spółce, stanowiących 43,10% kapitału zakładowego Spółki. Pan Grendowicz był niezależnym członkiem Rady Nadzorczej Spółki zgodnie z wymogami artykułu 9.5 Statutu Spółki pomiędzy rokiem 2000, a czerwcem 2022 r. Mariusz Grendowicz jest członkiem rad nadzorczych Getin Noble Bank SA od 2015 r., oraz MCI Capital ASI SA od 2017 r. Pan Grendowicz był członkiem rad nadzorczych ATM SA w latach 2017-2020, Aviva Poland 2012-2021, Arctic Paper SA 2012-2021, Private Equity Managers SA 2015-2021. W latach 2013-2014 był prezesem Polskich Inwestycji Rozwojowych SA. W latach 2008-2010, był Prezesem Zarządu BRE Bank SA, a wcześniej, w latach 2001 - 2006 był zastępcą prezesa Bank BPH SA, odpowiedzialnym za bankowość korporacyjną i finansowanie nieruchomości. Podczas jego kariery, był również prezesem i wiceprezesem ABN AMRO w Polsce (1997-2001), wiceprezesem ING Bank na Węgrzech (1995-1997) i stał na czele pionu finansowania strukturalnego i rynków kapitałowych w ING Bank w Warszawie (1992-1995). W 1983-1992 Mariusz Grendowicz pracował w bankach w Londynie, w tym w Australia and New Zealand Banking Group Ltd i Citibank. Pan Grendowicz studiował na Uniwersytecie Gdańskim oraz uzyskał dyplom z bankowości w Wielkiej Brytanii. Zgodnie ze złożonym oświadczeniem, Pan Mariusz Grendowicz nie jest wpisany do rejestru dłużników niewypłacalnych prowadzonego na podstawie ustawy o Krajowym Rejestrze Sądowym z dnia 20 sierpnia 1997 r. oraz nie wykonuje innej działalności poza przedsiębiorstwem Spółki, która jest w stosunku do niej konkurencyjna, nie uczestniczy w spółce konkurencyjnej jako wspólnik spółki cywilnej, spółki osobowej lub jako członek organu spółki kapitałowej lub innej konkurencyjnej osoby prawnej. Appointment of Supervisory Board member of Globe Trade Centre S.A. The Management Board of Globe Trade Centre S.A. (the “Company”) announces that on 2 September 2022 it received a written statement of GTC Dutch Holdings B.V. with its registered office in Amsterdam, the Netherlands (the “Entitled Shareholder”), according to which the Entitled Shareholder appoints Mr. Mariusz Grendowicz as member of the Supervisory Board of the Company, effective as of 2 September 2022. Appointment was made pursuant to article 9 point 1 a)-c) of the articles of association of the Company. Pursuant to its statement and the deposit certificate attached thereto, the Entitled Shareholder holds 247,461,591 shares in the Company, which constitute 43.10% of the Company’s share capital. Mr. Grendowicz was independent member of the Supervisory Board of Company pursuant to article 9.5 of the articles of association of the Company between year 2000 and June 2022. Mariusz Grendowicz is a member of the Supervisory Boards of Getin Noble Bank SA since 2015, and MCI Capital ASI SA since 2017. Previously Mr Grendowicz was a member of the Supervisory Boards of ATM SA in the years 2017-2020, Private Equity Managers SA 2015-2021, Aviva Poland 2012-2021, and Arctic Paper SA 2012-2021. In 2013-2014 he was President and Chief Executive Officer of Polish Investments for Development SA. In 2008-2010, he was President of the Management Board and Chief Executive Officer of BRE Bank SA, and earlier, in 2001- 2006 was a Deputy President of Bank BPH SA, responsible for Corporate Banking and Real Estate Division. During his career, he was also President and Deputy President of ABN AMRO in Poland (1997-2001), Deputy President of ING Bank in Hungary (1995-1997) and headed division of structured finance and capital markets in ING Bank in Warsaw (1992-1995). In 1983-1992 Mariusz Grendowicz worked in banks in London, including Australia and New Zealand Banking Group and Citibank. Mariusz Grendowicz studied at the University of Gdańsk and then graduated with a degree in banking in the United Kingdom. According to his statement, Mariusz Grendowicz is not entered in the register of insolvent debtors maintained in compliance with the Act on the National Court Register dated 20 August 1997, does not perform any activities outside of the Company’s business which could be considered competitive with respect thereto, does not participate in any competitive business either as a partner in a civil partnership or any other type of partnership, and is not a member of the authorities of any competitive company or any other competitive entity.
