| The Management Board of Work Service S.A. (the „Issuer” or the „Company”), in regard to current reports: (i) no. 10/2020 concerning completion of negotiations between lending banks and the Issuer („Banks”) on amending the conditions of financing of the Issuer; (ii) no. 12/2020 and no. 12/2020 K concerning conclusion of an investment agreement of 13 February 2020 (the „Investment Agreement”) with the company operating under the business name of Gi International S.R.L. with its registered office in Milan, Republic of Italy, owned by Gi Group S.P.A. (the „Investor”), specifying terms and conditions and the principles of providing the Company with financing by the Investor for the purpose of carrying out restructuring of the existing debt of the Company towards Banks and financing of the current activity of the Company’s capital group; (iii) no. 27/2020 concerning conclusion by the Issuer of a preliminary arrangement with Banks including arrangements related to the conditions of restructuring of the Issuer’s debt; (iv) no. 42/2020 concerning conclusion of the cooperation agreement in the scope of debt restructuring between the Company and the Issuer’s lending banks (the „Restructuring Agreement”); (v) no. 43/2020 concerning conclusion of the amendment no. 8 to the Credit Facility Agreement of 18 November 2015 (about the conclusion of which the Company informed in the current report no. 43/2015) (the „Credit Facility Agreement”) and other documents specified in the Restructuring Agreement; (vi) no. 46/2020 concerning conclusion by the issuer of an agreement prolonging the maturity of credits specified in the credit agreement and dates specified in the Restructuring Agreement; and (vii) nr 55/2020 concerning conclusion by the Issuer of an amendment to the Restructuring Agreement and the amendment no. 9 to the Credit Facility Agreement; hereby informs that today the amendment no. 2 to the Restructuring Agreement („RA Amendment”) and the amendment no. 10 to the Credit Facility Agreement („CFA Amendment”) have been concluded. The conclusion of the previous amendments to the Credit Facility Agreement was referred to, among other things, in the current reports no. 34/2017, no. 7/2018, no. 82/2018, no. 86/2018, no. 15/2020, no. 17/2020, no. 28/2020, no. 43/2020, no. 46/2020 and no. 55/2020. By virtue of, respectively, the CFA Amendments and the RA Amendment (i) the Final Repayment Date (within the meaning of the Credit Facility Agreement) of credits, and (ii) the cut-off date for the fulfilment of conditions precedent and entry into force of the Restructuring Agreement, have been extended until 31 August 2020. As a result of the analysis, the Issuer has deemed it reasonable to classify the aforementioned information confidential within the meaning of art. 17 par. 1 MAR, being subject to publication in form of this report. | ||||||||||||
