| Działając zgodnie z Art. 70 ust. 1 ustawy z dnia 29 lipca 2005 r. o ofercie publicznej i warunkach wprowadzania instrumentów finansowych do zorganizowanego systemu obrotu oraz o spółkach publicznych Zarząd ENEA S.A. informuje, że w dniu 3 listopada 2010 r. otrzymał zawiadomienie o następującej treści: "Działając na podstawie art. 69 ustawy z dnia 29 lipca 2005 r. o ofercie publicznej i warunkach wprowadzania instrumentów finansowych do zorganizowanego systemu obrotu oraz o spółkach publicznych (Dz. U. z 2009 r., Nr 185, poz. 1439 z późn. zmianami), Minister Skarbu Państwa Rzeczypospolitej Polskiej niniejszym zawiadamia, iż wystąpiły okoliczności wskazane w art. 69 ust. 2 pkt 2 ustawy o ofercie, tj. nastąpiło zmniejszenie dotychczas posiadanego przez Skarb Państwa udziału ponad 33% ogólnej liczby głosów w ENEA S.A. o 1% ogólnej liczby głosów. Data i rodzaj zdarzenia powodującego zmianę udziału, której dotyczy zawiadomienie. Zbycie 11.182.044 akcji (słownie: jedenaście milionów sto osiemdziesiąt dwa tysiące czterdzieści cztery), stanowiących 2,53 % (słownie: dwa i pięćdziesiąt trzy setne) udziału w kapitale zakładowym ENEA SA. nastąpiło w okresie od 14 do 22 października 2010 r. w wyniku zawarcia przez Skarb Państwa umów zbycia akcji ENEA S.A. z uprawnionymi pracownikami i ich spadkobiercami, zgodnie z postanowieniami ustawy z dnia 30 sierpnia 1996 r. o komercjalizacji i prywatyzacji oraz ustawy z dnia 7 września 2007 r. o zasadach nabywania od Skarbu Państwa akcji w procesie konsolidacji spółek sektora energetycznego. OGÓLNA LICZBA AKCJI (tj. dane uwzględniające akcje imienne i akcje na okaziciela posiadane przez Skarb Państwa w kapitale zakładowym ENEA S.A.) Liczba akcji posiadanych przed zmianą udziału i ich procentowy udział w kapitale zakładowym spółki oraz liczba głosów z tych akcji i ich procentowy udział w ogólnej liczbie głosów: (a) liczba akcji posiadanych przez Skarb Państwa w kapitale zakładowym ENEA S.A. przed zmianą objętą niniejszym zawiadomieniem wynosiła 266.774.895, (b) procentowy udział akcji, o których mowa w pkt (a) powyżej w kapitale zakładowym ENEA S.A. wynosił 60,43 %, (c) liczba głosów przysługujących z akcji wskazanych w pkt (a) wynosiła 266.774.895, (d) procentowy udział głosów, o których mowa w pkt (c) w ogólnej liczbie głosów wynosił 60,43 %. Liczba aktualnie posiadanych akcji i ich procentowy udział w kapitale zakładowym spółki oraz liczba głosów z tych akcji i ich procentowy udział w ogólnej liczbie głosów: (a) liczba akcji aktualnie posiadanych przez Skarb Państwa w kapitale zakładowym ENEA S.A. (tj. po zmianie objętej niniejszym zawiadomieniem) wynosi 255.592.851, (b) procentowy udział akcji, o których mowa w pkt (a) powyżej w kapitale zakładowym ENEA S.A. wynosi 57,90 %, (c) liczba głosów przysługujących z akcji wskazanych w pkt (a) wynosi 255.592.851, (d) procentowy udział głosów, o których mowa w pkt (c) w ogólnej liczbie głosów wynosi 57,90 %. AKCJE IMIENNE (tj. dane uwzględniające wyłącznie akcje imienne posiadane przez Skarb Państwa w kapitale zakładowym ENEA S.A.) Liczba akcji imiennych posiadanych przed zmianą udziału i ich procentowy udział w kapitale zakładowym spółki oraz liczba głosów z tych akcji i ich procentowy udział w ogólnej liczbie głosów: (a) liczba akcji imiennych posiadanych przez Skarb Państwa w kapitale zakładowym ENEA S.A. przed zmianą objętą niniejszym zawiadomieniem wynosiła 41.638.955, (b) procentowy udział akcji, o których mowa w pkt (a) powyżej w kapitale zakładowym ENEA S.A. wynosił 9,43 %, (c) liczba głosów przysługujących z akcji wskazanych w pkt (a) wynosiła 41.638.955, (d) procentowy udział głosów, o których mowa w pkt (c) w ogólnej liczbie głosów wynosił 9,43 %. Liczba aktualnie posiadanych akcji imiennych i ich procentowy udział w kapitale zakładowym spółki oraz liczba głosów z tych akcji i ich procentowy udział w ogólnej liczbie głosów: (a) liczba akcji imiennych aktualnie posiadanych przez Skarb Państwa w kapitale zakładowym ENEA S.A. (tj. po zmianie objętej niniejszym zawiadomieniem) wynosi 30.456.911, (b) procentów udział akcji, o których mowa w pkt (a) powyżej w kapitale zakładowym ENEA S.A. wynosi 6,90 %, (c) liczba głosów przysługujących z akcji wskazanych w pkt (a) wynosi 30.456.911, (d) procentowy udział głosów, o których mowa w pkt (c) w ogólnej liczbie głosów wynosi 6,90 %. AKCJE NA OKAZICIELA (tj. dane uwzględniające wyłącznie akcje na okaziciela posiadane przez Skarb Państwa w kapitale zakładowym ENEA S.A.) Liczba akcji na okaziciela posiadanych przez Skarb Państwa przed zmianą udziału, ich procentowy udział w kapitale zakładowym spółki oraz liczba głosów z tych akcji i ich procentowy udział w ogólnej liczbie głosów nie zmieniła się, w związku z czym w konsekwencji: (a) liczba akcji posiadanych przez Skarb Państwa w kapitale zakładowym ENEA S.A. przed zmianą i po zmianie objętej niniejszym zawiadomieniem wynosi 255.135.940, (b) procentów udział akcji, o których mowa w pkt (a) powyżej w kapitale zakładowym ENEA S.A. wynosi 51 %, (c) liczba głosów przysługujących z akcji wskazanych w pkt (a) wynosi 255.135.940, (d) procentowy udział głosów, o których mowa w pkt (c) w ogólnej liczbie głosów wynosi 51 %." | ||||||||||||

Subject: Notification with respect to a change to the State Treasury's share in the total number of votes in ENEA S.A. Legal basis: Article 70 par. 1 of the Act on Public Offerings – acquisition or disposal of substantial blocks of shares Content of report: Acting in accordance with Article 70 par. 1 of the Act on Public Offerings and the Conditions for Introducing Financial Instruments to the Organised Trading System and on Public Companies of 29 July 2005, the Management Board of ENEA S.A. announces that on 3 November 2010 it received the following information: "Acting in pursuance of Article 69 of the Act on Public Offerings and the Conditions for Introducing Financial Instruments to the Organised Trading System and on Public Companies of 29 July 2005 (Journal of Laws of 2009, No. 184 Item 1439, as amended), the Minister of State Treasury of the Republic of Poland hereby announces that the circumstances indicated in Article 69 par. 2 pt. 2 of the above Act have occurred, i.e. the State Treasury’s hitherto 33 percent of the total number of votes in ENEA S.A. has been reduced by 1 percent of the total number of votes. The date and type of event that has caused the change is the subject of the notification. The disposal of 11,182,044 (eleven million one hundred and eighty two thousand and forty four) shares, constituting 2.53 (two point five three) percent of the share capital of ENEA SA., occurred during the period 14 to 22 October 2010 as a result of the conclusion by the State Treasury of agreements on the sale of shares in ENEA S.A with eligible employees and their heirs and successors under the terms of the Commercialisation and Privatisation Act of 30 August 1996 and the Act of 7 September 2007 on the Acquisition of Shares from the State Treasury during the Consolidation of Energy Companies. TOTAL NUMBER OF SHARES (i.e. taking into account registered shares and bearer shares held by the State Treasury in the share capital of ENEA S.A.) The number of shares held prior to the change in the shareholding and their percentage of the Company’s share capital, as well as the number of votes provided by these shares and the percentage of these votes in the total number of votes: (a) the number of votes held by the State Treasury in the share capital of ENEA S.A prior to the change that is the subject of this notification was 266,774,895; (b) the percentage of the shares referred to under pt. (a) above in the share capital of ENEA S.A. was 60.43 percent; (c) the number of votes under the shares referred to under pt. (a) above was 266,774,895; (d) the percentage of the votes referred to under pt. (c) above in the total number of votes S.A. was 60.43 percent. The number of shares currently held and their percentage of the Company’s share capital, as well as the number of votes provided by these shares and the percentage of these votes in the total number of votes: (a) the number of votes currently held by the State Treasury in the share capital of ENEA S. (i.e. after the change that is the subject of this notification) is 255,592,851; (b) the percentage of the shares referred to under pt. (a) above in the share capital of ENEA S.A. is 57.90 percent; (c) the number of votes under the shares referred to under pt. The number of registered shares held prior to the change in the shareholding and their percentage of the Company’s share capital, as well as the number of votes provided by these shares and the percentage of these votes in the total number of votes: (a) the number of registered shares held by the State Treasury in the share capital of ENEA S.A prior to the change that is the subject of this notification was 41,638,955; (b) the percentage of the shares referred to under pt. (a) above in the share capital of ENEA S.A. was 9.43 percent; (c) the number of votes under the shares referred to under pt. (a) above was 41,638,955; (d) the percentage of the votes referred to under pt. (c) above in the total number of votes was 9.43 percent. The number of registered shares currently held and their percentage of the Company’s share capital, as well as the number of votes provided by these shares and the percentage of these votes in the total number of votes: (a) the number of registered shares currently held by the State Treasury in the share capital of ENEA S. (i.e. after the change that is the subject of this notification) is 30,456,911; (b) the percentage of the shares referred to under pt. (a) above in the share capital of ENEA S.A. is 6.90 percent; (c) the number of votes under the shares referred to under pt. (a) above is 30,456,911; (d) the percentage of the votes referred to under pt. (c) above in the total number of votes is 6.90 percent. BEARER SHARES (i.e. taking into account solely the bearer shares held by the State Treasury in the share capital of ENEA S.A.) The number of bearer shares held by the State Treasury prior to the change in the shareholding and their percentage of the Company’s share capital, as well as the number of votes provided by these shares and the percentage of these votes in the total number of votes, has not changed, hence: (a) the number of votes held by the State Treasury in the share capital of ENEA S.A prior to and after the change that is the subject of this notification is 255,135,940; (b) the percentage of the shares referred to under pt. (a) above in the share capital of ENEA S.A. is 51 percent; (c) the number of votes under the shares referred to under pt. (a) above is 255,135,940; (d) the percentage of the votes referred to under pt. (c) above in the total number of votes is 51 percent. | |||
