| Zarząd Spółki Comperia.pl S.A. z siedzibą w Warszawie („Spółka”), informuje, że po uzyskaniu pozytywnej rekomendacji ze strony Rady Nadzorczej, Zarząd postanowił o rozpoczęciu przeglądu opcji strategicznych dla działalności serwisu internetowego Telepolis.pl („Telepolis”). Przedmiotem planowanego przeglądu będzie analiza możliwości zadysponowania składnikami majątkowymi służącymi działalności Telepolis, w szczególności poprzez ich zbycie w całości lub utworzenie wspólnego przedsięwzięcia z wybranym partnerem. Realizacja ww. procesu wpisuje się w strategię Spółki przewidującą m.in. dalszy rozwój działalności w segmencie ecommerce (w tym poprzez planowane uruchomienie działalności nowej spółki zależnej, jako Krajowej Instytucji Płatniczej), tym samym ewentualne środki pozyskane przez Spółkę w ramach ww. procesu Zarząd planuje przeznaczyć na inwestycje w tym segmencie. Dotychczas nie zostały podjęte żadne decyzje związane z wyborem konkretnej opcji strategicznej i nie ma pewności, czy i kiedy taka decyzja zostanie podjęta w przyszłości, a sam przegląd opcji może być procesem długotrwałym. | ||||||||||||

Subject: Taking decision to initiate a review of strategic options for the operations of the Telepolis.pl website Legal basis: Article 17 (1) MAR - confidential information Content of the report: The Management Board of Comperia.pl S.A., with its seat in Warsaw (the "Company"), acting on the basis of Article 17(1) of the Regulation (EU) No. 596/2014 of the European Parliament and of the Council on market abuse and repealing Directive 2003/6/EC of the European Parliament and of the Council and Commission Directives 2003/124/EC, 2003/125/EC and 2004/72/EC (OJ EU. L. of 2014 No. 173, p. 1, as amended. ) ["MAR"], announces that, having received a positive recommendation from the Supervisory Board, it has decided to initiate a review of strategic options for the operation of the Telepolis.pl ("Telepolis") website. The subject of the planned review will be the analysis of the possibility of disposing of the assets serving the Telepolis activity, in particular through their disposal in full or the creation of a joint venture with a selected partner. The implementation of the aforementioned process is part of the Company's strategy envisaging, among other things, further development of operations in the ecommerce segment (including through the planned launch of operations of a new subsidiary, as a National Payment Institution), thus any funds raised by the Company as part of the aforementioned process the Management Board plans to allocate to investments in this segment. So far, no decisions have been made related to the selection of a specific strategic option, and it is uncertain if and when such a decision will be made in the future, and the review of options itself may be a lengthy process. As a result of the analysis of the event indicated above, the Company has assessed that it is justified to qualify the information on this event as confidential information within the meaning of Article 17 (1) of MAR, subject to publication in the form of this report.
