| Zarząd CD PROJEKT S.A. z siedzibą w Warszawie, ul. Jagiellońska 74 (dalej „Spółka”) przekazuje do publicznej wiadomości informację poufną dotyczącą ustalenia terminu premiery gry Cyberpunk 2077, której przekazanie zostało opóźnione zgodnie z art. 17 ust. 4 Rozporządzenia Parlamentu Europejskiego i Rady (UE) nr 596/2014 z dnia 16 kwietnia 2014 r. w sprawie nadużyć na rynku (rozporządzenie w sprawie nadużyć na rynku) oraz uchylające dyrektywę 2003/6/WE Parlamentu Europejskiego i Rady i dyrektywy Komisji 2003/124/WE, 2003/125/WE i 2004/72/WE (dalej „Rozporządzenie MAR”). W dniu 4 czerwca 2019 roku, Zarząd Spółki w oparciu o aktualny harmonogram prac oraz realizację kluczowych milestonów produkcyjnych podjął decyzję o ustaleniu daty ogólnoświatowej premiery gry na dzień 16 kwietnia 2020 roku. Gra ukaże się równocześnie na komputerach PC oraz konsolach PlayStation 4 i Xbox One. W ocenie Zarządu Spółki niezwłoczne przekazanie do publicznej wiadomości informacji o ustalonej dacie premiery mogłoby naruszyć prawnie uzasadnione interesy Spółki, w tym wpłynęłoby negatywnie na szczegółowo zaplanowaną i konsekwentnie realizowaną kampanie marketingową, związaną z promocją i planowaną premierą najnowszej i największej dotychczas produkcji studia CD PROJEKT RED. Stosownie do treści art. 17 ust. 4 akapit trzeci Rozporządzenia MAR, Spółka przekazała Komisji Nadzoru Finansowego informację o opóźnieniu ujawnienia powyżej wskazanej informacji poufnej, uzasadniając jednocześnie istnienie przesłanek opóźnienia ujawnienia informacji poufnej wskazanych w art. 17 ust. 4 pkt a) – c) Rozporządzenia MAR. | ||||||||||||

Current report No. 14/2019 Subject: Disclosure of inside information concerning the release date of Cyberpunk 2077 Legal basis: Art. 17 of the Market Abuse Regulation (MAR) – inside information The Management Board of CD PROJEKT S.A., headquartered in Warsaw (hereinafter referred to as “the Company”) hereby publicly discloses inside information concerning the release date of Cyberpunk 2077, which had previously been subject to delayed disclosure under Art. 17 section 4 of the Regulation (EU) No 596/2014 of the European Parliament and of the Council of 16 April 2014 on market abuse (market abuse regulation) and repealing Directive 2003/6/EC of the European Parliament and of the Council and Commission Directives 2003/124/EC, 2003/125/EC and 2004/72/EC (hereinafter referred to as “MAR”). On 4 June 2019 the Company Board, basing on the existing workplan and the state of implementation of key development milestones, undertook the decision to set the global release date of the game for 16 April 2020. The game will be released concurrently for the PC, PlayStation 4 and Xbox One. In the Board’s opinion immediate disclosure of information concerning the abovementioned release date would have prejudiced the Company’s legitimate interests, among others by hampering the carefully scheduled and consistently implemented marketing campaign which accompanies the anticipated release of CD PROJEKT RED’s newest and largest project to date. Pursuant to Art. 17 section 4 paragraph 3 of MAR, the Company filed a notice of delayed disclosure of the abovementioned inside information with the Financial Supervision Authority. In doing so, the Company justified its view that the reasons to seek delayed disclosure of inside information specified in Art. 17 section 4 items a) – c) of MAR apply in the presented case.
