Zarząd CARLSON INVESTMENTS S.A z siedzibą w Warszawie (Spółka, Emitent) informuje, że Carlson ASI Evig Alfa Sp. z o.o. s.k.. w dniu 26 lipca 2021 roku zawarła umowę objęcia akcji spółki Seemore S.A. z siedzibą we Wrocławiu.
Akcje spółki Seemore S.A. zostały objęte w drodze emisji prywatnej bez prawa poboru oraz zostaną opłacone w gotówce. Wysokość inwestycji wraz z wkładem NCBiR wynosi 1 mln PLN.
Emitent uważa spółkę Seemore S.A., za podmiot o wysokim potencjale rozwoju na rynku polskim oraz międzynarodowym. CARLSON INVESTMENTS S.A. zwrócił szczególną uwagę na innowacyjność startupu oraz możliwość osiągnięcia przez Carlson ASI Evig Alfa ponadprzeciętnej stopy zwrotu z inwestycji.
Seemore S.A. to innowacyjny startup, który jest autorem technologicznego rozwiązania dbającego o bezpieczeństwo motocyklistów. Seemore Aware to projekt, który powstał w wyniku obserwacji rozwoju branży automotive oraz chęci przeniesienia pewnych rozwiązań w świat motocykli. Idea połączenia czujników obserwujących otoczenie pojazdu wraz z możliwościami w zakresie rozszerzonej rzeczywistości - AR (Augumented Reality) do tej pory nie była stosowana w świecie motocykli. Projekt ma na celu opracowanie rozwiązania poprawiającego bezpieczeństwo motocyklistów poprzez stworzenie mapy przestrzennej otoczenia drogowego, rozpoznanie obiektów na drodze oraz pełną integrację z wyświetlaczem (head-up display) kasku tworząc w ten sposób rozwiązanie oparte na pełnej rzeczywistości rozszerzonej - AR (Augmented Reality). Dzięki tym narzędziom Seemore Aware chce poprawić bezpieczeństwo motocyklistów i zmniejszyć liczbę wypadków śmiertelnych z ich udziałem nawet o 50%. Więcej na: www.seemore.pl
CARLSON INVESTMENTS S.A. w ramach umowy zawartej z Carlson Ventures International Limited (CVI), będącego jedynym inwestorem Carlson ASI Evig Alfa, uprawniona jest do otrzymania do 30% zysku z inwestycji, zrealizowanej przez CVI za pośrednictwem Carlson ASI Evig Alfa.

(Carlson ASI Evig Alfa) The Management Board of CARLSON INVESTMENTS S.A. with its registered office in Warsaw (the Company, the Issuer) informs that Carlson ASI Evig Alfa Sp. z o.o. s.k. on 26 July 2021 concluded an agreement on acquisition of shares of the company Seemore S.A. with its registered seat in Wrocław. The shares of Seemore S.A. were acquired by way of a private placement without pre-emptive rights and will be paid for in cash. The amount of the investment together with the NCBiR contribution amounts to PLN 1 million. The Issuer considers Seemore S.A. as an entity with high development potential on the global market. CARLSON INVESTMENTS S.A. has paid particular attention to the start-up's innovativeness and the possibility of achieving by Carlson ASI Evig Alfa significant rate of return on investment. Seemore S.A. is an innovative startup that is the author of a technological solution taking care of the safety of motorcyclists. Seemore Aware is a project that emerged as a result of observing the development of the automotive industry and the desire to transfer certain solutions to the world of motorbikes. The idea of combining the sensors observing the environment of a vehicle with the possibilities of augmented reality (AR) has not been used in the world of motorbikes so far. The project aims to develop a solution to improve the safety of motorcyclists by creating a spatial map of the road environment, recognising objects on the road and fully integrating with the head-up display of the helmet thus creating a solution based on full augmented reality - AR (Augmented Reality). With these tools, Seemore Aware wants to improve the safety of motorcyclists and reduce fatal accidents involving them by up to 50%. Read more at: www.seemore.pl. CARLSON INVESTMENTS S.A., under an agreement concluded with Carlson Ventures International Limited (CVI), which is the sole investor in Carlson ASI Evig Alfa, is entitled to receive up to 30% of the profit from the investment made by CVI via Carlson ASI Evig Alfa.
