| Zarząd AmRest Holdings N.V. informuje o podpisaniu Umowy Rozwoju z Burger King Europe GmbH. Data zawarcia umowy: 11.06.2008 Strony umowy: American Restaurants EOOD. (“Developer", “AmRest Bulgaria"), z siedzibą w Sofii, BułgariaBurger King Europe GmbH (BKE, “Franchisor") z siedzibą w Zug, Szwajcaria. AmRest Holdings N.V. (“Gwarant", “AmRest"), z siedzibą w Amsterdamie, Holandia American Restaurants Sp. z o.o. (“Gwarant", “AmRest Poland"), z siuedzibą Wroclaw, Poland. Przedmiot umowy: Developer uzyskuje prawo, bez wyłączności, do otwierania i prowadzenia na zasadzie franczyzy restauracji Burger King na terytorium Bułgarii ("Obszar Rozwoju"). Gwarancja: Gwaranci udzielają BKE gwarancji w zakresie wypełnienia przez Developera wszystkich zobowiązań wynikających z Umowy Rozwoju. Okres umowy: Umowa Rozwoju zawarta została na okres 5 lat od momentu podpisania tej umowy. Istotne warunki umowy: Umowa Rozwoju zakłada między innymi, że: a) Developer przeznaczy procent kwoty miesięcznych sprzedaży wszystkich restauracji Burger King, prowadzonych przez Developera jako opłatę licencyjną, opłatę reklamy i promocji sprzedaży, którego wysokość jest określona w Umowie Franszyzy. b) Opłata początkowa, płacona przez Developera za podpisanie umowy franszyzy dla każdej restauracji Burger King jest określona w Umowie Franszyzy. c) Developer będzie otwierał i prowadził restauracje Burger King według ściśle określonego planu rozwoju, który przewiduje minimalną liczbę otwarć w każdym roku rozwoju, zgodnie z tym jak zostało to zdefiniowane w Umowie Rozwoju. d) Developer zobowiązuje się pozostawać w zgodzie z procedurami rozwoju oraz wymogami zawartymi w Umowie Rozwoju. Procedury te dotyczą między innymi akceptacji franczyzy oraz akceptacji lokalizacji. e) Developer oraz Gwarant powinni utrzymywać w ścisłej tajemnicy instrukcje operacyjne, informacje marketingowe oraz wszelkie informacje i know-how dotyczący funkcjonowania restauracji Burger King, ujawnione Developerowi przez BKE. f) Developer jest odpowiedzialny za wszelkie straty, zniszczenia i/lub roszczenia kontraktowe stron trzecich, jakie wynikają lub są związane ze zobowiązaniami, przedsięwzięciami, przyrzeczeniami i gwarancjami Developera wynikającymi z umowy, oraz za wszystkie roszczenia lub żądania dotyczące szkód majątkowych i osobistych (uszkodzeń ciała, chorób lub śmierci), wynikających pośrednio lub bezpośrednio z powyższego. | ||||||||||||

| The Management Board of AmRest Holdings N.V. (“AmRest") informs about the signing of the Development Agreement with Burger King Europe GmbH regarding Bulgaria. Date of agreement: 11.06.2008. Parties: Burger King Europe GmbH (“Franchisor", “BKE") headquartered in Zug, Switzerland. American Restaurants EOOD (“Developer", “AmRest Bulgaria"), headquartered in Sofia, Bulgaria AmRest Holdings N.V. (“Principal", “AmRest"), headquartered in Amsterdam, The Netherlands American Restaurants Sp. z o.o. (“Principal", “AmRest Poland"), headquartered in Wroclaw, Poland. Subject: The Developer is granted the non-exclusive right to develop and to be franchised to operate Burger King restaurants within territory of Bulgaria (“Development Area"). Guaranty: The Principals guarantee to BKE fulfillment of all obligations on the part of the Developer under the Development Agreement. Term: The Term of the Development Agreement shall be for a period of 5 years. Significant conditions Development Agreement provides, among other things, that: a) The Developer shall contribute a percentage of the calendar monthly Gross Sales of all Burger King restaurants operated by Developer as a royalty, advertising and sales promotion fees, which are defined in the Franchise Agreement. b) The initial franchise fee, payable by Developer for opening each Burger King restaurant, is defined in Franchise Agreement. c) The Developer agrees to open and operate Burger King restaurants in strict accordance with the development schedule which includes the minimal number of openings during the Term as defined in the Development Agreement. d) The Developer oblige to comply with the development procedures and requirements as set forth in the Development Agreement. The development procedures includes, among other things, the franchise approval and the site approval. e) The Developer and the Principals shall at all times maintain in strict confidence BKE's operational manuals, marketing information and methods, and all information and knowledge relating to the methods of operating and the functional know-how relating to Burger King restaurants revealed by BKE to the Developer. f) Developer is responsible for all losses, damages and/or contractual liabilities to third parties arising out of or relating to any of the obligations, undertakings, promises and representations of Developer under this agreement, and for all claims or demands for damages to property or for injury, illness or death of persons directly or indirectly resulting therefrom. | |||
