| Zarząd AmRest Holdings SE ("AmRest", "Emitent", "Spółka") informuje o otrzymaniu w dniu 8 maja 2014 roku od jednego z akcjonariuszy Spółki, Pana Henry McGovern, zawiadomienia o zamiarze zgłoszenia podczas Zwyczajnego Walnego Zgromadzenia w dniu 4 czerwca 2014 r., swojej kandydatury ("Kandydat") na stanowisko członka Rady Nadzorczej Spółki. Henry McGovern pełni obecnie funkcję przewodniczącego Rady Nadzorczej Emitenta. Poprzednio pełnił rolę CEO AmRest Holdings SE. Współzałożyciel Spółki, CEO od 1995 roku, początkowo American Retail Systems (ARS) następnie od roku 1999 AmRest. W latach 1993 – 1995, Henry McGovern był Członkiem Rady Nadzorczej ARS. W latach wcześniejszych Henry McGovern był CEO Metropolian Properties – firmy deweloperskiej specjalizującej się w nieruchomościach komercyjnych. Obecnie pełni funkcję Prezesa Zarządu w spółce IRI oraz Wiceprezesa Zarządu Metropolitan Properties. Henry McGovern studiował Biologię i Filozofię na Uniwersytecie w Georgetown, uczęszczał również do London School of Economics. Zgodnie z oświadczeniem otrzymanym od Kandydata, AmRest informuje, że jeśli chodzi o działalność prowadzoną poza przedsiębiorstwem Emitenta, w tym konkurencyjną w stosunku do działalności wykonywanej w ramach przedsiębiorstwa Emitenta, czy udział w spółce konkurencyjnej w stosunku do spółki Emitenta jako wspólnik spółki cywilnej, spółki osobowej lub jako członek organu spółki kapitałowej, Pan Henry McGovern wskazał, że wynajmuje spółkom zależnym od Emitenta kilka nieruchomości oraz nie prowadzi innej działalności konkurencyjnej. Kandydat oświadczył ponadto, że nie figuruje w Rejestrze Dłużników Niewypłacalnych oraz spełnia wszelkie pozostałe kryteria przewidziane przepisami prawa dla członków rad nadzorczych. | RB 34/2014 Information on Candidate to AmRest Supervisory Board;The Management Board of AmRest Holdings SE (“AmRest”, ”Issuer”) informs about receiving on May 8th, 2014 from one of the AmRest shareholders, Mr. Henry McGovern, the notice of intention to nominate himself (“the Candidate”) as candidate to the Supervisory Board of AmRest during Annual General Meeting on June 4th, 2014.;McGovern is a 48 years old citizen of the United States. He currently holds the role of Chairman of AmRest Holdings SE Supervisory Board. He is the co-founder of AmRest and its former CEO. Since 1995 McGovern has served as President, initially of American Retail System (ARS) and from 1999 of AmRest. In the years 1993 - 1995, he was a member of the Supervisory Board of ARS. In the previous years, McGovern was CEO of Metropolian Properties International (MPI)- real estate company specializing in commercial property. He currently serves as Vice President of MPI and the President of International Restaurant Investment (IRI).;McGovern studied Biology and Philosophy at Georgetown University and attended the London School of Economics. He is an active member of Young Presidents’ Organization.;In accordance with the statement received from the Candidate, with respect to other activity carried out outside the enterprise of AmRest Holdings SE, with an indication of whether it competes with that company, and information on whether he participates in a competitor as a partner in a civil law partnership or partnership or as a member of an authority of a capital company or participates in any other competitor that is a legal person as a member of an authority; AmRest informs that Mr. Henry McGovern declared that he leases to subsidiaries of AmRest Holdings SE a few properties and does not carry any competitive activity to AmRest Holdings SE. Mr. Henry McGovern is not listed in the Insolvent Debtor Register kept in accordance of the Law on National Court Register and meets all the legal criteria required for the supervisory board members.;Legal act: II 1.5.
