| Zarząd AmRest Holdings SE ("AmRest", "Emitent", "Spółka") informuje o otrzymaniu w dniu 7 czerwca 2011 roku od akcjonariusza Henry’ego McGovern, wniosku o ponowne powołanie dotychczasowego członka Rady Nadzorczej AmRest, Jana Sykora ("Kandydat") na stanowisko członka Rady Nadzorczej Spółki, podczas WZA w dniu 10 czerwca 2011 roku. Powyższa kandydatura jest popierana przez Radę Nadzorczą Spółki. Jan Sykora jest Prezesem Zarządu Wood & Company, jednego z wiodących banków inwestycyjnych w Europie Środkowo-Wschodniej. Przed pracą w Wood & Company, w 1994 roku Pan Sykora był konsultantem w Ameritech International. W latach 1991-1993 Pan Sykora pracował w Anglo-American Business Institute, Inc. Obecnie Kandydat pełni również funkcję Prezesa Komisji Handlu na praskiej Giełdzie Papierów Wartościowych, prezesa Autoguide Group, członka Young President’s Association. Pan Sykora ukończył studia na wydziale Zarządzania na Uniwersytecie Ekonomicznym w Pradze i studia MBA Rochester Institute of Technology. Zgodnie z oświadczeniem otrzymanym od Kandydata AmRest informuje, że inne działalności wykonywane przez pana Jana Sykora poza przedsiębiorstwem Emitenta nie są w jego ocenie konkurencyjne w stosunku do działalności wykonywanej w ramach przedsiębiorstwa Emitenta oraz, że nie uczestniczy w spółce konkurencyjnej w stosunku do spółki Emitenta jako wspólnik spółki cywilnej, spółki osobowej ani jako członek organu spółki kapitałowej, jest niezależny od Spółki i podmiotów pozostających w istotnym powiązaniu ze Spółka, nie figuruje również w Rejestrze Dłużników Niewypłacalnych. | RB 30/2011 Information on Candidate to AmRest Supervisory Board ;The Management Board of AmRest Holdings SE (“AmRest”,”Issuer”) informs about the motion received on June 7th 2011 from a shareholder Henry McGovern to re-elect current Member of the Supervisory Board of AmRest Jan Sykora (“the Candidate”) to AmRest Supervisory Board during Ordinary General Shareholders’ Meeting on June 10th 2011. The candidacy is supported by the Supervisory Board of AmRest.;Jan Sykora is Chairman of the Board of Directors of Wood & Company Financial Services, leading Central European fully integrated investment bank. Before joining Wood & Company, Jan Sykora was a business consultant with Ameritech International in 1994 when he advised in relation to the first phase of the bidding process for SPT Telecom. Between 1991 and 1993, Jan Sykora worked part-time as an assistant to the Director of the Anglo-American Business Institute, Inc. During the same period he also acted as a tourist service consultant and started his own business to advise travel companies. Jan Sykora serves as the Chairman of its Trading Committee of Prague Stock Exchange, , a Director of Autoguide Group, a Member of the Young President’s Association. The Candidate gained a bachelor of business administration degree from the Prague University of Economics, a master of business administration from the Rochester Institute of Technology (Prague Campus) and a master of economics degree from the Czech Ministry of Education.;In accordance with the statement received from the candidate, AmRest informs that Jan Sykora’ performances outside the Issuer’s business are not competitive towards the business of the Issuer and the Candidate does not participate in a competitive company as a partner in a registered partnership or other types of partnership, a member of the governing bodies in a corporate organization and does not participate in another competitive legal person as a member of its governing bodies.
