| Rada dyrektorów („Rada”) Allegro.eu („Spółka”) postanowiła przedłożyć najbliższemu walnemu zgromadzeniu Spółki (którego data nie została jeszcze ustalona) rekomendację dotyczącą powołania Pana Pedro Arnta na niezależnego dyrektora, na podstawie rekomendacji komitetu ds. wynagrodzeń i nominacji Spółki („Komitet”). Pan Arnt został wskazany przez Komitet jako odpowiedni kandydat do powołania przez walne zgromadzenie Spółki. Pan Arnt spełnia kryteria określone w Dobrych Praktykach Spółek Notowanych na GPW oraz protokole Komitetu i wyraża zgodę na powołanie go na niezależnego dyrektora Spółki. Pedro Arnt, obywatel Brazylii i Wielkiej Brytanii, od ponad 20 lat pracuje na różnych stanowiskach kierowniczych wyższego szczebla w branży technologii internetowych dla konsumentów, od 2011 roku pełniąc funkcję dyrektora finansowego MercadoLibre (MELI), jednej z największych i najbardziej szanowanych globalnych platform handlowych. Od momentu dołączenia w 1999 roku (rok założenia MELI) odgrywał kluczową rolę w rozwoju i międzynarodowej ekspansji firmy. Ma wieloletnie doświadczenie w kierowaniu zespołami od wczesnych etapów rozwoju korporacyjnego i marketingu, poprzez zarządzanie operacjami związanymi z obsługą klienta, kontynuując karierę jako Wiceprezes ds. Planowania Strategicznego, Treasury i Relacji Inwestorskich oraz biorąc aktywny udział w przekształceniu spółki z prywatnej w publiczną. Dziś MercadoLibre zatrudnia ponad 30 000 pracowników i jest najpopularniejszą witryną e-commerce w Ameryce Łacińskiej pod względem liczby odwiedzających, przyciągając ponad 300 milionów zarejestrowanych użytkowników. Przed dołączeniem do MercadoLibre Pedro pracował dla The Boston Consulting Group w biurach w Buenos Aires i São Paulo. Posiada tytuł licencjata, magna cum laude, uzyskany na Haverford College oraz tytuł magistra na Uniwersytecie Oksfordzkim. Rada uważa, że powołanie Pana Arnta na niezależnego dyrektora leży w najlepszym interesie Spółki, będąc krokiem w kierunku ogłoszonego celu, aby większość członków Rady była niezależna. Title: Recommendation of the Board of Directors regarding the candidate for a new independent Director
Legal basis: Article 17 sec. 1 of MAR - inside information
The board of directors (the “Board”) of the Allegro.eu (the “Company”) resolved to submit to the approval of the forthcoming general meeting of the shareholders of the Company (the date of which is yet to be scheduled) the appointment of Mr Pedro Arnt as an independent director upon recommendation of the remuneration and nomination committee of the Company (the "Remuneration and Nomination Committee"). Mr Arnt has been identified and nominated by the Remuneration and Nomination Committee as a suitable candidate for appointment by the general meeting of the Company. Mr Arnt will meet the criteria set forth in the WSE Code of Best Practice and the protocol of the Remuneration and Nomination Committee and has expressed his consent to be appointed as an independent director of the Company. A dual Brazilian and British national, Pedro Arnt has been working for over 20 years in various senior leadership capacities in the consumer internet industry, serving since 2011 as the Chief Financial Officer of MercadoLibre (MELI), one of the largest and most-respected global marketplaces. Since joining in 1999 (the year of MELI’s founding), he has been instrumental in the growth and international expansion of the business. Over his career, he has held roles in various capacities gaining multi-year experience leading a variety of teams, from early-stage corporate development and marketing, through managing the company’s customer experience operations, continuing as Vice President of Strategic Planning, Treasury & Investor Relations and actively participating in the transition from a private to a public company. Today Mercado Libre has over 30,000 employees and is Latin America’s most popular ecommerce site by number of visitors, having attracted over 300 million registered users. Prior to joining MercadoLibre, Pedro worked for The Boston Consulting Group in the Buenos Aires and São Paulo offices. He holds a bachelor’s degree, magna cum laude, from Haverford College and a master’s degree from the University of Oxford. The Board believes that the appointment of Mr Arnt as an independent director would be in the best interests of the Company, being a step towards the announced target of a majority of Board Members being independent.
