| Zarząd Aforti Holding S.A. z siedzibą w Warszawie (dalej: “Spółka”, "Emitent") informuje, iż jednostkowe sprawozdania finansowe Spółki oraz skonsolidowane sprawozdania finansowe Grupy Kapitałowej AFORTI za rok 2021 przebadane przez biegłego rewidenta (opublikowane raportem RB EBI 18/2022 oraz RB EBI 20/2022 wykazują różnice względem danych finansowych opublikowanych w raporcie za IV kwartał 2021 r. (opublikowane raportem RB EBI 2/2022). <br /> W związku z powyższym Zarząd udziela dodatkowego wyjaśnienia odnośnie powstałych różnic.<br /> Raport roczny jednostkowy oraz skonsolidowany za 2021 r. zostały opublikowane niezwłocznie po zakończonym audycie tj. w dniu 30 czerwca 2022 r. Publikacja raportu za IV kwartał 2021 miała miejsce 14 lutego 2022, w związku z czym Spółka nie miała możliwości uwzględnienia korekt audytorów w dniu publikacji raportu okresowego za IV kwartał 2021 r.<br /> Poniżej Emitent wskazuje główne różnice pomiędzy opublikowanym sprawozdaniem: 1.Jednostkowym: •korekta wyceny aktywów finansowych długoterminowych -38.037,5 tys. zł; •dyskonto należności długoterminowych -1.676 tys. zł; •dodatkowy odpis inwestycji krótkoterminowych -5.359 tys. zł; •reklasyfikacja zobowiązań z długoterminowych do krótkoterminowych o kwotę 5.615 tys. zł; które składają się na różnice stanowiące: niższy zysk netto za rok 2021 o 7.322 tys. zł oraz sumę bilansową niższą o 45.708,9 tys. zł, która wynosi po korektach 416.268 tys. zł. 2.skonsolidowanym: •korekta wynikająca ze zmiany sprawozdań jednostkowych spółki dominującej wskazana w pkt. 1; •koszty dotyczące roku 2021 -817,6 tys. zł (po dniu publikacji raportu za 4 kwartał 2021) •zmniejszenie rezerw + 442 tys. zł; •wyłączenia wyceny aktywów finansowych krótkoterminowych -39.682,4 tys. zł; •dodatkowy odpis wartości firmy -26.493,8 tys. zł; •reklasyfikacja należności z krótkoterminowych do długoterminowych o kwotę 10.072 tys. zł; •reklasyfikacja z inwestycji krótkoterminowych do należności krótkoterminowych o kwotę 30.056 tys. zł; •reklasyfikacja z inwestycji krótkoterminowych do udziałów własnych o kwotę 8.724 tys. zł; które składają się na różnice stanowiące: niższy wynik netto skonsolidowany za rok 2021 o 67.969 tys. zł oraz skonsolidowaną sumę bilansową niższą o 109.468 tys. zł, która wynosi po korektach 194.877 tys. zł Ponieważ powyższe dane różnią się od uprzednio podanych – podjęto decyzję o ich publikacji. § 5 ust. 1 pkt 1) Załącznika nr 3 do Regulaminu Alternatywnego Systemu Obrotu „Informacje bieżące i okresowe przekazywane w alternatywnym systemie obrotu na rynku NewConnect”. -------------------------------------------------------------------------------------------------------------------------------- DIFFERENCES IN FINANCIAL DATA PUBLISHED IN THE REPORT FOR THE IV QUARTER 2021 AND THE SEPARATE AND CONSOLIDATED ANNUAL REPORT FOR 2021 The Management Board of Aforti Holding S.A., with its registered office in Warsaw, hereby informs that the separate financial statements of the Company and the consolidated financial statements of the AFORTI Capital Group for 2021 audited by a statutory auditor (published in the report RB EBI 18/2022 and RB EBI 20/2022 show differences from the financial data published in the report for the IV quarter of 2021 ( published in the report RB EBI 2/2022). Therefore, the Management Board provides additional explanations regarding the differences. The individual and consolidated annual report for 2021 were published immediately after the audit, i.e. on June 30, 2022. The report for the fourth quarter of 2021 was published on February 14, 2022, therefore the Company was not able to take into account the auditors' corrections on the date of publication periodic report for the IV quarter of 2021. Below, the Issuer indicates the main differences between the published report: 1.Separate: • adjustment of the valuation of long-term financial assets -38,037.5 thousand PLN; • discount of long-term receivables -1.676 thousand PLN; • additional write-off of short-term investments -5,359 thousand PLN; • reclassification of long-term to short-term liabilities by the amount of PLN 5,615 thousand PLN; which make the differences: lower net profit for 2021 by 7,322 thousand PLN and the balance sheet total lower by 45,708.9 thousand PLN, which after adjustments amounts to 416,268,000 PLN. 2.Consolidated: •the adjustment resulting from the change in the separate statements of the parent company indicated in point 1; •costs relating to the year 2021 -817.6 thousand PLN (after the publication of the report for the IV quarter of 2021) •decrease in provisions + 442 thousand PLN; •exclusion of the valuation of short-term financial assets -39,682.4 thousand PLN; •additional write-off -26,493.8 thousand PLN; •reclassification of receivables from short-term to long-term by the amount of PLN 10,072 thousand PLN; •reclassification from short-term investments to short-term receivables by the amount of PLN 30,056 thousand PLN; •reclassification from short-term investments to own shares by the amount of PLN 8,724 thousand PLN; which make the differences representing: a lower consolidated net result for 2021 by PLN 67,969 thousand and a consolidated balance sheet total lower by PLN 109,468 thousand, which amounts to PLN 194,877 thousand after adjustments. Since the above figures differ from those previously reported - it was decided to publish the data.
