| Zarząd KRUK S.A. (Emitent) informuje, iż w dniu 16 kwietnia 2018 roku zawarł z udziałowcem Agecredit S.r.l. z siedzibą w Cesenie, Włochy (Agecredit) umowę nabycia 51% udziałów (Umowa) w Agecredit. Informację o przyjęciu oferty nabycia udziałów Emitent przekazał raportem bieżącym nr 11/2018 z dnia 28 marca 2018 roku. Przedmiotem Umowy jest nabycie 51%, udziałów w spółce Agecredit. Zapisy Umowy zakładają docelowe posiadanie 100% udziałów w Agecredit w ciągu najbliższych kilku miesięcy. Spółka Agecredit prowadzi działalność w zakresie obsługi wierzytelności na zlecenie na terenie Włoch. Skonsolidowane przychody Agecredit w 2017 roku wyniosły 3,1 mln EUR (wg kursu średniego NBP z dnia 16 kwietnia 2018 roku 13 mln zł). | ||||||||||||

Legal basis: Art. 17(1) of MAR – Inside information Text of the report: The Management Board of KRUK S.A. (the “Company”) announces that on April 16th 2018 the Company concluded an agreement with the shareholder of Agecredi S.r.l. of Cesena, Italy (“Agecredit”) for acquisition of 51% of the shares in Agecredit (the “Agreement”). Acceptance of the offer to acquire the Shares was announced in the Company’s Current Report No. 11/2018 of March 28th 2018. The subject matter of the Agreement is the acquisition of 51% of the shares in Agecredit. Provisions of the Agreement assume the target holding of 100% shares in the Agecredit in the next few months. Agecredit’s business involves credit management services in Italy. Agecredit’s 2017 consolidated revenue amounted to EUR 3.1m (PLN 13m at the PLN/EUR mid-rate quoted by the NBP for April 16th 2018). | |||
