| Bukareszt – Dziś podpisano; pod obecność P. Varujana Vosganiana, Ministra Gospodarki i Finansów, Grupa CEZ oraz rumuńskie spółki Termoelectrica i Electrocentrale Galati podpisały Memorandum o porozumieniu w sprawie projektu Galati. Podpisane memorandum definiuje wszystkie kroki potrzebne do stworzenia spółki joint venture (JV) między CEZ i SC Electrocentrale Galati SA, w której CEZ będzie większościowym akcjonariuszem. W zakres czynności JV wchodzi modernizacja istniejącej elektrowni oraz budowa nowego bloku. Wstępnie rozważana jest budowa elektrowni gazowej o mocy aż 400MW. Ostateczna postać projektu będzie jednak znana dopiero po opracowaniu studium realizacyjnego. W oparciu o studium zostanie określona skala inwestycji CEZ dla projektu. "Galati to jeden z projektów, który powinien poszerzyć naszą działalność biznesową w Rumunii także w zakresie produkcji energii elektrycznej a wzmocnić naszą pozycję na Rumuńskim rynku energetycznym, gzie jesteśmy obecni już od 3 lat. W całej Europie znacząco wzrasta popyt na energię elektryczną a jedynym sposobem na pokrycie tego zapotrzebowania, jest budowanie nowych mocy produkcyjnych. Należy więc docenić wsparcie Rumunii w zakresie budowy nowych elektrowni“, powiedział Martin Roman, Przesz Zarządu i Dyrektor Wykonawczy CEZ. Przedstawiciel strony rumuńskiej – P. Ioan Ungureanu powiedział: "Podpisując niniejszy dokument sygnatariusze biorących udział spółek wyrażają wolę realizacji projektu, którego wynikiem powinna być oferta ważnej korzyści dla rumuńskiego systemu energetycznego w postaci zastąpienia części mocy produkcyjnych liczących sobie ponad 25–30 lat przez technologie trzeciego tysiąclecia.“ Memorandum o porozumieniu zawiera okres jednego roku, w trakcie którego zostanie wykonane kilka kroków: • Zostanie opracowane studium realizacyjne oraz przez wszystkie strony zostanie przyjęte ostateczne rozwiązanie techniczne. • Zostanie dokonane oszacowane kapitału, który do Joint Venture powinna wnieść Termoelectrica. Wyniki w/w kroków będą przesłanką zdefiniowania dokładnego udziału obu spółek w spółce JV, w której CEZ będzie posiadać większość. Moc instalowana istniejącej elektrowni na terenie SC Electrocentrale Galati SA wynosi 535 MW (3x105 MW, 2x60 MW a 1x100 MW). Rumuńska SC Electrocentrale Galati SA jest w 100% własnością firmy Termoelectrica. Memorandum zostało podpisane przez P. Martina Romana – Prezesa Zarządu i Dyrektora Wykonawczego CEZ i P. Vladimira Schmalza – Dyrektora ds. Fuzji i Akwizycji. Po stronie firmy Termoelectrica dokument podpisali P. Ioan Ungureanu – Dyrektor Generalny i Pani Tudora Lupa – Dyrektorka ds. Finansów. Electrocentrale Galati reprezentowali P. Tudor Petre – Dyrektor Generalny i Pani Tatiana Pasu – Dyrektorka ds. Finansów. Termoelectrica S. A. została stworzona na podstawie Decyzji Rządu nr 627/2000 dotyczącej Państwowej spółki energetycznej CONEL a jest spółką produkującą elektryczność w Rumunii, która razem ze swoimi filiami pokrywa ok. 17 % trhu. Aktualnie chodzi o bardzo ważnego producenta ciepła w Rumunii, który gwarantuje ogrzewanie ponad 5 miast, oprócz Bukaresztu, a posiada również własną sieć przesyłową. Termoelectrica w chwili obecnej posiada 3 filie produkujące elektryczność (SC Electrocentrale Bucuresti SA; SC Electrocentrale Deva SA; SC Electrocentrale Galati), 12 filii naprawczo-konserwacyjnych i usługowych, oraz 4 zakłady energetyczne: Braila, Doicesti, Borzesti a Paroseni. Electrocentrale Galati SA została stworzona w 2003r. na podstawie Decyzji Rządu nr 1580/2003, przez reorganizację działalności SC Termoelectrica SA a znajduje się w Galati na bazie przemysłowej Kombinatu Hutniczo-Stalowego Galati (aktualnie "ISPAT SIDEX“). S. C. Electrocentrale Galati SA jest prywatnym właścicielem CET Galati, która obejmuje instalacje energetyczne o całkowitej mocy instalowanej 535 MW, z których 160 MW jest zakonserwowane (turbiny TA1, TA2). | ||||||||||||

| CEZ Group and Electrocentrale Galati signed the Memorandum of Understanding Bucharest – Today, in the presence of Mr. Varujan Vosganian, Ministry of Economy and Finances, CEZ Group and the Romanian companies Termoelectrica and Electrocentrale Galati have signed the Memorandum of Understanding for Galati project. The signed Memorandum defines all the necessary steps to establish the joint venture (JV) company between CEZ and SC Electrocentrale Galati SA, in which CEZ will be the majority shareholder. The JV has the scope of modernization of the existing power plant and construction of a new unit. Preliminary, it is presumed that an up to 400MW gas power plant will be constructed. However, the final version of the project shall be known only after the feasibility study is developed. The amount of the CEZ’s investment in the project shall arise from it. “Galati is one of the projects that should enlarge our business activities in Romania also into the field of electricity generation and thus strengthen our position on the Romanian energy market where we have been present for more than 3 years now. In whole Europe the electricity demand grows significantly and the only way how to cover this growth is to build new generation capacity. It is then necessary to appreciate the Romanian support of the construction of new power plants”, said Martin Roman, Chairman of the Board and CEO of CEZ. The representative of the Romanian party- Mr. Ioan Ungureanu added: “By this document, the signatory parties confirm the disposal of the engaged companies to implement this project, which’s result is provisioned to offer a significant advantage to the Romanian Energetic System, by replacing one part of the capacities over 25-30 years old with the technology of the 2000s.” The Memorandum of Understanding presumes one year period, when several stages should be completed. A Feasibility Study will be performed and the final technical solution will be adopted by all parties. A Valuation of the assets to be brought in the Joint Venture by Termoelectrica will be performed. The results of the above mentioned steps will define the exact participation of both companies in the JV Company, in which CEZ will hold the majority. The installed capacity of the existing power plant in the area of SC Electrocentrale Galati SA reaches 535 MW (3x105 MW, 2x60 MW and 1x100 MW). The Romanian SC Electrocentrale Galati SA is 100% owned by Termoelectrica. The Memorandum was signed. by Mr. Martin Roman - Chairman of Board of Directors and CEO of CEZ and Mr. Vladimir Schmalz - Director of Merges & Acquisition. From Termoelectrica the document was signed by Mr. Ioan Ungureanu – General Manager and Mrs. Tudora Lupa – CFO. Electrocentrale Galati was represented by Mr. Tudor Petre – General Manager and Mrs. Tatiana Pasu – CFO. Termoelectrica S.A. was established based on the Government Decision no. 627/2000 concerning the reorganization of the National Electricity Company CONEL and is a power producing company in Romania, covering with its subsidiaries approximately 17% of the market. Presently, it is a very important heat producer in Romania, providing the heating for more than 5 cities, except for Bucharest, and owns the transportation network also. Termoelectrica consists presently in 3 energy producing subsidiaries (SC Electrocentrale Bucuresti SA; SC Electrocentrale Deva SA; SC Electrocentrale Galati), 12 maintenance and service subsidiaries, as well as 4 energy generating subsidiaries: Braila, Doicesti, Borzesti and Paroseni. Electrocentrale Galati SA was established in 2003 by Government Decision no. 1580/2003, by the activity reorganization of SC Termoelectrica SA and is located in Galati on the industrial platform of the Combined Group of Iron and Steel Works in Galati (presently “ISPAT SIDEX”). S.C. Electrocentrale Galati SA owns in private property CET Galati which includes energetic equipment of a total installed capacity of 535 MW out of which 160 MW are in conservation (turbines TA1, TA2). | |||
