| Zarząd CARLSON INVESTMENTS S.A. z siedzibą w Warszawie (dalej jako Spółka, Emitent) informuje iż w dniu 27 sierpnia 2021 r. akcjonariusz Spółki Carlson Ventures International Limited, w związku ze zwołanym na dzień 1 września 2021 roku Nadzwyczajnym Walnym Zgromadzeniem Emitenta, w którego porządku obrad przewidziano podjęcie uchwały w spawie zmian składu Rady Nadzorczej, zgłosił następujących kandydatów na członków Rady Nadzorczej:<br /> •Serge Telle<br /> •Violetta Vrublewskaya <br /> •Isabelle Peeters<br /> •Silvia Andriotto<br /> •Penelope Hope<br /> Wraz z kandydaturami Spółka otrzymała życiorysy zawodowe kandydatów i zgody na kandydowanie również z informacją, że spełniają kryteria wymagane przez przepisy prawa oraz Dobre Praktyki Spółek Notowanych na New Connect. Zgodnie ze złożonymi oświadczeniami wszyscy w/w kandydaci : •nie wykonują działalności konkurencyjnej wobec Spółki, nie uczestniczą w spółce konkurencyjnej do Spółki jako wspólnik spółki cywilnej, spółki osobowej lub jako członek organu spółki kapitałowej ani nie uczestniczą w innej konkurencyjnej osobie prawnej jako członek jej organu, •nie figurują w Rejestrze Dłużników Niewypłacalnych prowadzonym na podstawie ustawy z dnia 20 sierpnia 1997 roku w Krajowym Rejestrze Sądowym, •nie wstępują jakiekolwiek przeszkody prawne uniemożliwiające im pełnienie funkcji Członka Rady Nadzorczej, a szczególności nie występują przeszkody, o których mowa w art. 18 § 1 i §2 KSH. Zgodnie ze złożonymi oświadczeniami kandydaci: Pan Serge Telle, Pani Violetta Vrublewskaya, Pani Isabelle Peeters, Pani Silvia Andriotto oraz Pani Penelope Hope nie są powiązani z akcjonariuszem (akcjonariuszami) posiadającym (posiadającymi) nie mniej niż 5% ogólnej liczby głosów na walnym zgromadzeniu - zgodnie z pkt 3.5 Dobrych Praktyk Spółek Notowanych na New Connect. Życiorysy zawodowe kandydatów oraz wniosek akcjonariusza stanowią załącznik do niniejszego raportu. Podstawa prawna: § 4 ust. 2 pkt 3 Załącznika nr 3 do Regulaminu Alternatywnego Systemu Obrotu ,,Informacje bieżące i okresowe przekazywane w alternatywnym systemie obrotu na rynku NewConnect" ---------------------------------------------------------------------------------------------------------------------------------------- The Management Board of CARLSON INVESTMENTS S.A., with its registered office in Warsaw (hereinafter the Company, the Issuer), informs that on 27 August 2021 a shareholder of the Company, Carlson Ventures International Limited, in connection with the Extraordinary General Meeting of the Issuer convened for 1 September 2021, the agenda of which provides for adoption of a resolution regarding changes in the composition of the Supervisory Board, proposed the following candidates for members of the Supervisory Board: •Serge Telle •Violetta Vrublewskaya •Isabelle Peeters •Silvia Andriotto •Penelope Hope Along with the candidatures, the Company received the candidates' professional CVs and consents to stand as candidates, also with information that they meet the criteria required by law and the Good Practice of Companies Listed on New Connect. In accordance with the submitted declarations, all the above candidates : •do not conduct activities competitive to the Company, do not participate in a company competitive to the Company as a partner in a civil law partnership, a private company or as a member of a body of a capital company, and do not participate in any other competitive legal person as a member of its body, •they are not listed in the Register of Insolvent Debtors kept pursuant to the Act of 20 August 1997 on the National Court Register, •there are no legal obstacles preventing them from becoming members of the Supervisory Board, and in particular, there are no obstacles referred to in Article 18 § 1 and § 2 of the CCC. According to the submitted declarations, the candidates: Mr Serge Telle, Ms Violetta Vrublewskaya, Ms Isabelle Peeters, Ms Silvia Andriotto and Ms Penelope Hope are not related to a shareholder(s) holding not less than 5% of the total number of votes at the General Meeting - in accordance with point 3.5 of the Good Practices of Companies Listed on New Connect. The professional CVs of the candidates and the shareholder's motion are enclosed to this report.
