| Subject: New date of the introduction of the new shares to trading on the WSE Pursuant to § 24 of the Warsaw Stock Exchange (“WSE") Rules, UniCredit S.p.A. (the “Company") announces its intention to postpone the date of the introduction of 2,181,610 new ordinary shares issued by the Company after February 6, 2012 and granted to officers of the Company and other banks and companies of the UniCredit Group (the “New Shares") until the end of May 2013. The New Shares comprise of: (i) 84,023 shares issued by the Company’s Board of Directors on March 27, 2012 in relation to the execution of powers vested in the Board of Directors by the Extraordinary General Meeting on April 29, 2011 and (ii) 2,097,587 shares issued by the Company’s Board of Directors on March 15, 2013 in relation to the execution of powers vested in the Board of Directors by the Extraordinary General Meeting on April 29, 2011. The New Shares represent approximately 0.038% of the Company’s share capital and were allotted to officers of the Company and other banks and companies of the UniCredit Group; however none of the New Shares was taken up in the Republic of Poland. In the Current Report No. 95/2012 of September 10, 2012, the Company announced its intention to list the New Shares by the end of April 2013. 2,097,587 New Shares issued by the Company’s Board of Directors on March 15, 2013 were registered in the Italian register of commerce (Camera di Commercio Industria Artigianato e Agricoltura di Roma – Ufficio Registro delle Imprese) on March 25, 2013. The delay in introducing the New Shares to trading on the WSE is due to the fact that the Issuer has to prepare the necessary documents in the proper form in order to draft and file relevant applications to the NDS for the registration of the New Shares in the depository and to WSE for the introduction of the New Shares to trading on the regulated market in Poland. | ||||||||||||
