| W nawiązaniu do raportu bieżącego nr 29/2017 z dnia 14 grudnia 2017 r., Zarząd Santander Bank Polska S.A. („SAN PL”) informuje, że dzisiaj, tj. w dniu 9 listopada 2018 r. powziął informację o zarejestrowaniu w dniu 9 listopada 2018 r. przez Sąd Rejonowy dla M. St. Warszawy w Warszawie, XII Wydział Gospodarczy Krajowego Rejestru Sądowego zmiany Statutu SAN PL polegającej na podwyższeniu kapitału zakładowego SAN PL w związku z podziałem Deutsche Bank Polska S.A. („DBPL”). Zmiana Statutu SAN PL została przyjęta przez Nadzwyczajne Walne Zgromadzenie SAN PL w dniu 29 maja 2018 r. („NWZ”) uchwałą nr 3 (sygn. akt. WA.XII.Ns-Rej. KRS 65478/18/281). Tym samym w dniu dzisiejszym nastąpiło nabycie wydzielonej części DBPL przez SAN PL. Podział DBPL nastąpił w trybie określonym w art. 529 § 1 pkt 4 kodeksu spółek handlowych tj. poprzez przeniesienie na bank przejmujący – SAN PL, części majątku banku dzielonego – DBPL, w formie zorganizowanej części przedsiębiorstwa banku dzielonego w zakresie określonym w uchwałach o podziale oraz planie podziału. Zarejestrowana zmiana Statutu obejmuje podwyższenie kapitału SAN PL. Kapitał zakładowy SAN PL został podniesiony z kwoty 993 334 810 zł (dziewięćset dziewięćdziesiąt trzy miliony trzysta trzydzieści cztery tysiące osiemset dziesięć złotych) do kwoty 1 020 883 050 (jeden miliard dwadzieścia milionów osiemset osiemdziesiąt trzy tysiące pięćdziesiąt) złotych, czyli o kwotę 27 548 240 (dwadzieścia siedem milionów pięćset czterdzieści osiem tysięcy dwieście czterdzieści) złotych. Akcje objęte w podwyższonym kapitale zakładowym zostały w całości opłacone. Dotychczasowe brzmienie § 10 Statutu SAN PL: „§ 10 Kapitał zakładowy Banku wynosi 993.334.810 (dziewięćset dziewięćdziesiąt trzy miliony trzysta trzydzieści cztery tysiące osiemset dziesięć) złotych i podzielony jest na 99.333.481 (dziewięćdziesiąt dziewięć milionów trzysta trzydzieści trzy tysiące czterysta osiemdziesiąt jeden) akcji na okaziciela o wartości nominalnej 10,00 (dziesięć) zł każda, w tym: 1) 5.120.000 (pięć milionów sto dwadzieścia tysięcy) akcji zwykłych na okaziciela serii A, 2) 724.073 (siedemset dwadzieścia cztery tysiące siedemdziesiąt trzy) akcje zwykłe na okaziciela serii B, 3) 22.155.927 (dwadzieścia dwa miliony sto pięćdziesiąt pięć tysięcy dziewięćset dwadzieścia siedem) akcji zwykłych na okaziciela serii C, 4) 1.470.589 (jeden milion czterysta siedemdziesiąt tysięcy pięćset osiemdziesiąt dziewięć) akcji zwykłych na okaziciela serii D, 5) 980.393 (dziewięćset osiemdziesiąt tysięcy trzysta dziewięćdziesiąt trzy) akcje zwykłe na okaziciela serii E, 6) 2.500.000 (dwa miliony pięćset tysięcy) akcji zwykłych na okaziciela serii F, 7) 40.009.302 (czterdzieści milionów dziewięć tysięcy trzysta dwie) akcje zwykłe na okaziciela serii G, 8) 115.729 (sto piętnaście tysięcy siedemset dwadzieścia dziewięć) akcji zwykłych na okaziciela serii H, 9) 1.561.618 (jeden milion pięćset sześćdziesiąt jeden tysięcy sześćset osiemnaście) akcji zwykłych na okaziciela serii I, 10) 18.907.458 (osiemnaście milionów dziewięćset siedem tysięcy czterysta pięćdziesiąt osiem) akcji zwykłych na okaziciela serii J, 11) 305.543 (trzysta pięć tysięcy pięćset czterdzieści trzy) akcje zwykłe na okaziciela serii K, 12) 5.383.902 (pięć milionów trzysta osiemdziesiąt trzy tysiące dziewięćset dwie) akcje zwykłe na okaziciela serii L, 13) 98.947 (dziewięćdziesiąt osiem tysięcy dziewięćset czterdzieści siedem) akcji zwykłych na okaziciela serii M.” Nowe brzmienie § 10 Statutu SAN PL: „§ 10 Kapitał zakładowy Banku wynosi 1.020.883.050 (jeden miliard dwadzieścia milionów osiemset osiemdziesiąt trzy tysiące pięćdziesiąt) złotych i podzielony jest na 102.088.305 (sto dwa miliony osiemdziesiąt osiem tysięcy trzysta pięć) akcji na okaziciela o wartości nominalnej 10,00 (dziesięć) zł każda, w tym: 1) 5.120.000 (pięć milionów sto dwadzieścia tysięcy) akcji zwykłych na okaziciela serii A, 2) 724.073 (siedemset dwadzieścia cztery tysiące siedemdziesiąt trzy) akcje zwykłe na okaziciela serii B, 3) 22.155.927 (dwadzieścia dwa miliony sto pięćdziesiąt pięć tysięcy dziewięćset dwadzieścia siedem) akcji zwykłych na okaziciela serii C, 4) 1.470.589 (jeden milion czterysta siedemdziesiąt tysięcy pięćset osiemdziesiąt dziewięć) akcji zwykłych na okaziciela serii D, 5) 980.393 (dziewięćset osiemdziesiąt tysięcy trzysta dziewięćdziesiąt trzy) akcje zwykłe na okaziciela serii E, 6) 2.500.000 (dwa miliony pięćset tysięcy) akcji zwykłych na okaziciela serii F, 7) 40.009.302 (czterdzieści milionów dziewięć tysięcy trzysta dwie) akcje zwykłe na okaziciela serii G, 8) 115.729 (sto piętnaście tysięcy siedemset dwadzieścia dziewięć) akcji zwykłych na okaziciela serii H, 9) 1.561.618 (jeden milion pięćset sześćdziesiąt jeden tysięcy sześćset osiemnaście) akcji zwykłych na okaziciela serii I, 10) 18.907.458 (osiemnaście milionów dziewięćset siedem tysięcy czterysta pięćdziesiąt osiem) akcji zwykłych na okaziciela serii J, 11) 305.543 (trzysta pięć tysięcy pięćset czterdzieści trzy) akcje zwykłe na okaziciela serii K, 12) 5.383.902 (pięć milionów trzysta osiemdziesiąt trzy tysiące dziewięćset dwie) akcje zwykłe na okaziciela serii L, 13) 98.947 (dziewięćdziesiąt osiem tysięcy dziewięćset czterdzieści siedem) akcji zwykłych na okaziciela serii M, 14) 2.754.824 (dwa miliony siedemset pięćdziesiąt cztery tysiące osiemset dwadzieścia cztery) akcje zwykłe na okaziciela serii N.” Ogólna liczba głosów wynikających ze wszystkich wyemitowanych akcji to 102 088 305 (słownie: sto dwa miliony osiemdziesiąt osiem tysięcy trzysta pięć). Wartość nominalna wszystkich wyemitowanych akcji to 1 020 883 050 (słownie: jeden miliard dwadzieścia milionów osiemset osiemdziesiąt trzy tysiące pięćdziesiąt) złotych. Tekst jednolity Statutu przyjęty przez NWZ uchwałą nr 4 w sprawie przyjęcia tekstu jednolitego Statutu Banku znajduje się w załączniku do niniejszego raportu. 9-11-2018 Current report no: 41/2018 Re.: Acquisition of the demerged part of Deutsche Bank Polska S.A. by Santander Bank Polska S.A. as a result of registration of the demerger of Deutsche Bank Polska S.A., registration in the National Court Register of the increase in the share capital of Santander Bank Polska S.A. and the amendments to the Statutes. In relation to the current report no. 29/2017 of 14 December 2017, the Management Board of Santander Bank Polska S.A. ("SAN PL") hereby states that today, i.e. on 9 November 2018, it was informed that on 9 November 2018 the amendments to the Statute of SAN PL resulting in SAN PL’s share capital increase related to the demerger of Deutsche Bank Polska S.A. (“DBPL”) was registered by the District Court for the Capital City of Warsaw in Warsaw, XII Commercial Division of the National Court Register. The amendments to the SAN PL’s Statute were adopted by the Extraordinary General Meeting of SAN PL on 29 May 2018 ("EGM") by Resolution No. 3 (ref. WA.XII.Ns-Rej. KRS 65478/18/281). Thus, as of today SAN PL acquired the demerged part of DBPL. The DBPL was divided in accordance with the procedure specified in Article 529(1)(4) of the Commercial Companies Code, i.e. by transferring to the acquiring bank – SAN PL, part of the assets of the demerged bank - DBPL, in the form of an organized part of the enterprise of the demerged bank within the scope specified in the resolutions on the demerger and the demerger plan. The registered amendment to the Statutes includes an increase in the capital of SAN PL. The share capital of SAN PL was increased from PLN 993 334 810 (nine hundred and ninety-three million, three hundred and thirty-four thousand, eight hundred and ten) to PLN 1 020 883 050 (one billion, twenty million, eight hundred and eighty-three thousand, fifty), i.e. by PLN 27 548 240 (twenty-seven million five hundred forty-eight thousand two hundred forty). The shares in the increased share capital have been paid up in full.
