| Santander Bank Polska S.A. ("Bank") informuje, że w dniu 30 grudnia 2019 r. otrzymał od Nationale-Nederlanden Otwartego Funduszu Emerytalnego ("OFE") zawiadomienie, że w wyniku nabycia akcji Banku przez OFE zwiększył się stan posiadania akcji Banku powyżej 5% głosów na Walnym Zgromadzeniu Akcjonariuszy Banku. Według informacji zawartych w powyższym zawiadomieniu: 1. Data i rodzaj zdarzenia powodującego zmianę udziału, której dotyczy zawiadomienie: Transakcja nabycia akcji z dnia 17 grudnia 2019 r. 2. Liczba akcji posiadanych przez OFE przed zmianą udziału i ich procentowy udział w kapitale zakładowym spółki oraz liczba głosów z tych akcji i ich procentowy udział w ogólnej liczbie głosów: Liczba akcji: 5 100 581, co stanowiło 4,996% udziału w kapitale zakładowym Banku Liczba głosów: 5 100 581, co stanowiło 4,996% głosów w ogólnej liczbie głosów na walnym zgromadzeniu Banku 3. Liczba aktualnie posiadanych akcji i ich procentowy udział w kapitale zakładowym spółki oraz liczba głosów z tych akcji i ich procentowy udział w ogólnej liczbie głosów: W dniu 17 grudnia 2019 r. na rachunku papierów wartościowych OFE znajdowało się: 5 123 581 akcji Banku, co stanowi 5,019% kapitału zakładowego, uprawniających do 5 123 581 głosów na Walnym Zgromadzeniu Banku, co stanowi 5,019% ogólnej liczby głosów. Kopia zawiadomienia w języku polskim stanowi załącznik do niniejszego raportu. Podstawa prawna: Art. 70 pkt 1 w zw. z art. 69 ust 1 pkt 1 oraz zw. z art. 87 1 pkt 2b ustawy o ofercie publicznej i warunkach wprowadzania instrumentów finansowych do zorganizowanego systemu obrotu oraz o spółkach publicznych. | |||||||||||

30-12-2019 Current report no. 43/2019 Re. Notification from Nationale-Nederlanden Otwarty Fundusz Emerytalny Santander Bank Polska S.A. ("the Bank”) hereby informs that on 20th December 2019 it received from Nationale-Nederlanden Otwarty Fundusz Emerytalny ("OFE") the notification that as a result of the acquisition of the Bank’s shares by OFE it increased the Bank’s share ownership in excess of 5% of votes at the Bank’s General Shareholders’ Meeting. As per information contained in the said notice: 1. Date and type of event triggering the change of shareholding that the notification refers to: Acquisitions of shares dated 17th December 2019. 2. Number of shares held by OFE before the change of shareholding and the percentage of share capital in represents and the number of votes attached to these shares and the percentage of the total number of vote they represent: Number of shares: 5,100,581 representing 4.996% of the Bank’s share capital Number of votes carried by these shares: 5,100,581 representing 4.996% of the total number of votes at the Bank’s General Meeting of Shareholders. 3. Number of currently held shares and the percentage of share capital they represent plus the number of votes attached to these shares and the percentage of the total number of votes they represent: On 17th December 2019, on the OFE's securities account 5,123,581 Bank's shares were stored, which represent 5.019% of the Bank's share capital. These shares entitle to 5,123,581 votes at the Bank's General Meeting of Shareholders, which represents 5.019% of the total number of votes at the Bank's General Meeting of Shareholders. The copy of the notification is enclosed to this report (in Polish version only). Legal basis: Art. 70 item 1 in relation to Art. 69 clause 1 item 1 and in relation to art. 87 clause 1 item 2b of the Act dated 29 July 2005 on public offerings and conditions of introducing financial instruments to organized trading, and on public companies. | |||
