| [English version below Polish] Zarząd Resbud SE z siedzibą w Tallinie informuje, że w dniu 19 grudnia 2019 roku otrzymał informacje z estońskiego rejestru handlowego, dotyczącą rejestracji zmian statutu spółki oraz podwyższenia kapitału zakładowego. Przedmiotowa zmiana związana jest z podwyższeniem kapitału zakładowego, uchwalonego w dniu 31 maja 2019 roku. Informacja na temat podwyższenia kapitału zakładowego została przekazana w raportach bieżących numer 36/2019 oraz 40/2019. Zmianie uległy postanowienia zawarte w punkcie 2.1 i 2.4 statutu Resbud SE. Aktualnie brzmienie przedmiotowych punktów jest następujące: „2.1. Minimalny kapitał spółki to 1. 430.000 (jeden milion czterysta trzydzieści tysięcy) Euro, a maksymalny kapitał to 5.720.000 (pięć milionów siedemset dwadzieścia tysięcy) euro. 2.4. Najmniejsza liczba akcji spółki bez wartości nominalnej to 13 000 000, największa liczba akcji spółki to 52 000 000”. W załączeniu do niniejszego raportu spółka przekazuje tekst jednolity statutu w języku polskim, estońskim oraz angielskim. Skutkiem rejestracji podwyższenia kapitału zakładowego jest zwiększenie wielkości tego kapitału, który od dnia 19 grudnia 2019 roku wynosi 1.991.000 (jeden milion dziewięćset dziewięćdziesiąt jeden tysięcy) Euro. Ponadto ilość akcji Resbud SE uległa zmianie. Całkowita ilość akcji bez wartości nominalnej od dnia 19 grudnia 2019 roku wynosi 18.100.100 akcji. [English version] legal basis – art. 17 MAR The Management Board of Resbud SE, registered office in Tallinn, informs that on 19 December 2019 it received information from the Estonian commercial register concerning the registration of amendments Articles of Association and the increase of share capital. This amendment is related to an increase of share capital adopted on 31 May 2019. Information on the increase share capital was provided in current reports number 36/2019 and 40/2019. The point 2.1 and 2.4 of the Articles of Association of Resbud SE have changed. The actual wording of the mentioned points is as follows: “2.1 The minimum amount of share capital of the Company is 1. 430,000 (one million four hundred and thirty thousand) Euros, and the maximum amount of share capital is 5.720.000 (five million seven hundred and twenty thousand) Euros. 2.4. The minimum number of the shares of the Company without nominal value is 13.000.000 shares and the maximum number of the shares of the Company without nominal value is 52 000 000 shares.". In the attachment to this report, the Company provides consolidated text of the Articles of Association in Polish, Estonian and English. As a result of the registration of increase in share capital, the current value of that capital from 19 December 2019 is 1.991.000 (one million nine hundred and ninety-one thousand) Euros. In addition, the number of shares of Resbud SE has changed. The total number of shares without a nominal value from 19 December 2019 is 18.100.100 shares. | |||||||||||
