| Zarząd Poznańskiej Korporacji Budowlanej Pekabex S.A. („Emitent”) informuje, iż Emitent zawarł z Powszechną Kasą Oszczędności Bankiem Polskim S.A. z siedzibą w Warszawie (dalej "Bank") transakcję zamiany stopy procentowej Interest Rate Swap (IRS) polegającą na zabezpieczeniu stałej stopy procentowej kredytu inwestycyjnego udzielonego przez Bank Emitentowi, o którego udzieleniu Emitent informował raportem bieżącym nr 67/2020 w dniu 9 grudnia 2020 r. (dalej "Kredyt"). Przedmiotem transakcji jest zamiana zmiennej stopy procentowej Kredytu na stałą stopę procentową. Stała stopa procentowa obowiązywać będzie w okresie od dnia 1 marca 2021 r. do dnia 8 grudnia 2027 r. Transakcja została zawarta na całą kwotę Kredytu, która będzie pozostawała do spłaty na dzień 1 marca 2021 r. tj. na kwotę 4.880.952,40 EUR. Zawarcie transakcji IRS ma na celu zabezpieczenie Emitenta przed wzrostem wysokości przyszłych płatności odsetkowych, do którego może dojść w wyniku podniesienia stóp procentowych. Informacja została uznana za istotną z uwagi na fakt, że kwota, której dotyczy przedmiot transakcji przekracza 5% skonsolidowanych kapitałów własnych Emitenta wg ostatniego opublikowanego rocznego skonsolidowanego sprawozdania finansowego. | ||||||||||||

Current report No.: 12/2021 Document date: 2021-02-10 Subject: The conclusion of an interest rate swap (IRS) transaction Legal basis: Art. 17(1) MAR - confidential information. The Management Board of Poznańska Korporacja Budowlana Pekabex S.A. (“the Issuer”) informs that the Issuer concluded an interest rate swap (IRS) transaction with Powszechna Kasa Oczędności Bank Polski S.A. with its seat in Warsaw (hereinafter referred to as “the Bank”) consisting in hedging a fixed interest rate of investment credit granted by the Bank to the Issuer, of which the Issuer informed in current report No. 67/2020 on the 9th of December, 2020 (hereinafter referred to as “the Credit”). The subject of the transaction is the conversion of the variable interest rate of the Credit into a fixed interest rate. The fixed interest rate will apply from the 1st of March, 2021 to the 8th of December, 2027. The transaction was concluded for the whole amount of the Credit, which will be outstanding on the 1st of March, 2021 i.e. for the amount of EUR 4,880,952.40. The purpose of concluding the IRS transaction is to hedge the Issuer against the increase in the amount of future interest payments, which could occur as a result of the increase in interest rates. The information has been deemed material due to the fact that the amount to which the transaction relates exceeds 5% of the value of the Issuer's consolidated equity according to the last published annual consolidated financial statements.
