| W nawiązaniu do pierwszego zawiadomienia, przekazanego raportem bieżącym nr 16/2021 z dnia 10 maja 2021 r., uzupełnionego następnie raportem bieżącym nr 26/2021 z dnia 10 sierpnia 2021 r., Zarząd Banku Millennium S.A. („Bank”), działając na podstawie art. 539 § 1 i 2 oraz art. 540 Kodeksu spółek handlowych („KSH”), w zw. z art. 402 z indeksem 1 KSH, niniejszym zawiadamia akcjonariuszy po raz drugi o planowanym podziale Millennium Domu Maklerskiego S.A. z siedzibą w Warszawie, wpisanego do rejestru przedsiębiorców w Sądzie Rejonowym dla m.st. Warszawy w Warszawie, XIII Wydział Gospodarczy Krajowego Rejestru Sądowego, pod numerem KRS: 0000053322 („Spółka Dzielona” lub „MDM”), („Podział MDM”). W nawiązaniu do treści raportu nr 16/2021 z dnia 10 maja 2021 r. oraz raportu nr 26/2021 z dnia 10 sierpnia 2021 r., Zarząd Banku przekazuje ponownie poniższe informacje, zawiadamiając po raz drugi o Podziale MDM. Podział MDM zostanie dokonany w trybie art. 529 § 1 pkt 4 KSH, tj.: poprzez: a) przeniesienie na Bank części majątku (aktywów i pasywów) oraz praw i obowiązków Spółki Dzielonej, w postaci zorganizowanej części przedsiębiorstwa MDM, związanej ze świadczeniem usług maklerskich („Działalność Maklerska”); oraz b) pozostawienie w MDM części majątku (aktywów i pasywów) oraz praw i obowiązków Spółki Dzielonej, w postaci zorganizowanej części przedsiębiorstwa MDM, związanej z pozostałą działalnością („Działalność Nieregulowana”). W związku z przeniesieniem na Bank części majątku (aktywów i pasywów) oraz praw i obowiązków Spółki Dzielonej, nie dojdzie do podwyższenia kapitału zakładowego Banku. Plan Podziału MDM („Plan Podziału MDM”) został ogłoszony w trybie art. 535 § 3 KSH poprzez umieszczenie na stronie internetowej Banku (pod adresem: https://www.bankmillennium.pl/plan_podzialu_MDM). Na podstawie art. 540 § 3 z indeksem 1 KSH Bank informuje, że do dnia zakończenia walnego zgromadzenia akcjonariuszy Banku, którego porządek obrad przewidywać będzie podjęcie uchwały w sprawie Podziału MDM, akcjonariusze mogą zapoznać się z poniższymi informacjami za pośrednictwem strony internetowej Banku, tj. akcjonariuszom udostępnia się: 1) Plan Podziału MDM (zawierający także informacje i dokumenty, o których mowa w art. 534 § 2 KSH, z wyjątkiem oświadczenia, o którym mowa w art. 534 § 2 pkt 4 KSH w odniesieniu do Banku, względem którego nie jest wymagane sporządzania takiego oświadczenia), dostępny na stronie: https://www.bankmillennium.pl/plan_podzialu_MDM; 2) sprawozdania finansowe Banku oraz sprawozdania Zarządu z działalności Banku za trzy ostatnie lata obrotowe, wraz ze sprawozdaniami z badania, dostępne na stronie: https://www.bankmillennium.pl/plan_podzialu_MDM; 3) sprawozdania finansowe oraz sprawozdania Zarządu z działalności MDM za trzy ostatnie lata obrotowe, wraz ze sprawozdaniami z badania, dostępne na stronie: https://www.bankmillennium.pl/plan_podzialu_MDM; 4) sprawozdania Zarządów Banku oraz MDM z dnia 10 maja 2021 r., sporządzone dla celów Podziału MDM, dostępne na stronie: https://www.bankmillennium.pl/plan_podzialu_MDM; 5) opinię biegłego z badania Planu Podziału MDM w zakresie poprawności i rzetelności, dostępną na stronie: https://www.bankmillennium.pl/plan_podzialu_MDM. Bank Millennium S.A. 16th February, 2022 Current Report no. 7/2022 SUBJECT: SECOND NOTIFICATION OF THE PROPOSED DIVISION OF MILLENNIUM DOM MAKLERSKI S.A., WHERE BANK MILLENNIUM S.A. IS ONE OF THE ACQUIRING ENTITIES
Further to current report No. 16/2021 dated 10 May 2021 and supplemented by report No. 26/2021 dated 10 August 2021, the Management Board of Bank Millennium S.A. with its registered office in Warsaw (the “Bank”), acting pursuant to Article 539 §1 and 2 and Article 540 of the Commercial Companies Code (the “CCC”), in conjunction with Article 402 index 1 of the CCC, hereby provides its shareholders with a second notification about the proposed division of Millennium Dom Maklerski S.A. with its registered office in Warsaw, entered in the Register of Business Entities kept by the District Court for the Capital City of Warsaw in Warsaw, XIII Commercial Division of the National Court Register, under KRS No. 0000053322 (the “Company Being Divided” or “MDM”), (the “MDM Division”). Further to current report No. 16/2021 dated 10 May 2021 and current report No. 26/2021 dated 10 August 2021, the Management Board of the Bank announces the following information again and makes a notification of the MDM Division. The MDM Division will be effected in accordance with the procedure specified in Article 529 § 1.4 of the CCC, i.e. through: a) a transfer to the Bank of a part of the property (assets and liabilities) and the rights and obligations of the Company Being Divided in the form of an organised part of the enterprise of MDM connected with the provision of brokerage services (the “Brokerage Business”); and b) the retaining by MDM of a part of the property (assets and liabilities) and the rights and obligations of the Company Being Divided in the form of an organised part of the enterprise of MDM connected with the remaining business activity (the “Non-Regulated Business”). The Bank’s share capital will not be increased in connection with the transfer to the Bank of a part of the property (assets and liabilities) and the rights and obligations of the Company Being Divided. The MDM division plan (the “MDM Division Plan”) has been made available pursuant to Article 535 § 3 of the CCC by being posted on the Bank’s website (at: https://www.bankmillennium.pl/plan_podzialu_MDM).
