| Zarząd KRUK S.A. (Emitent) informuje, że Zarząd Giełdy Papierów Wartościowych w Warszawie S.A. („GPW”) uchwałą nr 1195/2021 z dnia 30 listopada 2021 r. stwierdził dopuszczenie i postanowił wprowadzić z dniem 6 grudnia 2021 r. do obrotu giełdowego na rynku podstawowym 272.853 akcje zwykłe na okaziciela serii F Emitenta („Akcje”) o wartości nominalnej 1,00 zł każda, oznaczonych przez Krajowy Depozyt Papierów Wartościowych S.A. („KDPW”) kodem „PLKRK0000671”. Zgodnie z przywołaną uchwałą Zarządu GPW wprowadzenie Akcji do obrotu nastąpi pod warunkiem dokonania przez Krajowy Depozyt Papierów Wartościowych S.A. w dniu 6 grudnia 2021 r. asymilacji tych Akcji z akcjami Emitenta będącymi w obrocie giełdowym, oznaczonymi kodem „PLKRK0000010”. Jednocześnie Zarząd Emitenta informuje, iż Krajowy Depozyt Papierów Wartościowych S.A. („KDPW”) oświadczeniem z dnia 1 grudnia 2021 r. postanowił dokonać z dniem 6 grudnia 2021 r. częściowej asymilacji Akcji z akcjami na okaziciela zarejestrowanymi pod kodem „PLKRK0000010”. Po przeprowadzonej asymilacji z dniem 6 grudnia 2021 r. kodem „PLKRK0000010” oznaczonych będzie 19.012.898 akcji zwykłych na okaziciela KRUK S.A. Current Report No. 56/2021 Date: December 2nd 2021 Subject: Admission of Series F shares to trading and their assimilation with existing shares Legal basis: Art. 56.1.2 of the Public Offering Act – Current and periodic information Text of the report: The Management Board of KRUK S.A. (the “Company” or the “Issuer”) announces that the Management Board of the Warsaw Stock Exchange (the “WSE”), by way of its Resolution No. 1195/2021 of November 30th 2021, declared the admission of, and resolved to introduce – as of December 6th 2021 – to exchange trading on the main market of the WSE, 272,853 Series F ordinary bearer shares in the Issuer (the “Shares”) with a par value of PLN 1.00 per Share, to which the Central Securities Depository of Poland (the “CSDP”) assigned ISIN code PLKRK0000671. Pursuant to the resolution of the WSE Management Board, the introduction of the Shares to trading will take place on condition that, on December 6th 2021, the Shares are assimilated by the Central Securities Depository of Poland with the Issuer shares already traded on the stock exchange, assigned ISIN code PLKRK0000010. The Company’s Management Board further announces that the Central Securities Depository of Poland (the “CSDP”), by way of a statement dated December 1st 2021, decided to perform partial assimilation of the Shares with the bearer shares registered under ISIN code PLKRK0000010, effective as of December 6th 2021.
