Zarząd ING Banku Śląskiego S.A. przekazuje do publicznej wiadomości propozycje zmian w Statucie Banku, które zostaną przedstawione Zwyczajnemu Walnemu Zgromadzeniu Akcjonariuszy zwołanemu na 9 czerwca 2005 r. 1. § 2 otrzymuje brzmienie: "Założycielem Banku jest Skarb Państwa.". Dotychczasowe brzmienie § 2: "§ 2 ING Bank Śląski Spółka Akcyjna zwany dalej “Bankiem" jest osobą prawną działającą na podstawie przepisów ustaw – prawo bankowe, kodeks spółek handlowych i innych przepisów prawa oraz postanowień niniejszego Statutu." 2. § 6 otrzymuje brzmienie: "§ 6 Bank jest bankiem uprawnionym, w rozumieniu przepisów dewizowych, do prowadzenia skupu i sprzedaży wartości dewizowych oraz pośrednictwa w dokonywaniu przekazów pieniężnych oraz rozliczeń w obrocie dewizowym.". Dotychczasowe brzmienie § 6: "§ 6 1. Bank jest bankiem upoważnionym do wykonywania określonych czynności obrotu dewizowego i związanych z nimi rozliczeń. 2. Bank ma prawo posiadania wartości dewizowych i dokonywania nimi obrotu w zakresie wynikającym z obowiązujących przepisów prawa. 3. Bank ma prawo do otwierania i posiadania rachunków bankowych za granicą oraz do lokowania środków dewizowych na tych rachunkach.". 3. W § 8: a) w ust. 2 pkt 8) skreśla się wyrazy: "oraz pożyczek i kredytów konsumenckich", Dotychczasowe brzmienie § 8 ust. 2 pkt 8): "8) udzielanie pożyczek pieniężnych oraz pożyczek i kredytów konsumenckich," W rezultacie § 8 ust. 2 pkt 8) otrzymuje brzmienie: "8) udzielanie pożyczek pieniężnych," b) w ust. 3 skreśla się pkt 8), Dotychczasowe brzmienie § 8 ust. 3 pkt 8): "8) świadczenie usług transportu wartości pieniężnych wraz z ich ochroną," c) skreśla się ust. 5. Dotychczasowe brzmienie § 8 ust. 5: "5. Czynności wyszczególnione w ust. 1 - 4 odpowiadają niżej określonym przedmiotom działalności według Polskiej Klasyfikacji Działalności: 1) pozostała działalność bankowa – kod PKD - 65 12 A, 2) działalność maklerska i zarządzanie funduszami – kod PKD - 67 12 Z, 3) działalność pomocnicza finansowa, gdzie indziej nie sklasyfikowana – kod PKD - 67 13 Z, 4) działalność pomocnicza związana z ubezpieczeniami i funduszami emerytalno – rentowymi – kod PKD - 67 20 Z, 5) kupno i sprzedaż nieruchomości na własny rachunek – kod PKD - 70 12 Z, 6) przetwarzanie danych – kod PKD - 72 30 Z, 7) działalność rachunkowo – księgowa – kod PKD - 74 12 Z, 8) działalność dochodzeniowo-detektywistyczna i ochroniarska – kod PKD - 74 60 Z." 4. Skreśla się § 11. Dotychczasowe brzmienie § 11: "§ 11 1. Zarząd Banku, po uzyskaniu zgody Rady Nadzorczej, upoważniony jest do dokonania w okresie do dnia 28 czerwca 2004 r. podwyższenia kapitału zakładowego Banku o kwotę nie wyższą niż 69 450 000,00 (sześćdziesiąt dziewięć milionów czterysta pięćdziesiąt tysięcy) złotych, to jest maksymalnie do kwoty 199 550 000,00 (sto dziewięćdziesiąt dziewięć milionów pięćset pięćdziesiąt tysięcy) złotych. 2. Akcje wyemitowane w trybie określonym w niniejszym paragrafie mogą być wydane stosownie do decyzji Zarządu zarówno w zamian za wkłady pieniężne jak i niepieniężne. 3. Upoważnienie, o którym mowa w ust. 1 obejmuje także kompetencję Zarządu do wyłączenia lub ograniczenia, za zgodą Rady Nadzorczej, prawa poboru akcji emitowanych w trybie określonym w niniejszym paragrafie." 5. § 15 otrzymuje brzmienie: "1. Wszystkie sprawy wnoszone przez Zarząd na Walne Zgromadzenie powinny być uprzednio przedstawione Radzie Nadzorczej do zaopiniowania. 2. Akcjonariusze uprawnieni do żądania umieszczenia określonej sprawy w porządku obrad Walnego Zgromadzenia, którzy chcą zgłosić wniosek o rozpatrzenie sprawy przez Walne Zgromadzenie, powinni go złożyć na piśmie Zarządowi Banku, który przedstawi go ze swoją opinią Radzie Nadzorczej, a po uzyskaniu opinii Rady umieści w porządku obrad najbliższego Walnego Zgromadzenia. 3. Opinia Rady Nadzorczej nie jest wymagana w sprawach dotyczących członków Rady.". Dotychczasowe brzmienie § 15: "§ 15 Wszystkie sprawy wnoszone przez Zarząd na Walne Zgromadzenie powinny być uprzednio przedstawione Radzie Nadzorczej do zaopiniowania. Akcjonariusze, którzy chcą zgłosić wniosek w sprawach Banku na Walnym Zgromadzeniu, powinni go złożyć na piśmie Zarządowi Banku, który przedstawi go ze swoją opinią Radzie Nadzorczej." 6. W § 16 dodaje się ust. 3 w brzmieniu: "Uchwałę o zaniechaniu rozpatrywania sprawy wniesionej przez uprawnionych akcjonariuszy, Walne Zgromadzenie podejmuje większością ¾ głosów, po uzyskaniu zgody wszystkich obecnych na Walnym Zgromadzeniu akcjonariuszy, którzy zgłosili wniosek o jej rozpatrzenie.". 7. W § 19 w pkt 1) skreśla się wyrazy: " , w tym obligacji". Dotychczasowe brzmienie § 19 pkt 1): "1) emisji obligacji, w tym obligacji z prawem ich zamiany na akcje Banku (obligacje zamienne)," W rezultacie § 19 pkt 1) otrzymuje brzmienie: "1) emisji obligacji z prawem ich zamiany na akcje Banku (obligacje zamienne)," 8. W § 20: a) w ust. 1 skreśla się wyrazy: "z zastrzeżeniem postanowień ust. 4", Dotychczasowe brzmienie § 20 ust. 1: "Z zastrzeżeniem postanowień ust. 4 członków Rady Nadzorczej powołuje Walne Zgromadzenie w głosowaniu tajnym." W rezultacie § 20 ust. 1 otrzymuje brzmienie: "Członków Rady Nadzorczej powołuje Walne Zgromadzenie w głosowaniu tajnym." b) ust. 2b otrzymuje brzmienie: "2b. Członkowie Niezależni Rady Nadzorczej powinni spełniać następujące kryteria: 1) nie są i nie byli przez ostatnie 5 lat pracownikami Banku lub podmiotów powiązanych, pełniącymi funkcje kierownicze , 2) nie są i nie byli przez ostatnie 5 lat zatrudnieni w Banku lub w podmiotach powiązanych na stanowisku członka Zarządu, 3) nie otrzymują żadnego dodatkowego wynagrodzenia (poza należnym z tytułu członkostwa w Radzie Nadzorczej) lub jakichkolwiek świadczeń majątkowych z Banku lub podmiotu powiązanego, 4) nie są jednostką dominującą Banku lub przedstawicielami, członkami Zarządu, Rady Nadzorczej lub pracownikami pełniącymi funkcje kierownicze w jednostce dominującej, 5) nie są i nie byli przez ostatnie 3 lata biegłymi rewidentami albo pracownikami podmiotu świadczącego usługi biegłego rewidenta na rzecz Banku lub podmiotów powiązanych, 6) nie mają i nie mieli przez ostatni rok istotnych powiązań gospodarczych z Bankiem lub podmiotem powiązanym, jako partner, podmiot powiązany, członek organów lub pełniąc funkcje kierownicze, 7) nie byli członkami Rady Nadzorczej Banku przez więcej niż 12 lat licząc od daty pierwszego wyboru, 8) nie są członkami Zarządu w innej spółce, w której członek Zarządu Banku jest członkiem Rady Nadzorczej, 9) nie są bliskimi członkami rodziny członków Zarządu Banku lub innych osób, o których mowa w pkt 1) - 8); za bliskich członków rodziny uważa się małżonka, wstępnych i zstępnych pierwszego stopnia, rodzeństwo, zięcia, synową oraz powinowatych w tej samej linii i stopniu.", Dotychczasowe brzmienie § 20 ust. 2b: "2b. Za Członka Niezależnego nie może być w szczególności uznana osoba, która: 1) jest akcjonariuszem Banku posiadającym 5% lub więcej akcji Banku albo członkiem władz lub pracownikiem takiego akcjonariusza Banku będącego osoba prawną, 2) była członkiem Zarządu Banku lub pracownikiem bezpośrednio podlegającym członkowi Zarządu w okresie ostatnich 3 lat, 3) pośrednio lub bezpośrednio, otrzymuje od Banku inne wynagrodzenie niż wynikające z funkcji członka Rady Nadzorczej, co miałoby istotny wpływ na podejmowanie niezależnych decyzji, 4) jest osobą bliską w stosunku do członków Rady Nadzorczej i Zarządu Banku, a także w stosunku do osób wymienionych w pkt. 1)- 3). Za osobę bliską uważa się małżonka, wstępnych, zstępnych, rodzeństwo, powinowatych w tej samej linii i stopniu oraz zięcia i synową." c) skreśla się ust. 4. Dotychczasowe brzmienie § 20 ust. 4: "4. W przypadku wygaśnięcia mandatu członka Rady Nadzorczej przed upływem kadencji całej Rady, prawo powołania członków Rady Nadzorczej, w ilości nie większej niż liczba nieobsadzonych mandatów określona przy uwzględnieniu liczby członków Rady Nadzorczej ustalonej przez Walne Zgromadzenie, posiada ING Bank N.V." 9. Po § 22 dodaje się § 22a w brzmieniu: "§ 22a. 1. W celu wsparcia Rady Nadzorczej w wykonywaniu jej zadań Rada powołuje spośród swoich członków Komitet Audytorski oraz Komitet ds. Compliance i Wynagrodzeń. 2. Komitet Audytorski wspiera Radę w monitorowaniu prawidłowości i efektywności wykonywania kontroli wewnętrznej w Banku oraz nadzorowaniu relacji pomiędzy Bankiem i podmiotem wykonującym badanie sprawozdań finansowych Banku. 3. Komitet ds. Compliance i Wynagrodzeń wspomaga Radę Nadzorczą w zakresie monitorowania zgodności działania Banku z wymogami prawa i etyki, badania relacji Banku z podmiotami zależnymi oraz podmiotami powiązanymi, w tym w szczególności podmiotem dominującym oraz nadzorowania polityki Banku w zakresie systemu wynagradzania i premiowania. 4. Zakres działania, skład i tryb działania Komitetów określa Rada Nadzorcza. W razie potrzeby Rada może powołać również inne Komitety.". 10. W § 24: a) dotychczasowy ust. 4 oznacza się numerem 5, b) dodaje się ust. 4 w brzmieniu: "4. Uchwały w sprawach, o których mowa w § 25 ust. 1 pkt 6), 8) i 10) nie mogą być podejmowane bez zgody większości obecnych na posiedzeniu Członków Niezależnych.". 11. W § 25: a) ust. 1 zdanie drugie otrzymuje brzmienie: "Do kompetencji Rady Nadzorczej, oprócz uprawnień i obowiązków wynikających z przepisów prawa oraz przewidzianych w innych postanowieniach Statutu należy:". Dotychczasowe brzmienie § 25 ust. 1: "1. Rada Nadzorcza sprawuje stały nadzór nad działalnością Banku we wszystkich dziedzinach. Do kompetencji Rady Nadzorczej, oprócz uprawnień i obowiązków przewidzianych w przepisach kodeksu spółek handlowych, należy:" W rezultacie § 25 ust. 1 otrzymuje brzmienie: "1. Rada Nadzorcza sprawuje stały nadzór nad działalnością Banku we wszystkich dziedzinach. Do kompetencji Rady Nadzorczej, oprócz uprawnień i obowiązków wynikających z przepisów prawa oraz przewidzianych w innych postanowieniach Statutu należy:" b) ust. 1 pkt 4 otrzymuje brzmienie: "4) wyrażanie zgody na nabycie lub zbycie przez Bank akcji i praw z akcji, udziałów innych osób prawnych, o ile wartość aktywów przekracza jednorazowo 2.000.000 PLN lub czynność dotyczy aktywów stanowiących co najmniej 20% kapitału zakładowego innej osoby prawnej; zgoda Rady nie jest wymagana w przypadku zaangażowania Banku wynikającego z zamiany wierzytelności, realizacji przyjętego przez Bank zabezpieczenia lub usługi underwritingowej," Dotychczasowe brzmienie § 25 ust. 1 pkt 4): "4) ustalanie, z zastrzeżeniem ograniczeń wynikających z prawa bankowego, globalnego limitu rocznego oraz limitów indywidualnych kwoty zaangażowania kapitałowego Banku w akcje i prawa z akcji, udziały innych osób prawnych lub jednostki uczestnictwa w funduszach inwestycyjnych, jednakże z wyłączeniem zaangażowania Banku wynikającego z zamiany wierzytelności, realizacji przyjętego przez Bank zabezpieczenia lub usługi underwritingowej," c) w ust. 1 pkt 7) po wyrazie: "Zarządu" dodaje się wyrazy: ", Regulaminu Organizacyjnego oraz Systemu Kontroli Wewnętrznej". Dotychczasowe brzmienie § 25 ust. 1 pkt 7): "7) zatwierdzanie Regulaminu Zarządu Banku," W rezultacie § 25 ust. 1 pkt 7) otrzymuje brzmienie: "7) zatwierdzanie Regulaminu Zarządu Banku, Regulaminu Organizacyjnego oraz Systemu Kontroli Wewnętrznej," d) w ust. 1 pkt 8) po dotychczasowej treści dodaje się wyrazy: "na podstawie rekomendacji Komitetu Audytorskiego Rady," Dotychczasowe brzmienie § 25 ust. 1 pkt 8): "8) dokonywanie wyboru biegłego rewidenta przeprowadzającego badanie sprawozdania finansowego Banku," W rezultacie § 25 ust. 1 pkt 8) otrzymuje brzmienie: "8) dokonywanie wyboru biegłego rewidenta przeprowadzającego badanie sprawozdania finansowego Banku, na podstawie rekomendacji Komitetu Audytorskiego Rady," e) w ust. 1 pkt 10) po dotychczasowej treści dodaje się wyrazy: "oraz wszelkich znaczących umów z jednostką dominującą Banku,", Dotychczasowe brzmienie § 25 ust. 1 pkt 10): "10) wyrażanie zgody na zawarcie przez Bank lub jednostkę od niego zależną znaczącej umowy z podmiotem powiązanym z Bankiem, członkiem Rady Nadzorczej albo Zarządu oraz z podmiotami z nimi powiązanymi." W rezultacie § 25 ust. 1 pkt 10) otrzymuje brzmienie: "10) wyrażanie zgody na zawarcie przez Bank lub jednostkę od niego zależną znaczącej umowy z podmiotem powiązanym z Bankiem, członkiem Rady Nadzorczej albo Zarządu oraz z podmiotami z nimi powiązanymi oraz wszelkich znaczących umów z jednostką dominującą Banku." f) w ust. 1 dodaje się pkt 11) w brzmieniu: "11) przedstawianie zwyczajnemu Walnemu Zgromadzeniu zwięzłej oceny sytuacji Banku,", g) w ust. 1 dodaje się pkt 12) w brzmieniu: "12) zawieszanie, z ważnych powodów, członka Zarządu Banku w czynnościach oraz delegowanie, na okres nie dłuższy niż 3 miesiące, członków Rady Nadzorczej do czasowego wykonywania czynności członków Zarządu nie mogących sprawować swoich funkcji.", h) skreśla się ust. 1a, Dotychczasowe brzmienie § 25 ust. 1a: "1a. Uchwały w sprawach, o których mowa w ust. 1 pkt 6), 8) i 10) nie mogą być podejmowane bez zgody przynajmniej jednego Członka Niezależnego." i) w ust. 2 skreśla się zdanie drugie. Dotychczasowe brzmienie § 25 ust. 2: "2. Uchwał Rady wymagają także czynności Banku dotyczące innych praw majątkowych, jeżeli ich wartość przekracza jedną dziesiątą część funduszy własnych Banku. Rada Nadzorcza może jednak upoważnić Zarząd do podejmowania decyzji w powyższych sprawach bez konieczności uzyskania zgody Rady, w zakresie przez nią określonym." W rezultacie § 25 ust. 2 otrzymuje brzmienie: "2. Uchwał Rady wymagają także czynności Banku dotyczące innych praw majątkowych, jeżeli ich wartość przekracza jedną dziesiątą część funduszy własnych Banku." j) w ust. 3 po wyrazie: "nieruchomości" dodaje się wyrazy: "albo prawa wieczystego użytkowania", Dotychczasowe brzmienie § 25 ust. 3: "3. Postanowienia ust. 2 dotyczą także nabycia i zbycia nieruchomości lub udziału w nieruchomości; w sprawach tych nie jest wymagana uchwała Walnego Zgromadzenia." W rezultacie § 25 ust. 3 otrzymuje brzmienie: "3. Postanowienia ust. 2 dotyczą także nabycia i zbycia nieruchomości albo prawa wieczystego użytkowania lub udziału w nieruchomości; w sprawach tych nie jest wymagana uchwała Walnego Zgromadzenia." k) skreśla się ust. 4. Dotychczasowe brzmienie § 25 ust. 4: "4. Z ważnych powodów Rada Nadzorcza może zawiesić w czynnościach członka Zarządu Banku." 12. W § 26 ust. 1 otrzymuje brzmienie: "Zarząd Banku składa się z trzech do ośmiu członków, w tym Prezesa i Wiceprezesów. Na wniosek Prezesa Zarządu Rada Nadzorcza może powierzyć jednemu z Wiceprezesów pełnienie funkcji I Wiceprezesa.", Dotychczasowe brzmienie § 26 ust. 1: "1. Zarząd Banku składa się z trzech do ośmiu członków: Prezesa i Wiceprezesów, w tym I Wiceprezesa." 13. W § 28 a) skreśla się ust. 1, Dotychczasowe brzmienie § 28 ust. 1: "1. Zarząd działa kolegialnie z zastrzeżeniem spraw, które stosownie do postanowień Regulaminu Zarządu lub Regulaminu Organizacyjnego mogą być powierzone poszczególnym członkom Zarządu." b) w ust. 4 w miejsce wyrazów: "oraz szczegółowy zakres i", wpisuje się wyrazy: "zakres spraw wymagających uchwały Zarządu oraz". Dotychczasowe brzmienie § 28 ust. 4: "4. Organizację prac Zarządu oraz szczegółowy zakres i tryb jego funkcjonowania określa Regulamin Zarządu uchwalony przez Zarząd i zatwierdzony przez Radę Nadzorczą." W rezultacie § 28 ust. 4 otrzymuje brzmienie: "4. Organizację prac Zarządu zakres spraw wymagających uchwały Zarządu oraz tryb jego funkcjonowania określa Regulamin Zarządu uchwalony przez Zarząd i zatwierdzony przez Radę Nadzorczą." 14. W § 29 dotychczasową treść oznacza się jako ust. 1 i dodaje się ust. 2-4 w brzmieniu: "2. Zarząd działa kolegialnie, z zastrzeżeniem spraw, które stosownie do postanowień Regulaminu Zarządu lub Regulaminu Organizacyjnego mogą być powierzone poszczególnym członkom Zarządu. 3. W ramach powierzonych czynności, o którym mowa w ust. 2: 1) Prezes Zarządu odpowiada w szczególności za kontrolę wewnętrzną oraz zarządzanie zasobami ludzkimi, 2) Wiceprezes Zarządu, którego powołanie wymaga zgody Komisji Nadzoru Bankowego odpowiada w szczególności za zarządzanie bankowością detaliczną. 4. Ponadto Prezes Zarządu Banku: 1) kieruje działalnością Zarządu, organizuje jego pracę i przewodniczy posiedzeniom, 2) reprezentuje Zarząd wobec Walnego Zgromadzenia Akcjonariuszy i Rady Nadzorczej.". 15. § 30 otrzymuje brzmienie: "Decyzje są podejmowane w Banku w następującym trybie: 1) rozstrzygnięcia w sprawach zastrzeżonych dla Walnego Zgromadzenie zapadają w formie uchwał Walnego Zgromadzenia, 2) rozstrzygnięcia w sprawach zastrzeżonych dla Rady Nadzorczej zapadają w formie uchwał Rady Nadzorczej, 3) rozstrzygnięcia w sprawach, w których zgodnie z Regulaminem Organizacyjnym i Regulaminem Zarządu wymagane jest kolegialne działanie Zarządu zapadają w formie uchwał Zarządu, 4) rozstrzygnięcia w sprawach, w których nie jest wymagane kolegialne działanie Zarządu, a które zostały przekazane do kompetencji poszczególnych członków Zarządu zapadają w formie decyzji członka Zarządu, jednakże Zarząd może w drodze uchwały określić sprawy, które wymagają podjęcia decyzji przez co najmniej dwóch członków Zarządu, 5) rozstrzygnięcia w sprawach, które zostały przekazane przez Zarząd do kompetencji właściwego Komitetu, powołanego przez Zarząd, zapadają w formie uchwał tego Komitetu, 6) rozstrzygnięcia w sprawach, nie zastrzeżonych do kompetencji Zarządu, członka Zarządu lub właściwego Komitetu zapadają w formie decyzji Dyrektora odpowiedniego szczebla, w zakresie powierzonych mu kompetencji.". Dotychczasowe brzmienie § 30: "§ 30 Prezes Zarządu Banku: 1) kieruje działalnością Zarządu, organizuje jego pracę i przewodniczy posiedzeniom, 2) reprezentuje Zarząd wobec Walnego Zgromadzenia Akcjonariuszy i Rady Nadzorczej, 3) wydaje zarządzenia wewnętrzne, regulaminy, instrukcje służbowe i inne przepisy regulujące działalność Banku." 16. Po § 30 dodaje się § 30a w brzmieniu: "1. Regulaminy, instrukcje służbowe i inne wewnętrzne regulacje określające w szczególności politykę, zasady działalności lub organizacji Banku, w zakresie należącym do kompetencji Zarządu lub poszczególnych członków Zarządu, wydawane są w formie Zarządzeń Prezesa Zarządu, odpowiednio na podstawie uchwał Zarządu Banku lub decyzji uprawnionego członka Zarządu. 2. Wewnętrzne regulacje dotyczące spraw, które nie zostały zastrzeżone dla Zarządu lub poszczególnych członków Zarządu mogą być nadto wydawane na podstawie uchwał odpowiedniego Komitetu lub decyzji Dyrektora odpowiedniego szczebla w zakresie przyznanych uprawnień.". 17. W § 32: a) przed wyrazem: "organizację" dodaje się wyraz: "Szczegółową" i zdanie to oznacza się jako ust. 2. b) dodaje się ust. 1 w brzmieniu: 1. Bank posiada następującą strukturę organizacyjną: 1) Centrala, w ramach której funkcjonują: a) jednostki organizacyjne, w tym Departamenty, Centra, Biura, Wydziały, b) inne formy organizacyjne, w tym Piony, Komitety, Projekty. 2. Oddziały, zgrupowane w Regionach i Obszarach, funkcjonalnie podzielone na Sieć Korporacyjną oraz Sieć Detaliczną.". Dotychczasowe brzmienie § 32: "§ 32 Organizację wewnętrzną Banku określa Regulamin Organizacyjny uchwalony przez Zarząd, a zatwierdzony przez Radę Nadzorczą." W rezultacie § 32 otrzymuje brzmienie: 1. Bank posiada następującą strukturę organizacyjną: 1) Centrala, w ramach której funkcjonują: a) jednostki organizacyjne, w tym Departamenty, Centra, Biura, Wydziały, b) inne formy organizacyjne, w tym Piony, Komitety, Projekty. 2) Oddziały, zgrupowane w Regionach i Obszarach, funkcjonalnie podzielone na Sieć Korporacyjną oraz Sieć Detaliczną.. 2. Szczegółową organizację wewnętrzną Banku określa Regulamin Organizacyjny uchwalony przez Zarząd, a zatwierdzony przez Radę Nadzorczą." 18. § 34 otrzymuje brzmienie: 1. W Banku działa System Kontroli Wewnętrznej, którego celem jest wspomaganie procesów decyzyjnych przyczyniający się do zapewnienia: a) skuteczności i wydajności działania Banku, b) wiarygodności sprawozdawczości finansowej, c) zgodności działania Banku z przepisami prawa i regulacjami wewnętrznymi. 2. System Kontroli Wewnętrznej w Banku jest realizowany według następujących zasad: 1) kontrola instytucjonalna wykonywana przez wydzieloną i wyspecjalizowaną komórkę organizacyjną audytu wewnętrznego, 2) kontrola funkcjonalna sprawowana przez każdego pracownika w zakresie wykonywanych przez niego czynności oraz przez jego bezpośredniego zwierzchnika i osoby z nim współpracujące. 3. System Kontroli Wewnętrznej jest projektowany i wprowadzany przez Zarząd Banku, który jest również odpowiedzialny za jego sprawne działanie. Nadzór nad wprowadzaniem Systemu sprawuje Rada Nadzorcza, która nadto dokonuje oceny jego adekwatności i skuteczności. Kierujący komórką organizacyjną audytu wewnętrznego podlega bezpośrednio Prezesowi Zarządu Banku. Powołanie i odwołanie kierującego komórką organizacyjną audytu wewnętrznego wymaga akceptacji Rady Nadzorczej. 4. Szczegółowe zasady działania Systemu Kontroli Wewnętrznej określa regulamin uchwalany przez Zarząd Banku i zatwierdzany przez Radę Nadzorczą.". Dotychczasowe brzmienie § 34: "§ 34 1. W Banku działa kontrola wewnętrzna, która sprawdza legalność i prawidłowość działalności prowadzonej przez Bank oraz prawidłowość i rzetelność składanych sprawozdań finansowych. 2. Szczegółowe zasady kontroli wewnętrznej określa Zarząd Banku." 19. W § 35 w ust. 2: a) w pkt 1) przed dotychczasową treścią dodaje się wyrazy: "wpłacony i zarejestrowany", Dotychczasowe brzmienie § 35 ust. 2 pkt 1): "1) kapitał zakładowy," W rezultacie § 35 ust. 2 pkt 1) otrzymuje brzmienie: "1) wpłacony i zarejestrowany kapitał zakładowy," b) pkt 4 otrzymuje brzmienie: "4) fundusz ogólnego ryzyka na niezidentyfikowane ryzyko działalności bankowej", Dotychczasowe brzmienie § 35 ust. 2 pkt 4): "4) fundusz ryzyka ogólnego," c) dodaje się pkt 6 w brzmieniu: "6) zysk w trakcie zatwierdzania oraz zysk netto bieżącego okresu sprawozdawczego, obliczone zgodnie z obowiązującymi zasadami rachunkowości, przy uwzględnieniu ograniczeń wynikających z Prawa bankowego.". 20. W § 36: a) ust. 1 otrzymuje brzmienie: "1. Fundusz ogólnego ryzyka na niezidentyfikowane ryzyko działalności bankowej tworzony jest na podstawie ustawy Prawo bankowe.", Dotychczasowe brzmienie § 36 ust. 1: "1. Fundusz ryzyka ogólnego tworzony jest na podstawie ustawy Prawo bankowe." b) w ust. 3 w miejsce wyrazów: "ryzyka ogólnego" wpisuje się wyrazy: ",o którym mowa w ust.1". Dotychczasowe brzmienie § 36 ust. 3: "3. Decyzje o użyciu funduszu ryzyka ogólnego podejmuje Zarząd Banku." W rezultacie § 36 ust. 3 otrzymuje brzmienie: "3. Decyzje o użyciu funduszu, o którym mowa w ust.1 podejmuje Zarząd Banku." 21. W § 39 po zdaniu pierwszym dodaje się zdanie drugie w brzmieniu: "Kapitał rezerwowy przeznaczony jest na pokrycie szczególnych strat i wydatków.". Dotychczasowe brzmienie § 39: "§ 39 Kapitał rezerwowy tworzony jest niezależnie od kapitału zapasowego Banku z odpisów z zysku po opodatkowaniu, w wysokości uchwalonej przez Walne Zgromadzenie." W rezultacie § 39 otrzymuje brzmienie: "§ 39 Kapitał rezerwowy tworzony jest niezależnie od kapitału zapasowego Banku z odpisów z zysku po opodatkowaniu, w wysokości uchwalonej przez Walne Zgromadzenie. Kapitał rezerwowy przeznaczony jest na pokrycie szczególnych strat i wydatków." 22. § 40 otrzymuje brzmienie: "§ 40 Decyzję o wykorzystaniu kapitału zapasowego i rezerwowego podejmuje Walne Zgromadzenie.". Dotychczasowe brzmienie § 40: "§ 40 Kapitał rezerwowy przeznaczony jest na pokrycie szczególnych strat i wydatków Banku. W szczególności może być przeznaczony na: 1) pokrycie strat powstałych wskutek realizacji nowatorskich przedsięwzięć zakończonych negatywnym wynikiem, 2) pokrycie innych strat spowodowanych czynnikami obiektywnymi niezależnymi od Banku." 23. W § 42 pkt 3) otrzymuje brzmienie: "3) fundusz ogólnego ryzyka na niezidentyfikowane ryzyko działalności bankowej,", Dotychczasowe brzmienie § 42 pkt 3): "3) fundusz ryzyka ogólnego," 24. § 43 otrzymuje brzmienie: "1. Bank prowadzi rachunkowość zgodnie z Międzynarodowymi Standardami Rachunkowości, Międzynarodowymi Standardami Sprawozdawczości Finansowej oraz związanymi z nimi interpretacjami ogłoszonymi w formie rozporządzeń Komisji Europejskiej. 2. W zakresie nieuregulowanym przepisami, o których mowa w ust. 1, stosuje się odpowiednio krajowe standardy rachunkowości. 3. Politykę rachunkowości Banku określa Zarząd Banku.". 2005-04-29 Report no. 21/2005: Proposals of Amendments to the Bank Charter. The Management Board of ING Bank Śląski S.A. hereby puts into the public domain the proposals of amendments to the Bank Charter, which will be presented to the Ordinary General Shareholders’ Meeting, convened for 9 June 2005. 1. § 2 shall receive the following wording: “The founder of the Bank is the State Treasury.” The existing wording of § 2: “§2 ING Bank Śląski Spółka Akcyjna, hereinafter referred to as the “Bank”, shall be a legal person running its business on the grounds of the regulations of the Banking Law Act, Commercial Companies Code, and some other legal regulations and provisions hereof.” 2. § 6 shall receive the following wording: “The Bank shall be entitled under the FX-regulations to purchase and sell FX-values and intermediate in effecting money transfers and settlements in foreign trade.” The existing wording of § 6: “§6 1. The Bank shall be authorised to perform defined foreign exchange transactions’ activities, and settlements connected thereto. 2. The Bank shall be entitled to possess foreign currency values, and to carry out transactions with them in the scope resulting from the legal regulations in force. 3. The Bank shall be authorised to open and hold bank accounts abroad, and to deposit foreign currency funds in these accounts.” 3. In § 8: a) in sec. 2 item 8) the following words shall be deleted: “and consumer credits and loans”, The existing wording of § 8 sec. 2 item 8): “8) extending cash advances and consumer loans and advances,” Consequently, § 8 sec. 2 item 8) shall receive the following wording: “8) extending cash advances,” b) in sec. 3 item 8) shall be deleted, The existing wording of § 8 sec. 3 item 8): “8) providing money transport services, including their protection,” c) sec. 5 shall be deleted. The existing wording of § 11: “§11 1. The Bank Management Board, upon the permission of the Supervisory Board, shall be authorised to increase- until June 28, 2004 - the Bank initial capital by not more than PLN 69,450,000.00 (sixty nine million four hundred and fifty thousand), i.e. maximally up to the amount of PLN 199,550,000.00 (one hundred ninety nine million five hundred and fifty thousand). 2. The shares issued in the mode defined in this paragraph may be released, pursuant to the Management Board’s decision, in exchange for cash or in-kind contributions. 3. The authorisation referred to in section 1 shall also cover the Management Board’s authority to exclude or limit - upon the permission of the Supervisory Board - the stock right to the shares issued in the mode defined in this paragraph.” 5. § 15 shall receive the following wording: “1. Any matters brought by the Management Board to the Shareholders Meeting should be presented beforehand to the Supervisory Board for their opinion. 2. The shareholders who have the right to request for a given matter to be placed on the agenda of the General Meeting and who wish to submit a motion to be reviewed at the Shareholders Meeting, should submit it in writing to the Bank Management Board who shall present it, together with their opinion, to the Supervisory Board. Upon receiving the opinion of the latter, the Management Board shall include the request in the agenda of the coming General Meeting. 3. The opinion of the Supervisory Board shall not be required on matters concerning members of the Supervisory Board.”. The existing wording of § 15: “§15: “Any matters brought by the Management Board to the Shareholders Meeting should be presented beforehand to the Supervisory Board for their opinion. The shareholders who wish to submit a motion on the Bank’s matters at the Shareholders Meeting, should submit it in writing to the Bank Management Board who shall present it, together with their opinion, to the Supervisory Board.” 6. In § 16 the following sec. 3 shall be added: “A resolution calling for not considering an issue placed on the agenda at the request of authorised shareholders shall be passed by the General Meeting, by a ¾ majority of votes, upon receiving consent of all shareholders attending the meeting who requested considering it.”. 7. In § 19 in item 1) the following words shall be deleted: “, including bonds”. The existing wording of § 19 item 1): “1) issue of bonds, including bonds convertible into the Bank’s shares (convertible bonds),” Consequently, § 19 item 1) shall receive the following wording: “1) issue of bonds convertible into the Bank’s shares (convertible bonds),” 8. In § 20: a) in sec. 1 the following words shall be deleted: “subject to stipulations of sec. 4”, The existing wording of § 20 item 1): “Subject to section 4 herein, the Shareholders Meeting shall appoint the Supervisory Board members in secret balloting”. Consequently, § 20 item 1) shall receive the following wording: “The Shareholders Meeting shall appoint the Supervisory Board members in secret balloting”. b) sec. 2b shall receive the following wording: “2b. Independent Members of the Supervisory Board shall meet the following criteria: 1) they are not and have not been employees of the Bank or affiliated entities during the past 5 years, 2) they are not and have not been employed by the Bank or affiliated entities in the capacity of Management Board members during the past 5 years, 3) they do not receive any other remuneration (except for the one due from the membership in the Supervisory Board) or any other material benefits from the Bank or an affiliated entity, 4) they are not a Bank’s dominant entity or representatives, members of the Management Board, Supervisory Board or employees in managerial positions in the dominant entity, 5) they are not and have not been chartered auditors or employees of the entity rendering the service of the chartered auditor for the benefit of the Bank of affiliated entities during the past 3 years, 6) they do not have and have never had any material business ties with the Bank or the affiliated entity as a partner, related entity, member of its authorities or by holding managerial positions during the past year, 7) they have not been members of the Supervisory Board for longer than 12 years starting from the first assignment, 8) they are not members of the Management Board at another company in which a member of the Bank Management Board holds the function of a Supervisory Board member, 9) they are not and have not been close members of the family of the members of the Management Board or other persons listed in items 1) - 8) herein; the close members of the family comprise a spouse, ascendants and descendants of the first degree, siblings, the son in the law, the daughter in the law and relatives in the same line and of the same degree.”, The existing wording of § 20 sec. 2b: “2b. The following individuals in particular may not be deemed Independent Members: 1) the individual is a Bank shareholder holding 5% or more of the Bank shares, or is a member of the authorities or an employee of such a Bank shareholder being a legal person, 2) he or she has been a member of the Bank Management Board or an employee reporting directly to a member of the Management Board during the past 3 years, 3) he or she receives from the Bank, indirectly or directly, other compensation than the one due to his/ her performance of the Supervisory Board member function, which could have a considerable impact on his/ her taking impartial decisions, 4) he or she is an associate to members of the Supervisory Board or of the Management Board of the Bank, and to individuals listed in items 1 through 3. The following are considered associates: spouse, ascendants, descendants, siblings, relations of the same line and degree, as well as sons-in-law and daughters-in-law. c) sec. 4 shall be deleted. The existing wording of sec. 4: “4. Should a mandate of the Supervisory Board member expire before the term of the whole Supervisory Board, ING Bank N.V. has a right to appoint Supervisory Board members, in the number not exceeding the number of vacant mandates established on the basis of the number of the Supervisory Board members defined by the Shareholders Meeting” 9. After § 22 the following § 22a shall be added: “§22a. 1. To support the Supervisory Board in the performance of its tasks, the Board shall select from among themselves the Audit Committee and the Compliance and Remuneration Committee. 2. The Audit Committee shall support the Supervisory Board in monitoring the correctness and effectiveness of internal audit performed at the Bank and in overseeing the relationships between the Bank and the entity auditing the Bank’s financial reports. 3. The Compliance and Remuneration Committee shall support the Supervisory Board in monitoring the compliance of the actions taken by the Bank with the provisions of the law and ethics, in examining the relationships between the Bank and its subsidiaries and affiliated entities, including the dominant entity, and in overseeing the Bank’s policy on the remuneration and benefits award system. 4. The scope of activity, the composition and mode of operations of the Committees shall be determined by the Supervisory Board. If needed, the Supervisory Board may also establish other Committees.”. 10. In § 24: a) the existing sec. 4 shall be numbered as 5, b) the following sec. 4 shall be added: “4. Resolutions on matters referred to in §25 section 1 items 6), 8) and 10) may not be passed unless approved of by most of the Independent Members attending the meeting.”. 11. In § 25: a) the second sentence of sec. 1 shall receive the following wording: “Apart from the rights and duties arising from the law and provided for in other stipulations hereof, the authority of the Supervisory Board shall include the following:”. The existing wording of § 25 sec. 1: “The Supervisory Board shall hold a permanent supervision over the Bank’s activities in all areas. The authority of the Supervisory Board, besides the rights and duties provided for in the Commercial Companies Code regulations, includes the following:” Consequently, § 20 item 1) shall receive the following wording: “The Supervisory Board shall hold a permanent supervision over the Bank’s activities in all areas. Resolutions on matters referred to in section 1 items 6), 8) and 10) may not be taken unless approved of by at least one Independent Member.” i) the second sentence of sec. 2 shall be deleted. Moreover, the Supervisory Board’s resolutions are required in case of the Bank’s activities referring to other property rights, should their value exceed one-tenth of the Bank’s own funds. However, the Supervisory Board may authorise the Management Board to take decisions on the aforementioned matters without the necessity of obtaining the Supervisory Board’s consent in the scope determined by it.” Consequently, § 25 sec. 2 shall receive the following wording: “2. Moreover, the Supervisory Board’s resolutions are required in case of the Bank’s activities referring to other property rights, should their value exceed one-tenth of the Bank’s own funds.” j) in sec. 3 after the word “real property” the words “or the usufruct rights” shall be added, The existing wording of § 25 sec. 3: “3. Stipulations of section 2 herein refer also to the purchase and sale of a real property or share in the real property; the resolution of the Shareholders Meeting is not required in these cases.” Consequently, § 25 sec. 3 shall receive the following wording: “3. The existing wording of § 25 sec. 4: “4. For material reasons, the Supervisory Board may suspend the Bank Management Board Member from fulfilling his/ her functions.” 12. In § 26 sec. 1 shall receive the following wording: “The Bank Management Board consists of three to eight members: the President and Vice Presidents. At the request of the President of the Management Board, the Supervisory Board may designate one of the Vice-Presidents to perform the function of the 1st Vice-President.”, The existing wording of § 26 sec. 1: “1. The Bank Management Board consists of three to eight members: the President and Vice Presidents, including the 1st Vice President.” 13. In § 28 a) sec. 1 shall be deleted The existing wording of § 28 sec. 1: “1. The Management Board shall act collectively with the reservation of issues which appropriately to the stipulations of the Management Board By-law or the Organisational By-law may be assigned to particular Management Board members.” b) in sec. 4 the words “as well as the detailed scope and”, shall be superseded by the words “the scope of affairs requiring a resolution of the Management Board and”. The existing wording of § 28 sec. 4: “4. The organisation of Management Board’s works as well as the detailed scope and mode of functioning shall be specified in the Management Board By-law resolved by the Management Board and approved by the Supervisory Board.” Consequently, § 28 sec. 4 shall receive the following wording: “4. The organisation of Management Board’s works, the scope of affairs requiring a resolution of the Management Board and mode of functioning shall be specified in the Management Board By-law resolved by the Management Board and approved by the Supervisory Board.” 14. In § 29 the existing text shall be denoted as sec. 1 and the following sec. 2-4 shall be added: “2. The Management Board shall act collectively with the reservation of issues which appropriately to the stipulations of the Management Board By-law or the Organisational By-law may be assigned to particular Management Board members. 3. As part of activities entrusted to the Management Board and referred to in section 2: 1) the President of the Management Board shall be responsible in particular for the internal audit and the management of human resources, 2) Vice-President of the Management Board whose appointment requires permission of the Banking Supervision Commission shall be responsible in particular for the management of retail banking. 4. Furthermore, the President of the Bank Management Board: 1) has charge of the Management Board operations, plans work and activities and chairs meetings of the Management Board, 2) represents the Management Board before the General Shareholders Meeting and the Supervisory Board.”. 15. § 30 shall receive the following wording: “Decisions shall be taken at the Bank in the following manner: 1) decisions in matters reserved for the General Meeting shall be taken in the form of resolutions of the General Meeting, 2) decisions in matters reserved for the Supervisory Board shall be in the form of resolutions of the Supervisory Board, 3) decisions in matters, in case of which joint action of the Management Board is required under the Organisational Bylaw and under the Management Board Bylaw, shall be in the form of resolutions of the Management Board, 4) decisions in matters, in case of which joint action of the Management Board is not required, and which have been referred for decision at the discretion of the individual members of the Management Board because they are within the scope of their powers, shall be in the form of a decision of a member of the Management Board; however, the Management Board may determine by way of resolution matters in which decisions are to be taken by at least two members of the Management Board, 5) decisions in matters that were referred by the Management Board to be taken by the competent Committee shall be in the form of resolutions of that Committee, 6) decisions in matters that are not reserved for the Management Board, members of the Management Board or a competent Committee shall be in the form of a decision of a director on the appropriate level within the scope of powers s/he has been assigned.”. Furthermore, internal regulations on matters that have not been reserved for the Management Board or for the individual members of the Management Board may also be issued based on the resolutions of the competent Committee or on the decisions of the director on the appropriate level within the scope of powers s/he has been assigned.”. 17. The existing wording of § 32: “§32 “The internal organisation of the Bank shall be defined by the Organisational By-law adopted by the Management Board and approved by the Supervisory Board.” Consequently, § 32 shall receive the following wording: 1. The organisational structure of the Bank is as follows: 1) the Head Office with: a) organisational units, including Departments, Centres, Bureaus, Sections, b) other organisational forms, including Divisions, Committees, and Projects. 2) Branches grouped in Regions and Areas, divided into the Wholesale Network and the Retail Network in terms of functions.”. 2. Detailed internal organisation of the Bank shall be defined by the Organisational By-law adopted by the Management Board and approved by the Supervisory Board.” 18. § 34 shall receive the following wording: 1. There shall be an Internal Audit System active in the Bank to support decision-taking processes and help ensure: a) efficiency and effectiveness of the Bank’s operations, b) reliability of financial reporting, c) compliance of the Bank’s operations with the provisions of the law and internal regulations. 2. The Internal Audit System at the Bank shall operate according to the following principles: 1) the institutional control to be performed by a separate specialised organisational unit of the internal audit, 2) the functional control to be performed by each employee in regard to the duties he or she performs, and by his/ her immediate superior and co-workers. 3. The Internal Audit System shall be developed and introduced by the Bank Management Board who shall be also responsible for its proper operations. The Supervisory Board shall have oversight of the System, and furthermore it shall assess its adequacy and efficiency. The head of the internal audit organisational unit shall report directly to the President of the Management Board. Decisions to appoint or recall the head of the internal audit organisational unit shall be accepted by the Supervisory Board. 4. Detailed principles of internal audit shall be defined in the bylaw resolved by the Bank Management Board and approved by the Supervisory Board.”. The existing wording of § 34: “§34 1. There shall be an internal audit active in the Bank that shall investigate the legality and correctness of the business carried out by the Bank as well as the correctness and reliability of the financial statements being submitted. 2. Detailed principles of internal audit shall be defined by the Bank Management Board.” 19. In § 35 in sec. 2: a) w item 1) before thee existing text the words “paid in and registered” shall be added, The existing wording of § 35 sec. 2 item 1): “1) initial capital,” Consequently, § 35 sec. 2 item 1) shall receive the following wording: “1) paid in and registered initial capital,” b) item 4 shall receive the following wording: “4) general risk fund for unidentified risk related to banking activity”, The existing wording of § 35 sec. 2 item 4): “4) general risk fund,” c) the following item 6 shall be added: “6) profit in the approval process and net profit of the current reporting period calculated pursuant to accounting standards in force, upon including limitations arising from the Banking Law.”. 20. In § 36: a) sec. 1 shall receive the following wording: “1. The general risk fund for the unidentified risk related to banking activity shall be established pursuant to the Banking Law Act.”, The existing wording of § 36 sec. 1: “1. The general risk fund shall be established pursuant to the Banking Law Act.” b) in sec. 3 the words: “general risk” shall be superseded by the words: “as mentioned under sec. 1”. The existing wording of § 36 sec. 3: “3. A decision to make use of the general risk fund shall be taken by the Bank Management Board.” Consequently, § 36 sec. 3 shall receive the following wording: “3. A decision to make use of the fund, as mentioned under sec. 1 shall be taken by the Bank Management Board.” 21. In § 39 after the first sentence the following second one shall be added: “The reserve capital shall be used to cover specific losses and expenditures.” The existing wording of § 39: “§39 Reserve capital is established independent of the statutory provision of the Bank out of the write-offs from the profit after taxes, in the amount resolved by the General Shareholders Meeting.” Consequently, § 39 shall receive the following wording: “§39 Reserve capital is established independent of the statutory provision of the Bank out of the write-offs from the profit after taxes, in the amount resolved by the General Shareholders Meeting. The reserve capital shall be used to cover specific losses and expenditures.” 22. § 40 shall receive the following wording: “The decision on the use of the reserve capital shall be taken by the General Meeting.”. The existing wording of § 40: “§40 Reserve capital shall be allocated for the purpose of covering special losses and expenses of the Bank. In particular, it may be allocated for the following: 1) covering losses originating from the implementation of the innovative projects concluded with a negative result; 2) covering other losses caused by the objective factors that are beyond the Bank’s control.” 23. In § 42 item 3) shall receive the following wording; “3) general risk fund for an unidentified risk related to banking activity,”, The existing wording of § 42 item 3): “3) general risk fund,” 24. § 43 shall receive the following wording: “1. The Bank shall keep the accounting in compliance with the International Accounting Standards, International Financial Reporting Standards and related interpretations published in the form of regulations of the European Commission. 2. For the cases not governed by the stipulations mentioned under sec. 1, the Polish Accounting Standards shall be applied accordingly. 3. The Accounting Policy of the Bank shall be determined by the Bank Management Board.”. The existing wording of § 43: “§43 The Bank shall keep the accounting in compliance with the regulations in force. The accounting shall be kept in accordance with the chart of accounts.
