| Management Board of Gi Group Poland S.A. with its registered office in Warsaw (hereinafter referred to as: the "Company" or "Issuer"), with reference to: • current report no. 29/2021 of 01/06/2021 on the conclusion by the Issuer of an agreement to acquire the company Gi Group Sp. z o.o. based in Katowice, and • current report no. 49/2021 of 13/09/2021 on the commencement of talks on the modification of the method of payment for the purchase of shares in Gi Group Sp. z o.o. based in Katowice, hereby informs about the completion of talks on the modification of the method of payment for the acquisition of shares in the company Gi Group Sp. z o.o. with its registered office in Katowice, resulting in the submission by the Management Board of the Company, in the manner provided for in the Share Purchase Agreement, to the Sellers of a change in the method of payment of the Purchase Price from the Conversion of the Purchase Price into Shares to Payment in Cash. As a result, today the total Purchase Price in the amount of PLN 23,700,000 has been paid to the bank accounts indicated by the Sellers. The Management Board of the Issuer further informs that – after taking into account the payment of the Purchase Price set out above – as of today, the total financial debt owed by the issuer’s Group to Gi International s.r.l. amounts to approximately PLN 144,000,000.00 of which approximately PLN 103,500,000.00 becomes due and payable in 2022. In addition, the Management Board of the Issuer informs that the issuer’s Group has other long term payment commitments to public institutions, i.e. Social Insurance Institution, Tax Office and State Fund for the Rehabilitation of the Disabled, for a total amount of approximately PLN 122,600,000.00 – these amounts resulted from the rescheduling of debt of the Issuer existing at time of the acquisition of the Issuer’s shares by Gi International S.r.l. - of which PLN 29,600,000 becomes due and payable in 2022. As a result of the analysis, the Issuer decided that it is justified to classify the above-mentioned information as confidential information within the meaning of Art. 17 sec. 1 of MAR, subject to publication in the form of this report.
