| Działając zgodnie z art. 70 ust. 1 ustawy z dnia 29 lipca 2005 r. o ofercie publicznej i warunkach wprowadzania instrumentów finansowych do zorganizowanego systemu obrotu oraz o spółkach publicznych Zarząd ENEA S.A. informuje, że w dniu 16 listopada 2010 r. otrzymał zawiadomienie o następującej treści: "Działając na podstawie art. 69 ustawy z dnia 29 lipca 2005 r. o ofercie publicznej i warunkach wprowadzania instrumentów finansowych do zorganizowanego systemu obrotu oraz o spółkach publicznych (Dz. U. z 2009 r., Nr 185, poz. 1439 z późn. zmianami), Minister Skarbu Państwa Rzeczypospolitej Polskiej niniejszym zawiadamia, iż wystąpiły okoliczności wskazane w art. 69 ust. 2 pkt 2 ustawy o ofercie. Data i rodzaj zdarzenia powodującego zmianę udziału, której dotyczy zawiadomienie. Zbycie 4.969.462 akcje (słownie: cztery miliony dziewięćset sześćdziesiąt dziewięć tysięcy czterysta sześćdziesiąt dwa), stanowiących 1,13 % (słownie: jeden i trzynaście setnych) udziału w kapitale zakładowym ENEA S.A. nastąpiło w okresie od 2 listopada 2010 r. do 5 listopada 2010 r. w wyniku zawarcia przez Skarb Państwa umów zbycia akcji ENEA S.A. z uprawnionymi pracownikami i ich spadkobiercami, zgodnie z postanowieniami ustawy z dnia 30 sierpnia 1996 r. o komercjalizacji i prywatyzacji oraz ustawy z dnia 7 września 2007 r. o zasadach nabywania od Skarbu Państwa akcji w procesie konsolidacji spółek sektora energetycznego. OGÓLNA LICZBA AKCJI (tj. dane uwzględniające akcje imienne i akcje na okaziciela posiadane przez Skarb Państwa w kapitale zakładowym ENEA S.A.) Liczba akcji posiadanych przed zmianą udziału i ich procentowy udział w kapitale zakładowym spółki oraz liczba głosów z tych akcji i ich procentowy udział w ogólnej liczbie głosów: (a) liczba akcji posiadanych przez Skarb Państwa w kapitale zakładowym ENEA S.A. przed zmianą objętą niniejszym zawiadomieniem wynosiła 243.281.142, (b) procentowy udział akcji, o których mowa w pkt (a) powyżej w kapitale zakładowym ENEA S.A. wynosił 55,11 %, (c) liczba głosów przysługujących z akcji wskazanych w pkt (a) wynosiła 243.281.142, (d) procentowy udział głosów, o których mowa w pkt (c) w ogólnej liczbie głosów wynosił 55,11 %. Liczba aktualnie posiadanych akcji i ich procentowy udział w kapitale zakładowym spółki oraz liczba głosów z tych akcji i ich procentowy udział w ogólnej liczbie głosów: (a) liczba akcji aktualnie posiadanych przez Skarb Państwa w kapitale zakładowym ENEA S.A. (tj. po zmianie objętej niniejszym zawiadomieniem) wynosi 238.311.680, (b) procentowy udział akcji, o których mowa w pkt (a) powyżej w kapitale zakładowym ENEA S.A. wynosi 53,98 %, (c) liczba głosów przysługujących z akcji wskazanych w pkt (a) wynosi 238.311.680, (d) procentowy udział głosów, o których mowa w pkt (c) w ogólnej liczbie głosów wynosi 53,98 %. AKCJE IMIENNE (tj. dane uwzględniające wyłącznie akcje imienne posiadane przez Skarb Państwa w kapitale zakładowym ENEA S.A.) Liczba akcji imiennych posiadanych przed zmianą udziału i ich procentowy udział w kapitale zakładowym spółki oraz liczba głosów z tych akcji i ich procentowy udział w ogólnej liczbie głosów: (a) liczba akcji imiennych posiadanych przez Skarb Państwa w kapitale zakładowym ENEA S.A. przed zmianą objętą niniejszym zawiadomieniem wynosiła 18.145.202, (b) procentowy udział akcji, o których mowa w pkt (a) powyżej w kapitale zakładowym ENEA S.A. wynosił 4,11 %, (c) liczba głosów przysługujących z akcji wskazanych w pkt (a) wynosiła 18.145.202, (d) procentowy udział głosów, o których mowa w pkt (c) w ogólnej liczbie głosów wynosił 4,11 %. Liczba aktualnie posiadanych akcji imiennych i ich procentowy udział w kapitale zakładowym spółki oraz liczba głosów z tych akcji i ich procentowy udział w ogólnej liczbie głosów: (a) liczba akcji imiennych aktualnie posiadanych przez Skarb Państwa w kapitale zakładowym ENEA S.A. (tj. po zmianie objętej niniejszym zawiadomieniem) wynosi 13.175.740, (b) procentowy udział akcji, o których mowa w pkt (a) powyżej w kapitale zakładowym ENEA S.A. wynosi 2,98 %, (c) liczba głosów przysługujących z akcji wskazanych w pkt (a) wynosi 13.175.740, (d) procentowy udział głosów, o których mowa w pkt (c) w ogólnej liczbie głosów wynosi 2,98 %. AKCJE NA OKAZICIELA (tj. dane uwzględniające wyłącznie akcje na okaziciela posiadane przez Skarb Państwa w kapitale zakładowym ENEA S.A.) Liczba akcji na okaziciela posiadanych przez Skarb Państwa przed zmianą udziału, ich procentowy udział w kapitale zakładowym spółki oraz liczba głosów z tych akcji i ich procentowy udział w ogólnej liczbie głosów nie zmieniła się, w związku z czym w konsekwencji: (a) liczba akcji posiadanych przez Skarb Państwa w kapitale zakładowym ENEA S.A. przed zmianą i po zmianie objętej mniejszym zawiadomieniem wynosi 225.135.940, (b) procentowy udział akcji, o których mowa w pkt (a) powyżej w kapitale zakładowym ENEA S.A. wynosi 51 %, (c) liczba głosów przysługujących z akcji wskazanych w pkt (a) wynosi 225.135.940, (d) procentowy udział głosów, o których mowa w pkt (c) w ogólnej liczbie głosów wynosi 51 %." | ||||||||||||

Subject: Notification regarding a change of the State Treasury’s share in the total number of ENEA S.A. voting rights Legal basis: Article 70 par. 1 of the Act on Public Offerings - acquisition or disposal of substantial blocks of shares Content of report: Acting pursuant to Article 70 par. 1 of the Act on Public Offerings and the Conditions for Introducing Financial Instruments to the Organised Trading System and on Public Companies of 29 July 2005, the Issuer announces that, on 16 November 2010, it received the following notification: “Acting pursuant to Article 69 of the Act on Public Offerings and the Conditions for Introducing Financial Instruments to the Organised Trading System and on Public Companies of 29 July 2005 (Journal of Laws of 2009, No. 185, item 1439, as amended), the Minister of the State Treasury of the Republic of Poland hereby announces that circumstances indicated in Article 69 par. 2 pt. 2 of the Act on Offerings have arisen. Date and type of circumstance causing a change in the shareholding to which the notification refers. The sale of 4,969,462 (in words: four million nine hundred sixty-nine thousand four hundred sixty-two) shares, constituting 1.13 per cent (in words: one and thirteen hundredths per cent) of the share capital of ENEA S.A., took place in the period between 2 November 2010 and 5 November 2010 as a result of the State Treasury’s conclusion of agreements for the sale of ENEA S.A. shares with entitled employees and their heirs, pursuant to the provisions of the Commercialisation and Privatisation Act of 30 August 1996 and the Act on the Rules of Purchasing Shares from the State Treasury During the Process of Consolidating Power Industry Companies of 7 September 2007. TOTAL NUMBER OF SHARES (i.e. data including registered shares and bearer shares held by the State Treasury in the share capital of ENEA S.A.) The number of shares held before the change in the shareholding and their percentage share in the company’s share capital, as well as the number of voting rights attached to those shares and their percentage share in the total number of voting rights: (a) the total number of shares held by the State Treasury in the share capital of ENEA S.A. before the change covered by this notification amounted to 243,281,142. (b) the percentage share of the shares referred to in item (a) above in the share capital of ENEA S.A. amounted to 55.11 per cent. (c) the number of voting rights attached to the shares indicated in item (a) amounted to 243,281,142. (d) the percentage share of the voting rights referred to in item (c) in the total number of voting rights amounted to 55.11 per cent. The number of shares currently held and their percentage share in the company’s share capital, as well as the number of voting rights attached to those shares and their percentage share in the total number of voting rights: (a) the total number of shares currently held by the State Treasury in the share capital of ENEA S.A. (i.e. after the change covered by this notification) amounts to 238,311,680. (c) the number of voting rights attached to the shares indicated in item (a) amounted to 18,145,202. (i.e. after the change covered by this notification) amounts to 13,175,740. (b) the percentage share of the shares referred to in item (a) above in the share capital of ENEA S.A. amounts to 2.98 per cent. (c) the number of voting rights attached to the shares indicated in item (a) amounts to 13,175,740. (d) the percentage share of the voting rights referred to in item (c) in the total number of voting rights amounts to 2.98 per cent. BEARER SHARES (i.e. data regarding only bearer shares held by the State Treasury in the share capital of ENEA S.A.) The number of bearer shares held before the change in the shareholding and their percentage share in the company’s share capital, as well as the number of voting rights attached to those shares and their percentage share in the total number of voting rights has not changed, and as a result: (a) the number of bearer shares held by the State Treasury in the share capital of ENEA S.A. before and after the change covered by this notification amounted to 225,135,940. (b) the percentage share of the shares referred to in item (a) above in the share capital of ENEA S.A. amounts to 51 per cent. (c) the number of voting rights attached to the shares indicated in item (a) amounts to 225,135,940. (d) the percentage share of the voting rights referred to in item (c) in the total number of voting rights amounts to 51 per cent.” | |||
