| Zarząd Banku BGŻ BNP Paribas S.A. („Bank”), niniejszym informuje, że Nadzwyczajne Walne Zgromadzenie Banku w dniu 24 sierpnia 2018 roku powołało pana Michela Falvert oraz pana Stéphane Vermeire na członków Rady Nadzorczej Banku do końca bieżącej pięcioletniej wspólnej kadencji członków Rady Nadzorczej zgodnie z § 16 ust.1 Statutu Banku. Poniżej Bank przekazuje informacje o kwalifikacjach i doświadczeniach zawodowych nowo powołanych członków Rady Nadzorczej Banku. Michel Falvert Ukończył ekonomię i statystykę na École Nationale de la Statistique et de l'Administration Economique (ENSAE), absolwent ESSEC Business School w Cergy we Francji. Karierę zawodową rozpoczął w 1989 r. w Crédit Commercial de France (CCF). W 1990 r. pracował jako analityk w Centrum Badań i Monitorowania Standardów Życia (CRÉDOC). W latach 1992-1997 doradca strategiczny w Bossard-Gemini Consulting, specjalizujący się w analizie strategicznej i marketingu. W latach 1998-2002 dyrektor ds. inwestycji Private Equity w Paribas Affaires Industrielles (PAI). Następnie kontynuował karierę w ramach Grupy BNP Paribas jako kierownik projektu „Basel II” obejmującego szereg spółek Grupy, po czym został powołany na stanowisko zastępcy dyrektora ds. Rozwoju Bankowości Korporacyjnej. Od września 2014 r. dyrektor Departamentu Kluczowych Partnerów i członek komitetu wykonawczego BNP Paribas Personal Finance. Zasiada w radach nadzorczych spółek: • Opel Bank, • Effico, • Domofinance, • Carrefour Banque, • Axa Banque Financement, • Leval 20, • UCI (Hiszpania), • Cetelem Bank (Rosja), • SFC (Hiszpania). W oparciu o złożone oświadczenie stwierdzić należy, iż Pan Michel Falvert nie prowadzi innej działalności konkurencyjnej w stosunku do Banku, nie jest wspólnikiem w spółce konkurencyjnej w stosunku do Banku, ani nie jest członkiem organu spółki kapitałowej konkurencyjnej wobec Banku oraz nie jest członkiem organu jakiejkolwiek innej osoby prawnej konkurencyjnej wobec Banku. Ponadto Pan Michel Falvert nie został wpisany do Rejestru Dłużników Niewypłacalnych. Pan Michel Falvert spełnia wymogi wynikające z art. 22aa Ustawy z dnia 29 sierpnia 1997 r. Prawo bankowe (z późn. zm.). Stéphane Vermeire Absolwent Solvay Business School w Brukseli, magister zarządzania w Kellogg Graduate School of Management, Northwestern University w Chicago. Karierę zawodową rozpoczął w 1994 r. w belgijskim biurze McKinsey & Company i od tego czasu pozostaje związany z sektorem bankowym. W latach 2001-2012 związany z grupą Dexia, gdzie piastował stanowiska: kierownika rozwoju sprzedaży w Dexia Asset Management, doradcy zarządu i dyrektora ds. projektów, strategii i spółek zależnych w Dexia Bank w Belgii, dyrektora ds. strategii i rozwoju grupy w Dexia SA i członka zarządu Dexia Credit Local, zarządzającego bankowością publiczną i hurtową. Od 2013 r. związany z BNP Paribas Fortis, gdzie pełnił funkcję dyrektora generalnego odpowiadającego za bankowość prywatną i zarządzanie aktywami oraz członka komitetu wykonawczego BNP Paribas Wealth Management Group. W grudniu 2015 r. został członkiem komitetu wykonawczego BNP Paribas Fortis, a od kwietnia 2018 r. pełni również funkcję członka zarządu BNP Paribas Fortis. W oparciu o złożone oświadczenie stwierdzić należy, iż Pan Stéphane Vermeire nie prowadzi innej działalności konkurencyjnej w stosunku do Banku, nie jest wspólnikiem w spółce konkurencyjnej w stosunku do Banku, ani nie jest członkiem organu spółki kapitałowej konkurencyjnej wobec Banku oraz nie jest członkiem organu jakiejkolwiek innej osoby prawnej konkurencyjnej wobec Banku. Ponadto Pan Stéphane Vermeire nie został wpisany do Rejestru Dłużników Niewypłacalnych. Pan Stéphane Vermeire spełnia wymogi wynikające z art. 22aa Ustawy z dnia 29 sierpnia 1997 r. The Management Board of Bank BGŻ BNP Paribas S.A. (“the Bank”), hereby announces that the Bank’s Extraordinary General Meeting held on 24 August 2018 (“EGM”) appointed Mr. Michel Falvert and Mr. Stéphane Vermeire as members of the Bank’s Supervisory Board until the end of the current 5-year term, pursuant to § 16 item 1 of the Bank’s Articles of Association. Hereby the Bank discloses information on the expertise and professional experience of the newly appointed Members of the Bank’s Supervisory Board.
Mr. Michel Falvert Graduated from École Nationale de la Statistique et de l'Administration Economique (ENSAE – MSc. In Statistics and Economics ) and from ESSEC Business School, Cergy, France. Michel Falvert began his professional career in 1989 in Crédit Commercial de France (CCF). In 1990 he became a research analyst in Research Centre for the Study and Monitoring of Living Standards (CRÉDOC). From 1992 to 1997 he was employed as manager consultant in Bossard-Gemini Consulting, specializing in strategic analysis and marketing. Between 1998 and 2002 he worked as Investment Director in Private Equity in Paribas Affaires Industrielles (PAI). Then he continued his career in BNP Paribas Group as Head of “Basel II” project for several BNP Paribas subsidiaries. Subsequently he was appointed as Deputy Head of BNP Paribas Corporate Development. Since September 2014 he holds the position of Head of Key Partners Department and member of the Executive Committee of BNP Paribas Personal Finance. He serves as Board Member of • Opel Bank, • Effico, • Domofinance, • Carrefour Banque, • Axa Banque Financement, • Leval 20, • UCI (Spain), • Cetelem Bank (Russia), • SFC (Spain). On the basis of the representation submitted, it should be stated that Michel Falvert neither runs any other activity competitive to the Bank nor is a partner in any company competitive to the Bank nor is a member of a body of any company competitive to the Bank nor is a member of a body of any other legal entity competitive to the Bank. Furthermore, Michel Falvert has not been entered into the Register of Insolvent Debtors. Michel Falvert meets requirements of Article 22aa of the Banking Law Act dated 29 August 1997 (as amended).
Mr. Stéphane Vermeire Graduated from the Solvay Business School in Brussels, Belgium (MSc. in Business Administration and Commercial Engineering) and from the J.L. Kellogg Graduate School of Management at Northwestern University in Chicago, USA (MSc. in Management). Stéphane Vermeire began his professional career in 1994 at McKinsey & Company in Belgium and has worked in the banking industry ever since. From 2001 to 2012 he successively held different positions at Dexia Group. First, he was Senior Business Development Manager in Dexia Asset Management, then in turn Advisor to the Management Board and Head of Projects, Strategy and Subsidiaries and Member of the Group Personal Financial Services Management Board in Dexia Bank Belgium. After that, he was appointed Head of Group Strategy & Development in Dexia SA and lastly he became Head of Public & Wholesale Banking International and Member of the Management Board in Dexia Credit Local. In 2013 he started to work for BNP Paribas Fortis as General Manager Private Banking & Wealth Management and Member of the Executive Committee BNP Paribas Wealth Management Group. In December 2015 he was appointed Member of the BNP Paribas Fortis Executive Committee and since April 2018 he is also Member of the BNP Paribas Fortis Executive Board. On the basis of the representation submitted, it should be stated that Stéphane Vermeire neither runs any other activity competitive to the Bank nor is a partner in any company competitive to the Bank nor is a member of a body of any company competitive to the Bank nor is a member of a body of any other legal entity competitive to the Bank.
Furthermore, Stéphane Vermeire has not been entered into the Register of
Insolvent Debtors. Stéphane Vermeire meets requirements of Article 22aa
of the Banking Law Act dated 29 August 1997 (as amended).
