| W nawiązaniu do RB 124/2014 z dnia 09.12.2014 r., RB 126/2014 z dnia 10.12.2014 r. oraz RB 127/2014 z dnia 11.12.2014 r., Zarząd AmRest Holdings SE ("AmRest", "Spółka") informuje o zawarciu w dniu 9 kwietnia 2015 roku transakcji zbycia 4 150 akcji własnych uprawnionym uczestnikom programu opcji menadżerskich. Rozliczenie transakcji nastąpiło dnia 9 kwietnia 2015 roku. Szczegółowe informacje dot. zbytych akcji: 1) Cena zbytych akcji: - 70,00 PLN – 880 akcji; - 81,00 PLN – 150 akcji; - 0,00 PLN – 3 120 akcji. Akcje zostały przekazane nieodpłatnie w wyniku wykonania 9 266 opcji (2 440 nadanych po cenie 70,00 PLN, 1 616 nadanych po cenie 78,00 PLN, 210 nadanych po cenie 81,00 PLN, 3 000 nadanych po cenie 86,00 PLN oraz 2 000 nadanych po cenie 96,50 PLN), które zostały rozliczone netto zgodnie z metodą opisaną w pkt. 7.1 a) Regulaminu Pracowniczego Planu Opcji Akcyjnych przyjętego uchwałą nr 3/11/2014 Rady Nadzorczej AmRest Holdings SE z dnia 20 listopada 2014 r. 2) Wartość nominalna każdej akcji: EUR 0,01, 3) Zbyte akcje stanowią łącznie 0,0196% kapitału zakładowego Spółki czyli 4 150 głosy na Walnym Zgromadzeniu Spółki, 4) Po dokonaniu transakcji AmRest posiada 58 663 akcje czyli 58 663 głosy na Walnym Zgromadzeniu Spółki, stanowiących 0,2765% ogólnej liczby głosów w Spółce. | ||||||||||||

| RB 40/2015 Disposal of AmRest shares related to the exercise of stock options plan;In regards to RB 124/2014 dated 09.12.2014, RB 126/2014 dated 10.12.2014 and RB 127/2014 dated 11.12.2014, the Management Board of AmRest Holdings SE (“AmRest”, “the Company”) informs that on April 9th, 2015 the Company disposed 4 150 own shares to entitled participants of the incentive management stock options plan. The settlement date of the transaction was April 9th, 2015.;The detailed information regarding the transaction:;1) The price of sold shares:;- PLN 70.00 – 880 shares;;- PLN 81.00 – 150 shares;;- PLN 0.00 - 3 120 shares. The shares were transferred free of charge as a result of exercising 9 266 options (2 440 granted at the price of PLN 70.00, 1 616 granted at the price of PLN 78.00, 210 granted at the price of PLN 81.00, 3 000 granted at the price of PLN 86.00 and 2 000 granted at the price of PLN 96.50), that were settled at the intrinsic value in accordance with a settlement method described in p. 7.1 a) of Employee Stock Option Plan Rules adopted by resolution no 3/11/2014 of the Supervisory Board of AmRest Holdings SE of November 20th, 2014.;2) The nominal value: EUR 0.01 for each share,;3) The total number of shares sold by AmRest represents 0.0196% of the Company’s registered capital being 4 150 votes on the AGM of AmRest,;4) After the transactions AmRest owns 58 663 of its own shares, 58 663 votes on the AGM of AmRest, being 0.2765% in the total number of votes.;Legal act: Art. 56 Sec. 1 Point 2 of Act on public offering, conditions governing the introduction of financial instruments to organized trading and public companies dated July 29th 2005 | |||
