| The Board of Directors of KSG Agro S.A. (the "Company") announces that the Company has signed a Guarantee Agreement with ALFA-BANK (the “Bank") organised under the laws of Ukraine, whose registered office is at 4/6 Desiatynna Street, Kyiv, 01001, Ukraine, with identification code 23494714. The Guarantee Agreement was signed to secure the obligations of the Company’s Subsidiaries according to the Loan agreements concluded between them and the Bank: - AGROTRADE Limited Liability Company, a company organised and registered in accordance with the laws of Ukraine, having its registered office at 49000, Ukraine, Dnipropetrovsk, 40 Komsomolska str., with identification code 32075365 - a facility agreement series КД№28-МВ/12 dated April 27, 2012, for provision to AGROTRADE of facilities in amount up to UAH 30 000 000 (thirty millions Ukrainian Hryvnias); - Factor D Limited Liability Company, a company organised and registered in accordance with the laws of Ukraine, having its registered office at 49000, Ukraine, Dnipropetrovsk, 40B Komsomolska str., with identification code 36532151 - a facility agreement series КД №30-МВ/12 dated April 27, 2012, for provision to Factor D of facilities in amount up to UAH 20 000 000 (twenty millions Ukrainian Hryvnias); Legal grounds: Article 56.1 of Polish Act of 29 July 2005 on Public Offering, Conditions Governing the Introduction of Financial Instruments to Organized Trading, and Public Companies, and Article 14 of the Luxembourg law of 11 January 2008 relating to the transparency requirements in relation to information about issuers whose securities are admitted to trading on a regulated market. | |||||||||||
