| Zarząd Banku BGŻ BNP Paribas S.A. („Bank”) informuje, że dnia 19 marca 2018 r. powział informację o zarejestrowaniu przez Sąd Rejonowy dla m. st. Warszawy w Warszawie, XII Wydział Gospodarczy Krajowego Rejestru Sądowego zmian Statutu Banku, przyjętych przez Nadzwyczajne Walne Zgromadzenie Banku w dniu 23 stycznia 2018 r. Jednocześnie, w załączeniu, Bank przekazuje tekst jednolity Statutu Banku, uwzględniający zmiany zarejestrowane przez Sąd w dniu 19 marca 2018 r. Informacja o zarejestrowanych zmianach Statutu, o czym mowa powyżej: § 5 ust. 3 punkt 15) Statutu Banku BGŻ BNP Paribas S.A. otrzymuje następujące brzmienie: „15) świadczenie usług faktoringowych,” § 27 ust. 1 Statutu Banku BGŻ BNP Paribas S.A. otrzymuje następujące brzmienie: „1. Jednostkami organizacyjnymi Banku są: 1) Centrala Banku, w skład której wchodzą: obszary, piony, biura, departamenty, zespoły, 2) oddziały, 3) biuro maklerskie, 4) inne jednostki organizacyjne, określone w regulaminie, o którym mowa w ust. 2, 5) przedstawicielstwa i oddziały zagraniczne.” § 33 Statutu Banku BGŻ BNP Paribas S.A. otrzymuje następujące brzmienie: „1. Przepisy wewnętrzne Banku są wydawane w następujących formach: 1) Uchwał Walnego Zgromadzenia, 2) Uchwał Rady Nadzorczej, 3) Uchwał Zarządu Banku, 4) Pism okólnych członków Zarządu Banku, 5) Pism okólnych dyrektorów wykonawczych i zarządzających Banku, 6) Pism okólnych osób upoważnionych przez Prezesa Zarządu Banku, 7) Pism okólnych dyrektorów podstawowych komórek organizacyjnych Centrali Banku, 8) Regulaminów organizacyjnych jednostek organizacyjnych Banku wydawanych przez dyrektorów jednostek organizacyjnych Banku, 9) Regulaminów wewnętrznych wydawanych przez dyrektorów wykonawczych i zarządzających Banku lub dyrektorów podstawowych komórek organizacyjnych Centrali Banku. 2. Kompetencje do wydawania przepisów wewnętrznych przysługują: 1) Walnemu Zgromadzeniu – w zakresie określonym przepisami prawa i postanowieniami statutu Banku, 2) Radzie Nadzorczej – w zakresie określonym przepisami prawa i postanowieniami statutu Banku, 3) Zarządowi Banku – w zakresie określonym przepisami prawa, w tym także do wydawania w formie uchwał wzorów umów, ogólnych warunków umów, regulaminów, za wyjątkiem regulaminów promocji i konkursów, a także polityk i metodyk, o ile postanowienia statutu Banku nie stanowią inaczej, 4) członkowi Zarządu Banku – w odniesieniu do obszarów zarządzanych przez danego członka Zarządu określonych w strukturze organizacyjnej Banku, w tym do wydawania wzorów druków i formularzy, instrukcji operacyjnych, procedur oraz instrukcji służbowych, taryf prowizji i opłat, tabeli oprocentowania, regulaminów promocji i konkursów, a także polityk i metodyk w zakresie określonym w uchwale, o której mowa w ust. 3, 5) dyrektorom wykonawczym i zarządzającym Banku – w odniesieniu do pionów nadzorowanych przez danego dyrektora wykonawczego lub zarządzającego określonych w strukturze organizacyjnej Banku, w tym do wydawania wzorów druków i formularzy, procedur oraz instrukcji służbowych, 6) dyrektorowi jednostki organizacyjnej Banku – w zakresie wydawania regulaminu organizacyjnego jednostki organizacyjnej Banku, 7) dyrektorowi podstawowej komórki organizacyjnej Centrali Banku – w zakresie wydawania przepisów wewnętrznych w formie pism okólnych oraz regulaminu organizacyjnego podstawowej komórki organizacyjnej Centrali Banku. 3. Szczegółowe zasady i tryb opracowywania, opiniowania, wydawania (w tym zatwierdzania) i rozpowszechniania przepisów wewnętrznych w Banku określa uchwała Zarządu Banku.” Podstawa prawna § 38 ust. 1 pkt 2 rozporządzenia Ministra Finansów z 19 lutego 2009 r. w sprawie informacji bieżących i okresowych przekazywanych przez emitentów papierów wartościowych oraz warunków uznawania za równoważne informacji wymaganych przepisami prawa państwa niebędącego państwem członkowskim (tekst jednolity: Dz. Registration of the amendments to the Articles of Association of Bank BGŻ BNP Paribas S.A. in the National Court Register current report no. 14/2018 date: 20 March 2018 The Management Board of Bank BGŻ BNP Paribas S.A. (the „Bank”) hereby announces that it learned that on 19 March 2018 the District Court for the Capital City of Warsaw in Warsaw, 12th Commercial Division of the National Court Register registered the amendments to the Bank’s Articles of Association, adopted by the Extraordinary General Meeting of the Bank on 23 January 2018. At the same time, the Bank attaches hereto a consolidated text of its Articles of Association including the amendments registered by the court on 19 March 2018. Information on the registered amendments to the Articles of Association of which it is referred to above: § 5 paragraph 3 item 15) of the Articles of Association of Bank BGŻ BNP Paribas S.A. receives the following wording:
“15) provide factoring services,” § 27 paragraph 1 of the Articles of Association of Bank BGŻ BNP Paribas S.A. receives the following wording: “1. Organizational entities of the Bank are: 1) the Bank’s Head Office consisting of: areas, lines, bureaus, departments, teams, 2) branches, 3) brokerage house, 4) other organizational units specified in the regulations mentioned in paragraph 2, 5) representative offices and foreign branches.” § 33 of the Articles of Association of Bank BGŻ BNP Paribas S.A. receives the following wording: “1. The internal regulations of the Bank are issued in the following forms: 1) Resolutions of the General Meeting, 2) Resolutions of the Supervisory Board, 3) Resolutions of the Bank’s Management Board, 4) Circular letters of members of the Bank’s Management Board, 5) Circular letters of the Bank’s executive and managing directors; 6) Circular letters of the persons authorized by the President of the Bank’s Management Board; 7) Circular letters of the directors of basic organizational units of the Bank Head Office; 8) By-laws of the Bank’s organizational units, issued by directors of the organizational units of the Bank; 9) Internal regulations issued by the Bank’s executive and managing directors or directors of the basic organizational units of the Bank Head Office. 2. The power to issue internal regulations shall be conferred upon: 1) General Meeting - in the scope provided for in legal provisions as well as in the provisions of the Bank’s Articles of Association, 2) Supervisory Board - in the scope provided for in legal provisions as well as in the provisions of the Bank’s Articles of Association, 3) Management Board of the Bank - in the scope provided for in legal provisions, including the right to issue resolutions being templates of agreements, general terms and conditions of agreements and regulations, except for regulations of various promotions and competitions, as well as policies and methodologies, unless the Articles of Association of Bank provide otherwise, 4) member of the Management Board of the Bank – with respect to management areas supervised by such a member of the Management Board specified in the organizational structure of the Bank, including the approval of templates of official letters and forms, operational manuals, procedures and official instructions, fees and commissions tables, interest rate tables, regulations of various promotions and competitions, as well as policies and methodologies to the extent specified by a resolution referred to in paragraph 3, 5) executive and managing directors of the Bank - with respect to lines supervised by such executive or managing directors specified in the organizational structure of the Bank, including also the approval of the templates of official letters and forms, procedures and official instructions, 6) director of the organizational unit of the Bank – with respect to the issuance of by-laws of the organizational units of the Bank, 7) director of the basic organizational unit of the Bank Head Office – with respect to the issuance of internal regulations in the form of circular letters and by-laws of basic organizational units of the Bank Head Office. 3. The detailed principles and methods of preparing, advising on, issuing (also approving) and circulating internal regulations within the Bank are determined by the resolution of the Management Board.”
