| W nawiązaniu do opublikowanych w dniu 8 czerwca 2009 r. jednostkowego i skonsolidowanego raportu rocznego za rok 2008, Zarząd Spółki Sfinks Polska SA z siedzibą w Łodzi wyjaśnia co następuje: 1) Zawarte w Raporcie uzupełniającym Opinię niezależnego biegłego rewidenta z badania sprawozdania finansowego za rok obrotowy 2008 stwierdzenie wyrażone w pkt III przedmiotowego Raportu, iż do dnia wydania Opinii nie zostało zwołane Walne Zgromadzenie Akcjonariuszy mające na celu podjęcie uchwały co do dalszego istnienia Spółki w trybie art. 397 k.s.h., jest niezgodne ze stanem faktycznym. W dniu 8 czerwca 2009 r. Spółka przekazała raport bieżący (RB 62/2009), w którym poinformowała o zwołaniu Zwyczajnego Walnego Zgromadzenia Sfinks Polska S.A. na dzień 30 czerwca 2009 r. Zgodnie z treścią raportu, w porządku obrad ZWZA przewidziano punkt 14 poświęcony podjęciu uchwały w sprawie dalszego istnienia Spółki. Informacja o zwołaniu ZWZA, wraz z porządkiem obrad uwzględniającym podjęcie przedmiotowej uchwały, została także uprzednio złożona przez Spółkę do ogłoszenia w ustawowym publikatorze. 2) W skonsolidowanym rocznym sprawozdaniu finansowym za rok 2008 pojawia się rozbieżność pomiędzy wartością straty netto podaną w podsumowaniu składowych sprawozdania dokonanym przez Zarząd na stronie nr 2 (tj. 70.545 tys. zł) i pozycji rachunku wyników na stronie nr 3 sprawozdania (tj. 64.453 tys. zł). Rozbieżność wynika z przyjętego sposobu prezentacji wyniku. W podsumowaniu Zarządu podany jest wynik z wyłączeniem zysku akcjonariuszy mniejszościowych. Dane zaprezentowane w skonsolidowanym rachunku wyników jako strata netto uwzględniają zysk akcjonariuszy mniejszościowych. Powyższe różnice w prezentacji wyniku netto są widoczne przy analizie skonsolidowanego rachunku zysków i strat. | ||||||||||||

| In reference to the stand-alone and consolidated annual reports for 2008 announced on 8th June 2009, the Management Board of Sfinks Polska S.A. with its seat in Łódź explains as follows:1) The statement enclosed in the supplementary Report to the Auditor’s Opinion from the audit of the financial statements for 2008 given in item III of the Report concerning failure to convene till the day of issuing the Opinion, the General Meeting of Shareholders aiming at adopting a resolution on further existence of the Company subject to Art. 397 of the Commercial Companies Code does not reflect the actual status of affairs. On 8th June 2009 the Company published a current report (RB 62/2009) in which it informed about convening an Ordinary General Meeting to take place on 30th June 2009. As specified in the contents of the current report, the agenda of the OGM encloses item 14 devoted to adopting a resolution concerning further existence of the Company. Information on convening the OGM including the agenda assuming adoption of the resolution in question had been previously filed by the Company for announcement in a regulatory publication journal.2) In the consolidated financial statements for 2008 there is a discrepancy between the value of net loss given in the summary of the statements provided by the Management Board at page no. 2 (i.e. PLN 70,545 thsd.) and the specific item of the profit and loss account at page no. 3 of the statements (i.e. PLN 64,453 thsd.). The discrepancy results from the adopted manner of presentation of the net result. In the Management's summary the result excludes the minority shareholders’ profit while the data presented in the consolidated profit and loss account as the net loss includes the minority shareholders’ profit. The above mentioned differences in the presentation of the net result can be tracked while analyzing the consolidated profit and loss account. | |||
